EDWARD K. CLARK

I am an experienced corporate, business, tax, and estate planning, trust, and probate attorney-CPA. I graduated from the University of Texas at Austin with a Bachelor of Business Administration degree, major in accounting, in 1973 and a Master in Professional Accounting degree, concentration in tax accounting, in 1978. I received a J.D. degree in 1981 from the University of Houston College of Law. I am currently a sole practitioner in Austin, Texas, and I serve as General Counsel and Corporate Secretary of Emergent Technologies, Inc. and its affiliates of Austin, a venture capital firm and portfolio companies specializing in forming, commercializing, and managing companies for the purpose of converting institutional and university-based biotech, life sciences, and other technologies into high return ventures. In addition, I am on the Board of Directors of an Austin based mutual fund company (serving as Chairman of and “Financial Expert” for the Audit Committee) as well as a Dallas based restaurant company.

I am licensed to practice law and public accounting in Texas, and I am Board Certified in Tax Law by the Texas Board of Legal Specialization. I am a member of the State Bar of Texas and the Travis County Bar Association. I am presently admitted to practice in all Texas courts and the United States Tax Court, and I have been given an "av" rating by Martindale-Hubbell, Inc.

My work experience includes two years as a corporate controller and six years in public accounting as a tax specialist prior to becoming a lawyer (including four years with an international public accounting firm in Dallas-Fort Worth and Houston) working primarily with oil and gas, real estate, and high net worth individual clients. I was in the private practice of law full time from October, 1981 to April, 1990. For about a year, from April, 1990 through February, 1991, I served as the corporate general counsel and chief financial officer of a closely-held oilfield service and manufacturing company. I resumed my private law practice in February of 1991. I have been a partner or member of large general practice law firms in Austin (McGinnis, Lochridge & Kilgore, L.L.P.) and Fort Worth (Kelly, Hart & Hallman, P.C.), as well as Of Counsel for a medium size Austin law firm (Ford & Ferraro, L.L.P.). My legal practice and public accounting experience has concentrated in the areas of corporate and securities law, mergers and acquisitions, and business and estate planning; Federal income, estate, and gift tax planning, compliance, and litigation practice; probate and trust administration law; tax-exempt organizations; Texas state tax planning and administrative practice; and general business, oil, gas, and other minerals, and real estate law related to these other areas.

I have been a lecturer on business, securities, tax, and estate planning, probate, and trust law topics. I have also been an instructor for the law subjects of the Becker CPA Review Course.
