Application contract FOR PARTICIPATION IN THE INTERNATIONAL EXHIBITION XI «ENERGY INDUSTRY OF KARELIA-2010»

Limited Liability Company«Karelexpo», represented by Director Edita Albino Plyakute, acting in accordance with the Articles of Association, hereinafter«Organizer», on the one hand, and ______, represented by ______, acting in accordance with ______, hereinafter «Exhibitor», on the other hand, have entered into the present contract as follows:
1. subject of the contract
1.1. Organizer undertakes to provide services on organization of Exhibitor’s participation in the exhibition « ENERGY INDUSTRY OF KARELIA-2010», hereinafter «Exhibition», and Exhibitor undertakes to pay for the services, on the terms and in the period determined by the present Contract.
1.2. Exhibition venue: 19 K.Marks prospect, city of Petrozavodsk, Republic of Karelia.The National Theatre of the Republic of Karelia.
1.3. Exhibition period: from November 30 till December 2, 2010
obligations and rights of the parties
2.1. Rights and obligations of the Exhibition Organizer:
2.1.1. Organizer shall provide services to Exhibitor in accordance with the application and the payment made.
2.1.2. Organizer shall provide the exhibition advertising campaign in mass-media, fascia (name) registration, safety of the premises occupied for the exhibition. Exhibit security is provided from November 29 till December 2, 2010 inclusive, in the period from 7.00 p.m. till 10.00 a.m.
2.1.3.Organizer shall provide hotel accommodation, transport and cultural program for nonresident participants for an additional fee.
2.1.4.Organizer shall provide Exhibitor with additional exhibition equipment in accordance with the application completed for an additional fee.
2.1.5. Due to organizational and technical reasons Organizer reserves the right to change the stand location providing immediate notice to Exhibitor, but not later than November 23, 2010.
2.1.6.Organizer is obliged to provide exhibition installation and presentation of exhibits prior to official closing of the exhibition.
2.1.7.Organizer is obliged to provide Exhibitor with information regarding the events held within the exhibition.
2.2. Rights and obligations of Exhibitor:
2.2.1. Exhibitor is obliged to pay for the Organizer’s services in accordance with an issued invoice.
2.2.2. Exhibitor is obliged to pay an additional registration fee 200 (Two hundred) EURO covering inclusion to the official exhibition catalogue (b/w, up to 2200 signs), a complete document package on the exhibition, participation of 2 representatives in the official exhibition events (including a stand-up meal on November 30, 2010), 2 badges, a diploma of the exhibition participant. The exhibition centre area should make up not less than 4 sq. m.
2.2.3. Exhibitor undertakes to comply with the fire safety regulations and safety engineering requirements and is fully liable for their violations.
2.2.4. Exhibitor shall have the right to sell its products on the stand, conclude contracts and commercial transactions under the laws and customs rules of the Russian Federation.
2.2.5. Exhibitor is obliged to keep the licenses, certificates and other documents required in accordance with the Trading Regulations.
2.2.6. Exhibitor’s application for services should be submitted in the following terms: for a hotel – till November 25, 2010, information to be placed in the catalogue – till November 25, 2010, by fax (814-2 53-42-98 or e-mail:
2.3. Sharing exhibitors are to be any companies exposing their exhibits on the stand of the primary Exhibitor. Sharing exhibitors shall comply with the same terms and conditions as the primary Exhibitor and shall have the right to pay for participation in the exhibition independently.
3. Participation fee, procedure of payment and service acceptance
3.1. Total cost of the services provided under the present contract amounts to ______EURO. VAT is not charged (Article 346.12 and 346.13 Chapter 26.2 of the Taxation Code of the Russian Federation).
3.2. The advance payment amounts to 30 % of the cost of the services provided under the contract. Exhibitor shall make payment by a payment order within 5 (five) banking days from the day the parties sign the present contract. Payment is deemed to be made on the day the cash funds are credited to the settlement account of Organizer.
3.3. The full payment for participation shall be made till November 23, 2010.
3.4. In the event of failure to meet the due dates the space reserved by the Customer may be transferred to other Exhibition participants.
3.5. In the event Organizer does not receive the full payment for the services from Exhibitor till November 23, 2010 the advance shall not be refunded. The range of the services provided shall be additionally agreed.
3.6.Exhibitor accepts the services rendered in accordance with the Acceptance certificates provided by Organizer:
- Certificate of acceptance of an exhibition stand;
- Certificate of acceptance of the whole range of services under the contract. The certificate is to be final and is drawn up upon closing of the Exhibition.
3.7. Should any claims from Exhibitor arise, the Parties shall draw up a bilateral certificate enumerating the necessary updates and due dates for their performance. In the event Exhibitor does not return the signed certificates and does not provide well-grounded claims regarding the quality, range and due dates for service provision under the present contract upon 5 (five) working days from the moment Organizer transfers a Certificate of acceptance of the whole range of services (Certificate of acceptance of an exhibition stand) for Exhibitor’s signature, Organizer makes a note on its unilaterally signed certificates. The services provided under the present Contract shall be deemed rendered in full and fully accepted by Exhibitor in this case.
3.8. When signing the certificates Exhibitor is obliged to provide a Contract indicating original signatures and a seal, a corporate seal and a power of attorney transferring the right to sign the Certificates.
3.9.Cost of one sq. meter of unequipped area amounts to: 130 (Hundred Thirty)EURO for 3 days. The stated price includes: rent of the exhibition area, stands, their installation and dismantling, rent of a minimum set of furniture (1 table, 2 chairs, a wastebasket), power supply for stands, common electric lighting, cleaning, exhibition safety, inscription on a stand, exhibition advertising in mass media.
3.10.Cost of one sq. meter of not equipped exhibition area amounts to 110 (Hundred Ten) EURO for 3 days. The stated price includes: 1 table, 2 chairs, a wastebasket, cleaning, exhibition safety, exhibition advertising in mass media.
3.11. Cost of remote participation amounts to 150 (Hundred fifty) EURO and includes placement of information about the participant in the official exhibition catalogue (a page of А5 size); distribution of information materials among the visitors and participants of the exhibition on the organizing committee stand.
4. RESPONSIBILITY OF THE PARTIES
4.1. In the event of non-performance or improper performance of obligations the Parties bear responsibility in accordance with the legislation of the Russian Federation in force.
4.2. In the event of refusal to participate in the Exhibition a written notification is to be sent by Exhibitor to Organizer.
4.3. In the event of refusal to participate in the Exhibition till November 23, 2010 inclusive, Exhibitor shall pay a 30 % penalty of the cost of services provided under the present contract, after November 23, 2010 – 100 % of the cost of services under the present contract.
4.4. In the event of exhibition cancellation or change of its effective period a written notification is to be sent by Organizer to Exhibitor.
4.5. In the event of exhibition cancellation Organizer shall refund the total amount of admission fee made to Exhibitor within 5 (five) working days from the day of cancellation.
4.6.Organizer bears responsibility for safety of the stand exposition at the Exhibition off hours from 7 p.m. till 10.00 a.m.
4.7.Exhibitor independently bears responsibility for safety of the stand exposition at the time of the Exhibition from 10.00 a.m. till 7 p.m.
4.8.Exhibitor bears material liability for the damage caused to the exhibition equipment as a result of unapproved actions at the rate of its triple cost.
4.9. In the event of early move-out of exhibits and infringement of the exposition integrity, Organizer reserves the right to collect a 10 % penalty of the cost of services under the present contract from Exhibitor.
4.10.Exhibitor shall pay a 50 % penalty of the cost of services under the present contract per each day of delay of exhibit move-out and the cost of their removal and storage in a warehouse.
4.11. Should any circumstances beyond one’s reasonable control arise, neither of them shall be liable to the other party for delay or failure to fullfill (in whole or in part) the obligations under the contract. A notification of circumstances beyond one’s reasonable control is to be sent by any possible means of communication by the party referring to them not later than 24 hours after they occur. Failure to notify the other party on circumstances beyond one’s reasonable control in due time by the party referring to their influence deprives it of the right to refer to such circumstances as to a reason for exemption from responsibility further except for the cases when circumstances beyond one’s reasonable control could have prevented from delivery of such a notification.
4.12. Should the presence of circumstances beyond one’s reasonable control give rise to doubts to one of the parties, the other party is obliged to provide an official conclusion of the territorial branch of the Chamber of Commerce and Industry of the Russian Federation or other competent authority upon its request.
5. special terms and conditions
5.1. Any disputes and disagreements arising out of or in connection with the present contract, shall be resolved by negotiations, otherwise, the dispute shall be forwarded for consideration to the Arbitration Court of the Republic of Karelia.
5.2. Expenses incurred in connection with provision of additional services shall be borne by Exhibitor. Additional services are provided by Organizer in accordance with the appropriate Exhibitor’s application.
6. OTHER terms and conditions
6.1. Regarding all other issues not covered by the present contract, the parties shall be governed by the applicable legislation of the Russian Federation.
6.2. No alterations or additions to the present contract are valid unless made in writing and signed by both parties.
7. CONTRACT VALIDITY period
7.1. The contract shall come into force commencing the moment it is signed by both parties and shall remain in effect until the parties fully fulfill their obligations under the present contract.
7.2. The present contract is made in 2 copies, having equal legal force, one for each of the parties.
