1.DEFINITIONS
1.1.“BusinessAssets”meansalltangibleandintangibleassetsofthe Company.
1.2.“BusinessPartner”meansanyindividualorentityhavingsomedegreeofinvolvementintotheCompany’sbusinessdealings,whichincludeswithoutlimitationsellers,purchasers,contractors,servicesproviders,etc.
1.3.“CloseAssociate”meansanyindividualorentityhavingrelationshipofanykindwithanEmployee.
1.4.“Code”meansthepresentCodeofConduct.
1.5.“Company”meansEuroChem Trading GmbH.
1.6.“ConfidentialInformation”meansinformationthatisnotpublicorhasnotyetbecomepublic,includingwithoutlimitation, commercial,corporate,contractual,operational,staff,management, scientificandtechnical,process,production,financialandeconomicandotherinformation(includinginformationthatconstitutestheknow-how),aswellasallnotes,analyses,compilations,studies,documentsorotherdata,preparedbyanyemployee of the Companyinwritingorinanyotherform,whicharegeneratedfromorotherwisereflectsuchinformation.
1.7.“ConflictofInterest”meansanysituationwhenpersonalinterestsofEmployeescompetewiththeinterestsoftheCompanyandcanpotentiallyinfluencetheobjectiveexerciseofEmployees’professionalduties.
1.8.“Corruption”meansdishonestorillegalbehaviour,whichconstitutesinmisuseofentrustedpowerforprivatebenefit.
1.9.“Employee”,“Employees”meansofficers,directorsandemployeesoftheCompany.
1.10.“Favours”meansfavoursinanyform,includingbutnotlimitedtogifts,invitations,anygrants,ordiscounts.
1.11.“InsiderInformation”meansnon-publicinformationabouttheCompanyoritsBusinessPartnerswhichareasonable investorwouldconsider importantin decidingwhetherto buy orsellsecurities,includingwithoutlimitationpossiblemergers,acquisitionsanddivestures,strategic alliances, financialresults,new products, changesinthecapitalstructure, importantlicensingagreements,majortrialsorcontracts.
1.12.“Insiders”meansEmployeesornon-employeeswholearnaboutInsiderInformation,whetherintentionallyorbycoincidence.
1.13.“LegalandComplianceOfficer”meansanEmployeecommittedtoensuringthattheCodeisconsistentlycompliedwiththroughouttheCompany.
1.14.“IntellectualProperty”meansintangibleassets,includingwithoutlimitationtradesecrets,patents,trademarks,copyrights,know-how,regulatorydata,domainnamesandrelatedrights,aswellasbusinessandmarketingplans,etc.
1.15.“MoneyLaundering”meanstheprocessoftransformingmoneyorassetsthatweregeneratedbyillegalactionsintoostensiblylegitimatefundsbyconcealingtheiroriginandmakingthemseemasderivedfromlegitimatesource.
1.16.“Relative”meansapersonwhoisconnectedtoanEmployeebybloodoraffinity,includingwithoutlimitationbyvirtueofmarriage,adoption,in-lawrelation.
2.APPLICABILITY
2.1.TheCompanyshallapplyandincorporateintheirbusinesspracticestheCode.
2.2.Employeesshallstrictly,inallrespectsandatalltimescomplywiththeCode.
3.COMPLIANCEWITHLAW
3.1.The Company shall be engaged only in legitimate and ethical business practices.
3.2.TheCompanyand itsEmployees shall complywith allapplicablelaws,rulesand regulations,eitherdomesticorforeign.IncaseofconflictofanyspecificlawsorregulationsEmployeesshallatonceconsulttheirsuperiorandtheLegalandComplianceOfficer.
4.CONFLICT OF INTEREST
4.1.EmployeesshallavoidConflictofInterestsituations.
4.2.Employeesshallnottakepartin,appeartotakepartinorexertinfluenceonanydecisionwhichputsormayputtheirowninterestinconflictwiththeinterestoftheCompany.
4.3.EmployeesshallnotusetheirpositionintheCompanyforpersonalbenefitsortobenefittheirRelativesorCloseAssociates.
4.4.IfaConflictofInterestsituationhasoccurredorifEmployeesfaceasituationthatmayinvolveorleadtoaConflictof Interest,Employeesshalldisclose ittotheLegalandComplianceOfficerinordertofindanappropriatesolution.
5.INSIDER INFORMATION & TRADING
5.1.Insidersshall:
- keepInsiderInformationstrictlyconfidentialandnotpassitontothirdparties,exceptforonaneed-to-know basis.Thirdpartiesinclude,withoutlimitation,familymembersandotherresidentsofthesamehousehold,colleagues,friends,journalists,customers,financialanalystsandadvisers;
- notbuy,sellorengageinanyothertransactionsconcerningsecuritiesorderivativesoftheCompanyoranyothercompaniesinvolved,solongassuchinformationisnotavailabletothegeneralpublic.
5.2.Whenindoubt whetherapersonpossessesInsiderInformationand isconsideredanInsider,heorsheshallimmediatelycontacttheLegalandComplianceOfficer.
6.MONEY LAUNDERING
6.1.Employeesshall not allowthemselves to be inanywayinvolved in MoneyLaundering oranyothersimilarillegalpracticeandshallnevertoleratesuchactions.
6.2.Whenindoubtinrespect ofanyfinancialtransactionorpractice, Employees shallconsulttheLegalandComplianceOfficerattheearlieststagepossible.
7.CORRUPTION & BRIBERY
7.1.The Company prohibits bribery and corruption at all times and in any from, whether public or private, passive or active, including through agents, partners and other intermediaries.
7.2.The Company is committed to compliance with all laws, rules and regulations governing bribery and corruption in all the countries in which it operates.
7.3.According to the applicable anti-corruption law, the Company’s Employees are prohibited from giving or offering bribes, kickbacks, or similar payment or consideration of any kind to any person or entity in order to influence official acts or decisions of that person or entity; to obtain or retain business or a business advantage for, or direct business to, the Company; and/or secure any improper advantage.
7.4.The Company’s employees are prohibited from accepting or receiving bribes, kickbacks, or similar payment or consideration of any kind from any person or entity which is intended to, or which may be perceived as being intended to influence one’s official acts or decisions; obtain or retain business or a business advantage for, or direct business to, the offer or of the bribe and/or any entity that he/she represents; and/or secure any improper advantage for the offer or of the bribe and/or any entity that he/she represents.
7.5.The applicable anti-corruption law means the anti-corruption laws ofSwitzerland and other relevant laws applicable to the EuroChem Group, including, as applicable, the Swiss Criminal Code, the Swiss Unfair Competition Act,theU.S.ForeignCorruptPracticesAct, and theUK Anti-bribery Act.
7.6.In anysituationwhichraisesdoubtswithrespecttocorruptionorbriberycomplianceEmployeesshallconsulttheLegalandComplianceOfficerassoonaspossible.
8.GIFTS & ENTERTAINMENT
8.1.EmployeesshallnotbeinfluencedbyreceivingFavours.
8.2.EmployeesshallnotacceptanyFavoursifthatcouldraiseanyconcernsregardingtheCompany’sintegrityandindependenceortheEmployees’professionalimpartiality,whetherinactualityorappearance.
8.3.Employeesareallowedtoacceptsocially customaryoccasional giftsoflowvalue,invitationsand other grants,iftheydonotgo beyond commoncourtesy,areanacceptedlocal businesspracticeandprovidedbusinessdecisionsarenotinfluenced. ForthepurposesofthisClausethevalueisregardedaslowincaseitdoesnotexceedUSD500 (fivehundred).
8.4.Whenassessingthesituationinlightof theabove,Employeesshallapplythemostrestrictivelocalpracticetoavoideventheappearanceofimproperdealings.IfindoubtabouttheappropriatenessofacceptingaFavour,EmployeesshallconsulttheLegalandComplianceOfficer.
8.5.TheaboveprovisionsalsoapplyinthesituationwhenEmployeesoftheCompanyprovideFavourstoanexistingorpotentialBusinessPartneroftheCompany.
9.COMPETITION AND FAIR DEALING
9.1.Competition(antitrust) lawsaredesignedtomaintain marketandarm’s lengthconductbythecompanies.
9.2.TheCompanyanditsEmployeesshallcomplystrictlyandinallrespectswithapplicablecompetitionlawswhereverbusinessisconducted.
9.3.AllEmployees,andespeciallythoseinvolvedinmarketing,sales,purchasing,tenderprocess,shallberesponsibleforbeingfamiliarwith,andunderstandthebasicprinciplesofcompetitionlawsandtheimportanceofcomplyingwithitsregulations.
9.4.AllagreementsthatcouldpossiblybeinfringinganyapplicablecompetitionregulationsshallbesubjecttoreviewbytheLegalandComplianceOfficer.
10.CONFIDENTIALITY
10.1.ConfidentialInformationprovisionsarepartoftheemploymentcontractandshallremaineffectiveafterterminationoftheemployment.
10.2.Unlessrequiredbylaworauthorizedbythemanagement,EmployeesshallneitherdiscloseConfidentialInformationwithrelationtotheCompany oritsbusiness,nortoleratesuchdisclosure.
10.3.EnteringintoanyagreementwithathirdpartybytheCompanyshallbesubjecttosigningaconfidentialityagreementorincludingtherespectiveprovisionsintotheagreementtobeenteredintowithsuch party.Thesigningof everysuchagreementshallbesubjecttoreviewbytheLegalandComplianceOfficer.
10.4.TheCompanyanditsEmployeesrespectConfidentialInformationofitsBusinessPartnersandotherthirdpartiesandshalltreatitwiththesameaccuracyasifitwastheCompany’sConfidentialInformation.
11.INTELLECTUAL PROPERTY
11.1.EmployeesshallendeavourtoprotectIntellectualPropertyrightsoftheCompanyandshallimmediatelyreporttotheirsuperiorandtheLegalandComplianceOfficerassoonastheybecomeawareofsuchinfringement.
11.2.TheCompanyanditsEmployeesrespecttheIntellectualPropertyrightsofthirdparties.
12.ACCOUNTING AND REPORTING
12.1.TheCompanyshallcomplywithapplicableaccountingandreportingstandardsandensurethattheinformationitprovides,including,butnotlimitedto,financialreports,developmentdata,informationprovidedtoauditors,investorsandstateauthorities,istrue,fairandcomplete.
12.2.Employeesshallneitherengageindishonestorfraudulentconductinvolvingfinancialreportingandaccounting,normakeanyfalseormisleadingstatements.
13.BUSINESS ASSETS
13.1.Business Assets shall be used only for its business purposes.
13.2.Employees shall safeguard and make only proper use of Business Assets. Employees shall endeavour to protect the Business Assets from loss, damage, misuse, theft, fraud, embezzlement and destruction.
14.HEALTH AND ENVIRONMENTAL PROTECTION
14.1.TheCompanyshallprovideitsEmployeeswithahealthy,safeandsecureworkingenvironment.
14.2.TheCompanystrivestominimizenegativeimpactontheenvironmentbyimplementingnewtechnologiesandprocesses.
14.3.TheCompanyand itsEmployees shallstrictly,inallrespectsandatalltimes complywiththeapplicableenvironmentallawrequirements.TheCompanyanditsEmployeesshallendeavourtopreventaccidentsandmalfunctionsandanydamagethatcanbecausedtotheenvironment.
14.4.Uponbecomingawareofinfringementofanyregulationorstandardwithrespecttohealth,safetyandenvironmentprotection,Employees shallcontacttheLegalandComplianceOfficerassoonaspossible.
15.DISCRIMINATION AND HARASSMENT
15.1.TheCompanyshallnevertolerateanyformofdiscriminationorharassment.TheCompanyshallguaranteeitsEmployeesprotectionofpersonaldignity,rights,privacyandahealthyworkplacefreefromdiscriminationandharassment.
15.2.Employeesshallneverdiscriminateagainstanyoneonthebasisofgender,age,origin,nationality,religion,race,disability,citizenship,social,oranyothercharacteristics.
15.3.Theseprinciplesshallapplytoallaspectsofemploymentrelationship,includinghiring,promotion,compensation,disciplineandterminationofemployment.
16.IMPLEMENTATION OF THE CODE
16.1.Each Employee is personally responsible for observing this Code of Conduct. Strict compliance with the provisions of this Code is mandatory for each Employee regardless of his or her position in the Company.
16.2.Employees are called upon to contact their superior or LegalandComplianceOfficer at any time if there are any questions regarding implementation of certain provisions of the Code, or if there is any doubt about the best course of action in a particular situation.
16.3.The Company’s Management shall be responsible for implementation and incorporation of this Code into the Employee training program.
