BOARD AGREEMENT

THIS agreement, dated the ______day of ______, 20_____, made between National Equestrian Centers, Inc., a California Corporation, doing business as Huntington Central Park Equestrian Center, with its principal office located at 18381 Golden West Street, Huntington Beach, Ca 92648, herein after called “Stable” or Equestrian Center”; and (Your Name)______(Street, City, Zip)______

Init___1.Boarder, or Agent for the Boarder has personally inspected the facilities and operation of the Stable and has found such to be maintained and operated in a manner suitable for the board of his/her horse.

Init___2. FEES, TERM AND LOCATION: In consideration of $ ______per horse per month, paid by Boarder on the FIRST day of each month. There will be a $25.00 late fee if paid after the FIFTH of the month and an additional $25.00 will be charged after the FIFTEENTH of the month, if payment is not received. There will be a $25.00 charge on all returned checks. Stable agrees to board the herein described horse at18381 Golden West Street, Huntington Beach commencing on ______, on a month-to-month basis.

Init___4. FEED AND FACILITIES: Stable agrees to provide adequate feed and facilities for normal and reasonable care required to maintain the health and well being of the horse. Stable will provide 12 X 12 box stall or 12 X 24 pipe corral. Your horse will be fed ______lbs alfalfa cubes per feeding or ______flakes of Timothy or Alfalfa hay (additional charge) and stall will be cleaned once every day. If you choose to provide your own feed, other than what the equestrian center provides, you are assuming responsibility of providing your own feed. In addition, you will need to provide an approved, visible sign on your stall with feed instructions.

Init___6.GROOMING AND EXERCISE: Stable will not provide grooming or exercise or any other care for said horse. It is expressly understood that the Boarder is solely responsible for grooming and exercise of said horse.

Init___7. RISK OF LOSS: During the time that the horse is in custody of Stable, Stable shall not be liable for any sickness, disease, astray, theft, death, or injury which may be suffered by the horse and/or equipment or any other cause of action whatsoever arising out of or connected in any way with the boarding of said horse. This includes, but is not limited to, any personal injury or disability the horse or Boarder may receive while on Stable’s premises. The Boarder fully understands that Stable does not carry any insurance on any horse not owned by it for boarding or for any other purposes, that the horse is not covered under any public liability, accidental injury, theft or equine mortality insurance. All risks connected with boarding or for any other reason for which the horse is in the possession of and on the premises of Stable, are to be borne by the Boarder. Not withstanding the above terms, Stable shall be responsible for any willful, reckless, or negligent act or omission of Stable and/or its principals, agents, employees and/or guests.

HOLD HARMLESS: The Boarder shall defend, indemnify and hold harmless the Equestrian Center, including its officers, directors, agents, employees and each of them, from any and all claims, demands, causes of action, damages, costs, expenses, actual attorney’s fees, consultant’s fees, expert fees, losses or liability, in law or in equity, of every kind and nature whatsoever based upon claims, that include but are not limited to any proceeding, action, demand, or issue arising from any willful, reckless or negligent act or omission of the Boarder or his or her family members or guests. The Boarder shall indemnify and defend the Equestrian Center for, but not limited to, (1) personal injury, including, but not limited to, bodily injury, emotional injury, sickness or disease, or death to persons, including, but not limited to, any employees or agents of Boarder, Equestrian Center or its agents or employees; and/or (2) property damage. Subject to Section 7 above, Boarder uses training rings, riding areas, wash racks, grooming racks, hot walkers, trainers and all facilities at his/her own risk.

LIABILITY INSURANCE: Subject to Section7 and 8 above, the Boarderis required to provide liability insurance for any occurrence arising from the willful, reckless, or negligent act or omission of the Boarder or his or her family members and guests and all horses boarded at the Equestrian Center must be named on said policy. The Equestrian Center must be named as an additional insured, along with the City of Huntington Beach, with the amount of Combined Single Limits (CSL) coverage not less than one million dollars per occurrence. Said coverage shall not apply to any willful or reckless, or negligent act or omission of Stable and/or its principals, agents, employees or guests. Proof of insurance must be must be submitted prior to occupancy. Said policy must be in effect at all times while boarding at the EquestrianCenter.

Init___10. EMERGENCY CARE: Veterinarian service is not provided. In the event a Boarder is absent or unavailable by telephone, the EquestrianCenter Staff is authorized to contact a veterinarian (at the Boarder’s expense) in case of sickness or injury to a horse at the Stable. In the event the designated veterinarian is not immediately available, Boarder hereby authorizes the Stable to call a licensed veterinarian to examine and, if necessary, treat the boarded horse at the Boarder’s expense. Boarder agrees to maintain a regular worming, dental, and shot schedule along with proper hoof maintenance. The veterinarian and farrier of the Boarders choice are as follows:

Init___11. OWNERSHIP/HEALTH OF HORSE: Boarder warrants that he/she owns said horse and that there are not liens or any other encumbrances, express or by law, outstanding against said horse. Boarder will provide, before delivery of said horse to Stable, proof, satisfactory to Stable, of a negative Coggins test (out of state horses only), and current vaccinations for Equine Influenza, Strangles, Tetanus, Rhinopneumonitis, Sleeping Sickness and West Nile Virus.

Init___12. NOTIFICATION OF RELEASE: Should Boarder desire that Stable release said horse to any third party, Boarder must provide to Stable his or her written consent to such release before Stable will recognize possession of said horse to the third party.

Init___13. DEFAULT/ATTORNEY’S FEES:

Either party may terminate this agreement for failure of any party to meet any material term of this agreement. In the case of any default by one party, the other party shall have the right to recover attorney’s fees and court costs as a result of said default.

Init___14. ASSIGNMENT: The Boarder, without express written consent of Stable, cannot assign this agreement.

Init___15. TERMINATION: This lease is a month-to-month tenancy and either party must terminate this lease by giving the other party thirty-day (30) written notice thereof. Failure to comply with the rules and regulations of the Stable will result in immediate termination.

RIGHT OF LIEN: The Boarder is put on notice that the Stable has a right of lien, as set forth in the law of the State of California, for the amount due for the board and keep of such a horse, and shall have the right to retain the said horse(s) until the amount of such indebtedness is discharged or otherwise proceed to sell said horse(s) in accordance with California Civil Code section 3080.0 – 22. Signature on this agreement releases National Equestrian Centers, Inc., to sell such livestock with the balance of the sale amount, after all expenses and charges are deducted, the remaining balance will be returned to the signatory/ Boarder.

Init___17. VENUE: The parties hereto agree that the proper venue for all disputes, which may arise under this agreement, is in Orange County, California.

RULES AND REGULATIONS

  1. Equestrian Center hours are 6:00 AM to 10:00 PM.
  2. Public access is allowed only during open hours; visitors must check in at the office.
  3. No dogs are allowed on the EquestrianCenter premises.
  4. No smoking in the barn or stall areas.
  5. Alcohol and drugs are prohibited.
  6. No profanity or abusive language is allowed.
  7. Ten mile per hour speed limit for all vehicles.
  8. Parking is allowed on concrete parking lots, only.
  9. No motorized vehicles on dirt surfaces unless loading or unloading horses and/or equipment.
  10. Ponying of horses allowed only when safe.
  11. Horses must be walked in aisle way, paddock or barn areas. No walking or riding on concrete parking areas.
  12. All horses being transported in trailers either entering or leaving the facility must check in at the office.
  13. Jumping is allowed only if done under the supervision of HCPEC approved trainers/instructors or with HCPEC management approval.
  14. Helmets are required when jumping.
  15. Lessons can only be given by HCPEC approved trainers or instructors.
  16. All trainers and instructors at this facility must be approved by HCPEC management, are required to carry one million dollar liability coverage and workers compensation insurance. Assistant trainers or instructors may not start their own business at HCPEC without the written consent of their employer and approval by HCPEC management.
  17. Boarders are to clean up the cross tie area after each use.
  18. Horses are not to be tied to rails, stalls, or fences and should be secured in the cross-tie area.
  19. Box stall doors are to be kept closed at all times to secure your horse unless an approved stall gate is installed. Any other type of barrier is not acceptable.
  20. Riding a horse double is not allowed on HCPEC property.
  21. Bathing of horses is allowed in the wash rack areas, only.
  22. Premium bedding, approved by HCPEC Management, is allowed installs, only. (Straw and shavings are not allowed). Use of unapproved bedding will result in a surcharge.

By signing below, I understand and agree to all of the above rules and regulations of the HuntingtonCentral ParkEquestrianCenter and will adhere to these rules and regulations. In addition, I take full responsibility that all persons I have authorized to ride my horse are fully aware of these rules and regulations and these persons have agreed to adhere to them.

INDEMNITY AGREEMENT

IT is agreed and understood by the parties that HUNTINGTON CENTRAL PARK EQUESTRIAN CENTER, hereinafter “HCPEC”, grants permission to the following boarder______, hereinafter “BOARDER” to make the following alteration, improvement or addition in pipe corral also referred to as Stall number ______.

Note alteration:

The alteration and/or addition is subject to the following terms and conditions:

  1. Boarder shall not, without the prior written consent of HCPEC office, make any alterations, improvements or additions to the stall. As a condition of making the improvement or alteration, HCPEC may require that such alteration be removed at the end of the boarding agreement and that the Stall be restored to its prior condition by giving Boarder thirty (30) day written notice prior to the end of the agreement to remove any alteration, addition or improvement. Boarder shall undertake at its sole cost to restore the Stall to the condition as designated by HCPEC. Unless HCPEC requires removal as set forth, any alteration, improvement or addition made in the Stall shall become the property of HCPEC and remain upon and be surrendered at the end of the boarding agreement.
  2. Before commencing any work, Boarder shall notify HCPEC in writing as to the commencement date of any work relating to improvements, alteration or additions, so that HCPEC can post and record the appropriate notices of non-responsibility to protect HCPEC from any mechanic’s liens, suppliers liens, or any such other liens. Boarder shall pay when due, all claims for materials and labor furnished to Boarder, and agrees to indemnify HCPEC for any and all liens that arise due to the claimed services, labor or materials performed on the Stall.
  3. Boarder agrees to indemnify, hold harmless and defend HCPEC, its employees, agents, servants and representatives from and against any and all losses, damages, expenses, attorney’s fees, claims, suits and demands of whatever nature resulting from damages or injuries including death arising from the negligent act or omission undertaken by Boarder to alter, add or improve the Stall premises.

Boarder assumes all risk of damage to property or injury to person in or about the Stall resulting from any and all improvements made by Boarder to the Stall premises, including but not limited to the roof, and structural improvement within the Stall.

  1. Boarder agrees to abide by safety and clean-up requirements of HCPEC and to be

responsible in furnishing competent supervision for the efficient and safe installation of any improvement, addition or alteration, and agrees to be responsible for the cost to repair any existing structural damage which is a result of the improvement, alteration or addition.

In the event that a problem should arise with your horse after hours, as well as during business hours, we have a staff member available to handle emergencies for the EquestrianCenter. If something should occur during this time, they will be available to be contacted to assess the situation. If there is a problem with your horse they will make every effort to contact you, the Boarder, to advise you of the situation. However, if you are unreachable, with your permission, they will be able to contact your veterinarian if needed. By filling out this form and signing below, you are giving HCPEC staff permission to assess your horse’s condition should something happen when you are unreachable.

  1. I agree to have HCPEC staff as the contact person in case of an emergency.
  2. If I am unavailable, I give HCPEC staff permission to assess my horses condition and call my vet, or a second vet if mine is unavailable.
  3. By giving HCPC staff permission to call my vet when I am unavailable, or my secondary vet if my primary vet is unavailable, I also agree to pay for any costs which may arise for doing so. Vet cost not to exceed $______.
