Letter of Agreement between the California Blood Bank Society (CBBS), AdvoCal and the California Society of Industrial Medicine and Surgery (CSIMS)
Whereas, AdvoCal is currently contracted to provide association management services to CBBS and,
Whereas, CBBS requires that its education programs provide eligible attendees at those programs with Category One™ Continuing Education Credit whenever possible, and
Whereas, AdvoCal provides similar association management services to a certified provider of Category One™ Continuing Education Credit, the California Society of Industrial Medicine and Surgery (CSIMS), and
Whereas, CSIMS is willing to sponsor Category One™ Continuing Education Credit for CBBS’s eligible education programs, and
Whereas CBBS and AdvoCal are willing to follow all instructions and required procedures as directed by CSIMS in order to assure that CBBS education programs are properly planned and conducted to meet all the requirements of the Institute for Medical Quality (IMQ), the accrediting organization for Category One™ Continuing Education in California, then,
Be it hereby agreed, that CSIMS will sponsor the Category One™ Continuing Education for eligible CBBS Medical Education programs following all IMQ requirements as directed by experienced AdvoCal staff specially trained to provide that direction.
The IMQ and CSIMS requirements for provision of Category One™ Continuing Education Credit are specified in “Exhibit A - 2017 IMQ/CMA Accreditation Criteria and Policies for CME,” which is hereby incorporated by reference into this Agreement. By entering into this Agreement, AdvoCal agrees that its staff will provide all services necessary to supervise and assure that the CSIMS and IMQ requirements are fully met in a timely and complete manner.
If these IMQ requirements change in any way, CSIMS will communicate those changes in writing to CBBS in form of an amended “Exhibit A.”
In consideration of the services provided by CSIMS, CBBS will pay CSIMS the amount of $2,500 for each calendar year for which it provides Category One™ Continuing Education Credit. CBBS shall provide written notice to CSIMS as soon as possible after a decision is made to present or co-present an education program for which Category One™ Continuing Education credit is to be available. CSIMS will send CBBS an invoice for its fee in full upon receipt of the CBBS notice. One third of the fee is due and payable on the first business day of the month following receipt of the CSIMS invoice. The second one third is due no later than 60 days prior to the first scheduled day of the program. The final third is due no later than 30 days after the final day of the program. Payments received more than two weeks past their due date will accrue interest at the rate of 1.5% per annum.
It is understood by the parties that the total consideration paid for any services provided by AdvoCal in fulfillment of this Agreement will be in accordance with the terms of the existing agreement for association management between CSIMS and AdvoCal.
Any requirements for written notice between the Parties will be satisfied by following the instructions found within the existing contracts for association management between the CBBS and AdvoCal, and between CSIMS and AdvoCal. As association manager for both CBBS and CSIMS, AdvoCal is responsible to timely deliver any such written notices between those two parties.
This Agreement will continue in force and effect as for as long as both CBBS and CSIMS maintain valid contracts for association management with AdvoCal or its successor organization(s). Notwithstanding, CBBS reserves the right to immediately re-negotiate this or a similar Agreement with CSIMS if and when CBBS may contract with another association manager.
