SpaceCoast Miata Club
CONSTITUTION
ARTICLE I
NAME
This organization shall be called the Space Coast Miata Club.
ARTICLE II
AREA OF OPERATIONS
The area of operation of the Club includes Brevard County, Florida, and adjacent counties.
ARTICLE III
CLUB OBJECTIVES
The objectives of the Club are to provide an opportunity for Miata owners and aficionados to exchangeideas and information, and to participate in group events involving their Miatas.
ARTICLE IV
MEMBERSHIP
Ownership of a Miata is encouraged, but is not a requirement.
ARTICLE V
OFFICERS
A. General
1.All officers shall be Club members in good standing. Elected Officers of the Club shall consist ofPresident, Vice-President, Treasurer, and Secretary. The Vice-President shall become Presidentif that office becomes vacant. Other vacant offices shall be appointed by the ExecutiveCommittee for the unexpired term. Any officer who fails to attend two consecutive Club meetingsor fails to perform the duties of the office may be recalled by the Executive Committee.
The Executive Committee shall consist of:

Each member of the Executive Committee shall have one vote and one vote only.
B. Nomination, Election, and Tenure
1. Officers will be elected by majority vote of Club members in attendance at the annual businessmeeting held in January of each year. Officers will serve from January 31 through January 31.The Executive Committee shall appoint members of the Nominations Committee who shall beClub members in good standing. Nomination of officers shall be in accordance with Article V ofthe Club By-Laws.
C. Responsibility of Officers

a. Direct Club activities
b. Coordinate activities of officers
c. Appoint committees and their chairs
2. President
a. Preside over Club meetings
b. Formulate meeting themes
c. Work with officers and Club members in setting meeting agendas
d. Assign duties of officers
3. Vice-President
a. Perform the duties of President in his/her absence
b. Be liaison between the Space Coast Miata Club and other organizations
4. Treasurer
a. Formulate Club financial policy
b. Implement the financial policy and administer financial matters of the Club
5. Secretary
a. Record and distribute minutes of Club meetings
b. Coordinate the development and on-going publishing of the Club newsletter
c. Administer Club correspondence
6. Remaining members of the Executive Committee
a. Perform duties as assigned by the Executive Committee
ARTICLE VI
FINANCIAL
A. Dues shall be paid as a condition of membership.
B. Dues shall be used for the support of Club operations.
1.If a deposit for a rental facility is required by the event coordinator, i.e., Thanksgiving with Friends, Annual Picnic, Holiday Party or Annual Dinner, but not limited to the above, and if there is not a quorum of regular Club members at said meeting; then:
a.If there is a majority of Executive Board Committee members (at least 6) present, the Executive Board Committee can approve the disbursement of the necessary funds for the reservation of the facility.
b.Should there not be a quorum of the Executive Board Committee at said meeting, it then shall be the responsibility of the Club Secretary to notify the Executive Board Committee by email of the requested deposit and for the committee to email their Yes or No response to the Secretary in a timely manner.
c.If said expenditure is thus approved, the Secretary shall then notify the Treasurer of such approval via email or in writing, authorizing the release of Club funds.
d.If the Secretary is unavailable for any reason to handle the emailing, it then shall become the responsibility of the President to either notify the Executive Board Committee by email or to delegate such notification in a timely manner.
e.If said expenditure is thus approved, the President or the President’s delegate shall then notify the Treasurer of such approval via email or in writing authorizing the release of Club funds.
ARTICLE VII
AMENDMENTS
A.Amendments or changes to the Club constitution shall be proposed by a Club officer at a regularmeeting.
B.Approval by 60% of those members present is necessary for adoption.
