IN ORDER TO PROMOTE A GROWING SENSE OF UNITY AND PRIDE IN OUR SCHOOL AND TOWARD OUR PROFESSIONAL GOALS, WE, THE STUDENTS OF SAN JOAQUIN COLLEGE OF LAW, DO HEREBY ESTABLISH THIS CONSTITUTION FOR THE SAN JOAQUIN COLLEGE OF LAW STUDENT BAR ASSOCIATION.

SAN JOAQUIN COLLEGE OF LAW STUDENT BAR ASSOCIATION

(an unincorporated association)

FIRST: The name of this Association is SAN JOAQUIN COLLEGE OF LAW STUDENT BAR ASSOCIATION

SECOND: The purposes for which this association is formed are:

(a)  The specific and primary purpose is to unite and assist the students of San Joaquin College of Law.

(b)  The general purposes and powers are:

(i)  To stimulate a high order of academic attainment; to disseminate information and knowledge of interest to members; to establish standard of ethics for and among the members; to uphold the honor and dignity of the law as befits students thereof; to project a professional image to the community; and to establish good fellowship among the members of the Association.

(ii)  To receive donations of real or personal property in trust or otherwise, and to purchase, or otherwise acquire, own, hold, use, exchange, sell or otherwise dispose of real and personal property of every kind, nature or description, necessary for carrying out the purposes of this Association as specified in paragraphs (a) and (b) (i) of this Article Second.

(iii)  To sue and be sued in its own name.

(iv)  To enter into and perform contracts in its own name, provided, however, that no member of this Association shall be individually or personally liable for the debts or liabilities contracted or incurred by the Association.

(v)  To adopt, alter or cancel an insignia.

(vi)  To adopt, amend or repeal Bylaws by a majority vote of the Student Board and a majority vote of the members of this Association.

(vii)  Generally to have and exercise all other powers and rights now conferred, or which may hereafter be conferred, on such association by law, or which do not contravene public policy.

(c) All of the aforementioned purposes are to be exercised within the limits of Section 501 (c) (3), Internal Revenue Code.

The foregoing statement of purposes shall be construed as a statement of both purpose and powers, and the purposes and powers in each paragraph shall, except where otherwise expressed, not be limited or restricted by reference to or inference from the terms or provisions of any other paragraph, but shall be regarded as independent purposes and powers.

THIRD:(a) The powers of the Association shall be exercised, its property controlled and its affairs conducted by a Student Board which shall consist of the elected and appointed officers and class representatives of the Association, provided, however, that said Student Board shall not incur any liability on behalf of the Association in excess of the sum held in the Association bank account without the prior approval of a majority of the members of the Association.

(b) The qualifications, the time and manner of electing, the terms of office, the duties and the manner of removing officers and filling vacancies shall be set forth in the Bylaws of this Association.

FOURTH: The qualifications of members of the Association, and the different classes of membership, if any, the voting and other rights and privileges of members, and the liability to pay dues and the method of collection shall be as stated in the Bylaws.

FIFTH: This Association shall be dissolved and its affairs terminated when the objects for which it is organized have been fully accomplished, or by the vote or written consent of 75% or more of its members and not otherwise.

SIXTH:(a) This Association is not organized, nor shall it be operated for pecuniary gain or profit, and is organized solely for nonprofit purposes.

(b) Upon the winding up and dissolution of this Association, after paying or adequately providing for the debts and obligations of the Association, the remaining assets shall be distributed to a nonprofit fund, foundation or corporation, which is organized and operated exclusively for charitable, education, or religious and/or scientific purposes and which has established its tax-exempt status under Section 501 (c) (3) of the Internal Revenue Code.

(c) No part of the net earnings of this Association shall ever injure to or for the benefit of or be distributable to its members, trustees, officers, or other private persons, except that the Association shall be empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the exempt purposes for which it was formed.

(d) Notwithstanding any other provision of these articles, the Association shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income Tax under Section 501 (c) (3) of the Internal Revenue Code of 1954.

SEVENTH: None of the activities of this Association shall consist of the carrying on of propaganda, or otherwise attempting, to influence legislation, nor shall this Association participate in, or aid any political campaign on behalf of any candidate for public office. This shall not prohibit members of this Association from doing so on an individual basis.

EIGHTH: If this Association holds any events to which members of the general public are invited to observe or participate in for a fee, the income from the general public, if any, will be paid into the treasury of the Association for the benefit of the members.

NINTH:(a) The original or a copy of this Constitution as amended to date shall be kept at the principal office of the Association and shall be open to inspection by all members at any reasonable time.

(b) This Constitution shall be amended only by resolution duly adopted by a majority of the Student Board and by the vote or written consent of 2/3 of the members of the Association and not otherwise.
