Standard terms and conditions:
1: Powys Archives,in consideration oftheLicenceFee grantsanon-exclusivelicence inthe Territoryforthe Term in favouroftheLicensee:
(a)torecordandholdundertheLicensee’scontrol theImage(s)described abovein theform supplied by Powys Archives; and
(b)touse theImage(s) for orintheProduct untilexpiryoftheTermoruntiltheProductionRunspecified aboveiscompleted,whicheveroccurssoonest.
2: This licence is granted subject to the following conditions:
(a) theLicenseecannot usetheImage(s)foranyuseotherthantheusespermitted under thisAgreement;
(b) the Licensee is responsible for securing third party clearances, including copyright, and accepts sole liability for any complaints or actions arising from the use of the Image(s) in the Product specified; Powys Archives cannot give any information or offer any opinion on the existence of copyright in any item.
(c) nore-useorfurtherreproductionoftheImage(s)whether forfutureproductionrunsorotherwiseispermittedaftertheterminationofthisAgreementwithoutthepriorwritten agreementofPowys Archivesandthepaymentofadditionalfees;
(d)wherePowys ArchiveshassuppliedtheImage(s)in a form and, where applicable, to astandardofresolutionagreedbetweenPowys Archives andtheLicensee,orwheretheLicenseehascreatedtheImage(s)withtheagreement ofPowys Archives,theLicenseewill notusetheImage(s)foranypurposeotherthan for or in theProduct;
(e)allcopiesoftheProduct shallinclude thecredit ‘By permission of Powys Archives’ unless stated otherwise in writing;
(f)(i)wheretheProductisanon-electronicone,Powys Archivesreservestherighttoclaimacomplimentarycopy oftheProduct inwhichtheImage(s)appear,whichPowys Archives shallhavetherighttomakeavailabletoitsusers; (ii)whereaCD-ROMorother physicallydistinctobjectispartoftheProduct, acopyshallbegiven toPowys Archives freeofchargewithinsixty daysofpublication, whichPowys Archives shallhavetherightto makeavailabletoitsusers; (iii)whereanon-lineProduct,Powys Archivesrequirescomplimentary accessforallpersonsaccessingtheinternet throughcomputer terminalssituatedonPowys Archives’ premises,bywhatevermethoditdeemsfit;
(g)withinonemonth ofcompletionoftheProductionRun,orupon terminationofthisAgreementforany reasonwhatsoever,theLicenseemust: (i)ceasealluseoftheImage(s); and(ii)eraseallcopiesorrecordsofthe Image(s)madeunderthislicencefromtheLicensee’sdatabase,unlessafurtherProductionRunisagreedand therelevantadditionalfeespaid;
(h)noadaptation,alteration ormanipulationwhichdistortsormateriallyalterstheImage(s)ispermitted, withoutthepriorwritten consent ofPowys Archives,butmanipulationwhichclarifiestheImage(s)ispermitted;
(i) theLicenseeshallnotusetheImage(s)inanywaywhichwouldprejudicethereputationofeithertheauthor(s) ofthe work(s) represented in theImage(s)orPowys Archives orinanywaywhichwouldbeconsidered derogatory treatment;
(j)thislicenceispersonaltotheLicenseeandmaynotbeassigned,transferredorsub-licensed without the priorwritten consent ofPowys Archives;
(k)theLicenseeshallensurethatthirdpartiesincludingdesignersandprintersarebound bythetermsofthis licence; and
(l)theLicenseeshallnotallowanythirdpartiestouseorreproduce theImage(s)andshallinformPowys Archives ofanyunauthoriseduseofanyoftheImage(s)assoonasitbecomesawareofthesame.
(m) The Licensee shall indemnify Powys Archives and Powys County Council against all/any losses claims demands actions proceedings damages costs or expenses or other liability arising out of this Licence
3: Payment
Inconsiderationofthislicence,theLicenseeshallpayPowys Archives theLicenceFee. Thelicencefeeappliestothis licenceonly. VATshallbechargedatthecurrentrate. The LicenceFeedoesnotincludereprographicfeeswhichmaybechargedbyPowys Archivesin addition.Powys Archivesreserves the right to vary or waive fees in special circumstances, or for noncommercial ventures
4: Termination
Powys Archives shallbeentitledforthwith toterminatethisAgreement bywritten noticetotheLicenseeifthe LicenseecommitsanymaterialbreachofanyoftheprovisionsofthisAgreementand,inthecaseofabreach whichiscapableofremedy,failstoremedythesamewithinthirtydaysafterreceiptofawritten noticegiving fullparticularsofthebreachandrequiring ittoberemedied.
Either party shall be entitled to terminate this Agreement at any time by giving thirty days’ notice to the other party.
5: EntireAgreement
ThisAgreement constitutes theentireagreement between thepartiesandsupersedesallprevious communicationsandagreements includinganyandallpre-contractualrepresentations(exceptforfraudulent representations)betweenthepartieswithrespecttothesubjectmatterofthisAgreement.
6: Force Majeure
Neither partyshallbeliableorbedeemed tobeindefaultforanytotalorpartialfailuretoperformorfulfil its obligations underthisAgreement byreasonofforcemajeure,namely,eventsorcircumstancesbeyondthe reasonablecontrol ofthatparty,including,butnotlimitedto,actsofGod,actsofcivilormilitaryauthority, war,fire,explosion,flood,sabotage,embargo, riot,civilcommotion,strikesandlockouts.
7: Notices
Anynoticeswhicheitherpartymayberequired togivetotheother shallbesufficientlyservedifgivenin writingandsentbyfirstclasspost,totheaddressofthatpartysetouthereinortosuchother addressasmay benotifiedinwritingbythatpartyforthispurpose. Noticesshallbedeemedtohavebeengiventwobusiness daysafterthedateofposting.
8: Severability
IfandtotheextentthatanyofthetermsorprovisionsofthisAgreement shallbedeterminedtobeinvalid, unlawfulorunenforceable,thensuchtermorprovisionshalltothatextent bedeemednottoformpartofthis Agreement andaccordinglyshallbedeletedfromtheremainingtermsandprovisionsofthisAgreement which shallcontinuetobevalid,subsistingandenforceablebetweenthepartiestothemaximum extentlawfully possible.
9: Jurisdictionand GoverningLaw
Thislicenceshallbegoverned bythelawsofEngland and Walesandalldisputesarisinginanywayoutoforaffectingthis Agreement shallbesubjecttotheexclusivejurisdiction oftheCourts of England and Wales, towhichthepartiesagree tosubmit.
