SCOPE OF WORK

GOODWILL Industries of Southern California

1.PURPOSE

1.1.This contract provides a framework for an entry-level Information Technology (IT) Technician internship program. The goal of the program is to build career pathways through hard skill training and work experience.

1.2.1Under this CONTRACT Agreement, the LAUSD shall provide Internship slots and

supervision to screened candidates from the GOODWILL A+ program. There is no

obligation that LAUSD permanently hire the Interns after their formal internship

ends.

2.MUTUAL BENEFIT

2.1The LAUSD and GOODWILL acknowledge that this CONTRACT constitutes a mutually beneficial relationship to provide work experience opportunities in entry-level IT positions to GOODWILL program participants, and to provide them with information, skills and knowledge such that they are equipped to apply for a journey-level position with LAUSD.

3. REVISIONS AND MODIFICATIONS

3.1This CONTRACT may be revised or modified with the approval of both LAUSD and

GOODWILL. A request by one party of this CONTRACT for revision or modification must be presented in writing to the other party. Any modification or revision agreed

upon must be in writing and signed by the Chief Information Officer of LAUSD

and by the Director of Workforce and Career Development at GOODWILL .

4.LOCATION OF INTERNSHIP SITES

4.1 Internship positions will be located at public schools throughout the District. A+

Certification training is conducted at Goodwill Industries.

5.TERM OF AGREEMENT

5.1This CONTRACT shall become effective on December 1, 2003 and terminate one year

later. It may be extended for an additional year, through LAUSD contract action, upon mutual agreement of both parties.

6.TERMINATION

6.1 Either party to this CONTRACT may elect to terminate its participation without cause upon 24 hours written notice by delivering a notice of intent to terminate upon the other party.

7.INTERNSHIPS

7.1 Up to fourteen (14) interns shall be paid $12.50 per hour by GOODWILL , which shall

be the employer of record of the Interns. Any withholding required under California

or Federal law shall be performed by GOODWILL as employer of record. Internship

shall generally work between twenty (20) to thirty (40) hours per week. GOODWILL

and its Interns are independent contractors and shall choose the methods and means

by which work is performed for LAUSD and shall supply their own tools and

necessary materials to perform their jobs as Interns

7.2 Interns shall work public school sites and someone from each school shall monitor the work performed by the Intern.

7.3 All internship applicants shall have passed Part One – A+ Core Hardware certification test.

7.4Applicants are to be screened and selected by GOODWILL according to LAUSD standards before consideration by LAUSD. Upon clearance by GOODWILL, LAUSD will interview and screen the applicants. Though they will not be employees of LAUSD, all prospective Interns will be required to pass all LAUSD and/or state and/or federally mandated pre-employment screening procedures.

7.4.1All applicants will be required to submit to a Mantoux Screening Test to determine whether or not they have active tuberculosis.

7.4.2All applicants will be required to provide a full set of fingerprints to be taken by LAUSD staff. LAUSD will submit these fingerprints to the California Department of Justice for a review of the applicants’ criminal records, if any.

7.5At no time will LAUSD be the Interns’ employer of record, and at all times and for all

purposes, GOODWILL shall be deemed to the Intern’s employer of record. Other than payment to GOODWILL as set forth in 9.1, LAUSD shall have no responsibility to GOODWILL and/or the Interns for any payment whatsoever including, without limitation, payment for wages, benefits, workers’ compensation, unemployment, etc.

7.5.1GOODWILL is required to obtain the signature of all applicants on a document

provided by LAUSD wherein the applicants acknowledge that at no time, and for any reason or purpose, will they be employees of LAUSD. Said document will also provide that, upon completion of the internship program or dismissal therefrom, whichever comes first, the Interns will not become employees of LAUSD and will be required to apply for employment should they desire to become employees.

7.6LAUSD may refuse any Intern and/or may remove an Intern at any time for any reason.

Though up to fourteen (14) Interns may be made available by GOODWILL, LAUSD shall retain sole discretion as to the number of Interns actually provided a position.

7.7GOODWILL shall provide case management and supportive services to all Interns at a ratio of one (1) staff person to no more than fourteen (14) students. A GOODWILL IT Program Coordinator shall be the point person for case management and supportive services and shall be available during Interns’ scheduled hours.

7.8GOODWILL shall provide transportation assistance to Interns.

7.9Interns who successfully complete the internship will be eligible to complete the application process to become an LAUSD employee. Successful applicants may be eligible for LAUSD employment, but will be required to meet all standards set forth by LAUSD for employment.

8.SUBSIDY PAYMENT PROCESS

8.1GOODWILL shall invoice LAUSD on a monthly basis for 50% of the total hourly fee for hours actually worked ($6.25 per hour) by Interns. GOODWILL shall provide LAUSD with an accounting with each monthly bill identifying for each Intern the location and actual time worked per day for each day that month. LAUSD will pay GOODWILL ’s invoice within thirty (30) days of receipt of such invoice. Schools are to fax and then SEND the original invoice to ITD Support Services for payment against an account predetermined by the school administration. This payment will then be made against a contract number identified by the Request For Contract Action (RFCA) process.

  1. INDEMNIFICATION

9.1GOODWILL agrees to indemnify and hold LAUSD harmless for any and all claims which may be brought against LAUSD arising out of the Interns’ association with LAUSD, including, but not limited to, claims for matters such as wrongful termination, Workers’ Compensation, discrimination, harassment, physical injury, breach of contract, payment of wages, and all other similar claims. GOODWILL shall also indemnify and hold LAUSD harmless for any and all third party claims which may be brought against LAUSD arising out of the Interns’ association with LAUSD, including, without limitation, claims for matters such as physical injury, breach of contract, or property damage.

10.COMPLIANCE

10.1The parties represent that all operations of the parties’ businesses are, and will continue to be, conducted in compliance with Title VI and VII of the Civil Rights Act of 1964, the Privacy Rights of Parents and Students Act of 1974, the American with Disabilities Act of 1990, and all applicable local, state, and federal health and safety regulations.

11.ENTIRE FINAL AND BINDING AGREEMENT

11.1This agreement/CONTRACT represents the full agreement between LAUSD and GOODWILL and this Agreement supersedes any other agreements, oral and written, concerning LAUSD’S use of Interns supplied by GOODWILL. In signing an Agreement/CONTRACT, neither LAUSD nor GOODWILL relied upon any promise, representation, or any other inducement that is not expressed in this agreement.

11.2In entering into this Agreement and the settlement provided for herein, each party assumes the risk of any misrepresentation, concealment, or mistake. If any party shall subsequently discover that any fact relied upon in entering into this Agreement was untrue or that any fact was concealed from it, or that its understanding of the facts or the law was incorrect, such party shall not be entitled to relief in connection herewith and including without limitation of the generality of the foregoing, no party shall have any right or claim to set aside or rescind this Agreement. This Agreement is intended to be and is final and binding between the parties hereto regardless of any claims of misrepresentation made without the intention to perform, concealment of fact, mistake in fact, or in law, or any other circumstance whatsoever.

  1. AUTHORIZATION TO ENTER INTO CONTRACT

12.1Each of the undersigned warrants and represents that he or she is authorized and empowered to enter into this and execute this Agreement on behalf of LAUSD and GOODWILL .

  1. NO WAIVER OF RIGHTS

13.1No provision of this Agreement shall be modified or construed by any practice that is inconsistent with such provision, and failure by either LAUSD or GOODWILL to comply with any provision, or to require the other to comply with any provision, shall not affect the rights of either to thereafter comply or require the other to comply.
