Constitution and By-Laws

EAST CAROLINA SENIORS GOLF ASSOCIATION

CONSTITUTION AND BY-LAWS

Article IName:

a. The name of the non-profit Association is "East Carolina Seniors Golf Association".

Article II Purpose of Organization:

a. Provide senior golfers, 50 years or older, in eastern North Carolina the opportunity to
participate in competitive tournament Golf, promoting fun and fraternal Fellowship.

b. Affording members the opportunity to play monthly/bi-monthly (March through November)
on various courses in eastern North Carolina.

c. The association's membership will be divided into two (2) groups, 50 to 74 years of age and
shall be called Seniors; 75 years of age and older shall be called Super Seniors and will have

the option of hitting from the forward tee’s( Some Courses Red and other’s Green). Each

member will compete periodically (using their established handicaps) at several tournaments

throughout the year.

d. Policies/Rules: See Appendix "A" - Abbreviated Objectives/Policies and Rules.

Article III Organization and Administration:

a. Officers:

1. The governing body of the organization shall be the Board of Directors, limited to Eleven (11) members and any committees the President or Board deems necessary in the execution of the duties of the B.O.D.

2. The Board of Directors (BOD) shall consist of the following:

(a) President

(b) Vice-President

(c) Executive Secretary

(d) Assistant Executive Secretary

(e) Past President

(f) Six (6) Board of Director Members

b. Nomination/Election of Board of Directors (BOD)

1. Nominations of Board of Directors will be as follows:

(a) Current members of the Board would continue to serve on the Board as long as they

Continue to support the efforts of the organization and to only replace a Board

Member that decided to resign his position due to health, moving, death or removal

by a majority vote of the other members of the Board for just cause.

(b) Selection for a replacement would be made by the remaining Board Members. They
would select an individual from the same geographical area of the removed member

so as to keep "near equal representation". However if only one person is nominated,

selection can be made by acclamation by the presiding President.

(c) When the term of office of the President and Vice President expire, and the new

Board Members for the new year have been voted upon and accepted, the new

Board Members will then, by vote, select a new President and Vice President

The two (2) Individuals selected with then begin their two (2) years term in

office.

c. Tenure of Office:

1. President - The President will be elected/serve for Two (2) years. He will not be eligible
for re-election to consecutive terms. After his term, he will become a two year advisor on
BOD as Past President. (Eligible for nomination for any office, other than President)

2. Vice-President - The V-President will serve Two (2) years. Then he will be a nominee

for President, if he declines, he will be eligible for any other office, except V-Pres.

3. Executive Secretary/Assistant Executive Secretary-. They may be nominated/re-elected for
as many terms as either cares to accept, providing it is consistent with the best interest of the
association.

4. Other Directors - Other Members of the Board are nominated/elected for One (1) year
( See Art III b.1 above).

d. Duties of the Board of Directors:

1. President:

(a) Preside over BOD and general membership meetings.

(b) Responsible for preparation of the agenda for BOD and general membership

meetings.

(c) Lend guidance and assistance to BOD in the execution of their duties.

(d) Responsible for verification of annual audit of financial records.

(e) Through the BOD and Committees, give direction, guidance and assistance
necessary to assure successful operations of the Association.

(f) Will be Tournament Chairman; responsible for verification of site/food coordination,
adequate play plans and proper execution, assuring a fair and enjoyable tournament.

2. Vice-President:

(a) Assist the President in the execution of his duties.

(b) In the absence of the President, Serve as President.

(c) Will serve as tournament rules Chairman.

(d) Will be Tournament Co-Chairman.

(e) Will be Membership Co-Chairman

3. Past President:

(a) Will lend counsel and guidance to the incoming President and BOD.

(b) Will serve as Membership Co-Chairman.

4. Board of Director Members (Six 6)

(a) Represent the players in their area with regard to matters that come before the Board.

(b) Support vigorously all East Carolina Seniors Golf Association programs

(c) Be strong ambassadors for East Carolina Seniors Golf Association.

(d) Be active in recruiting new members, plus encouraging other members to recruit.

(e) Support the President as requested and/or appointed.

5. Executive Secretary

(a) Responsible for all administrative matters, such as; minutes of BOD and membership

meetings, informing members of meetings and tournaments, maintain accurate
individual member's pertinent information, individual play records and handicaps
and flighting players for tournament play. Other administrative duties as directed by
the President.

(b) Responsible for Financial matters, such as; collection of annual dues, site fees, cart

fees, and accurate accounting of same. Pay all approved bills, such as tournament
fees, prizes, food, postage and other administrative cost and re-imbursements to any
member who has an approved expense on behalf of the association. Other Financial
matters as directed by the President.

(c) Coordination of tournament events, such as; Obtaining Courses, date, time and food
and prizes for each tournament, informing clubs timely of the number of players for
play/food. Other such coordination's as directed by President.

(d) Actively conduct tournaments.

(e) Assure all members have copies of pertinent information such as; List of

BODs, Tournament Schedule and copy of Constitution and by- Laws, other such

information as directed by President,

(f) Expenses incurred in performance of his duties, including mileage at 25 cents per mile,

will be reimbursed based on proper receipt/voucher.

(g) The Exe. Sec. shall be paid $125.00 Each month. ( changed 2 March 06)
Beginning in 2015 the executive sec may have his entrance fee waived under the . following two conditions: 1: if members 100 or mor,e then 100% is waived. 2: if

Membership is less than 100 then his entrance fees will be waived at 50%. If it is

Deemed Financially feasible at his dicretion,

(h) The Exe. Sec. shall be bonded at the expense of the ECSGA. (i) If the Exe. Sec.

becomes incapacitated or resigns, the President will be responsible for continuation of

the duties of Exe. Sec. until a satisfactory replacement is found

6. Assistant Executive Secretary: To assist the Executive Secretary in any and all of his duties

as deemed appropriate by the Executive Secretary. In the absence of the Executive

Secretary, assume all duties and responsibilities in Article III. d (5). The Assistant Executive Secretary will, beginning the year 2017, have his golf fees waived for each tournament..

Article IV Membership

a. Qualification:

1. Must 50 years of age or older.

2. Recommended and sponsored by a current ECSGA member.

b.Procedures

1.Complete application with the following information; name, address, phone, date of birth, handicap/average score, club, wife's name, email, and list sponsoring member. Also provide info whether you ever had military service. This helps when arranging for fees at military courses.

2. Mail/Give application with appropriate joining fee to Exe.Sec..

3. New member will be announced/welcomed at next Tournament and there forth be afforded all benefits and privileges as other members of ECSGA.

4. New members will receive a "New Member" packet with a copy of the Abbreviated
Objectives, Policies and Rules, list of BOD, Tournament Schedule and other pertinent Information.

c.Honorary Membership

1.. Presidents of the Association having served their term in office may be presented a jacket
when approved by the Board of Directors.

2..Personnel who lend regular administrative and / or promotional support to the association may be awarded honorary status and have their annual dues waived. Board of directors must approve this on a yearly basis. The Executive Secretary has discretionary authority
in reducing registration fees for these individuals accordingly.

Article VAmendments to the By-Laws

a. Proposed amendments to the By-Laws will be submitted for BOD for consideration,

approval, or disapproval.

b. All changes to the Bylaws must be approved by BOD with a Quorum of more than

50%. All Board Members must be informed of such changes, 15 days in advance of

such action.

Article VI Meetings

a. The BOD will meet at least 2 months prior to first tournament for planning & elections.

b. The time, date and place will be adequately announced. Other meetings will be at the

call of the President.

c. General Membership meeting will be at the call of the President.

Article VIIDissolution of East Carolina Senior Golf Association: In the event of dissolution of the Association Assets of the Association will be distributed to such charitable organization(s) as are described in the U. S. Revenue Code.

Former Article IV Membership, Paragraph, c. Honorary Membership, subparagraph 2 eliminated—Stated honorary membership to those over 80 and a continuous member for five years will have annual membership dues waived.

Appendix “A” CONSTITUTION AND BY-LAWS OF ECSGA

ABBREVIATED OBJECTIVES, POLICIES AND RULES

OBJECTIVES:

1. Provide a non-profit organization; offering each of us 50 years or older, the opportunity to participate in a challenging and fun-filled Golf Tournament, fellowship, & prizes , all at the lowest cost possible. More members mean lower cost per person. Thus the importance of recruiting new members.

2. Schedule monthly/bi-monthly tournaments from March through November at various clubs in Eastern N.C.

3. Conduct play in compliance with USGA/Local/ECSGA Rules & Regulations (ECSGA exception rules).

4. We need your full participation, cooperation, & support. GROWTH & PARTICIPATION MEANS BETTER GOLF FOR ALL.

POLICIES:

1. Guest Invitation: Members may invite a houseguest at regular fees (regardless of age), affording a member to play rather than be forced to stay at home. (NOTE: SPECIAL GUEST INVITATION RECRUITING PROGRAM CANCELLED)

2. Membership Eligibility. You must be sponsored by a current ECSGA member in good standing.

3. Notification of event: Notices will be mailed or e-mailed to members informing of Date, Time, Place & Directions, 5-7 days in advance of next tournament.

4. MEMBER RESPONSE: Mail your $30.00 Check Entrance Fee Promptly, so that we have it at least Four or Five (5) days prior to play. We must notify the Clubs 2 to 3 Days prior to the tournament with the number for play.

5. Inclement weather cancellation: Whenever possible, we will cancel/notify you the night before event. Main notification is done on our web site under the link weather cancellations If in doubt morning of event, phone club (# on schedule & tournament notice). If Re-scheduled, you must confirm that you can play, otherwise, if cancelled. Monies paid become a credit for member to be used for future fees.

6. Cancellations: If you must cancel, call Pete DiNuzzo at (252-241-3214) as early as possible before event. Your monies will be held as a Credit for you to use as future site fees. (EXCEPTIONS)

a. No Show: (without notification) Forfeit entry fee (we will have to pay green fee cost for no shows anyway)

7. Check In: Arrive early. Check Flight Sheet near entrance for hole assignment, then check-in promptly, at least 45 minutes prior to Tee Off shown on schedule. Check-in closes 30 minutes prior to Tee Time. This is absolutely essential, so we can finalize flighting and be ready to start play on time. Players name & starting hole number will be posted on Club entrance and usually on cart.

CONDUCT: Conduct yourself during the event in Dress, Language & Play, so it reflects favorably toward you and the ECSGA’s reputation will do just fine. (MOST CLUBS NOW DO NOT PERMIT DUNGAREES & SHIRT W/O COLLARS)

HANDICAPS: Handicap is normally adjusted each month. IMPORTANT: Complete all scorecards carefully and accurately, reporting all good and bad scores, so your handicap will be representatively correct, note; failing to turn-in a bad score will cause you to have a false (unfair to you) lower handicap, so turn-in all scores. Good & bad.

E.C.S.G.A. RULES: GOLF IS A GAME OF HONOR. Always put Honor before winning.

PLAY BY THE RULES, (It’s Golf, Its fair & more fun for you and others.)

1. Normally USGA/Local Rules prevail, following exceptions are to speed play & create fairness for all.

2. Triple Bogie, Pick Up: EXAMPLE: Par 4, you are lying 6. Pick-up, record your score as 7.

3. Preferred Lies: Roll the Ball 1 club length in your own Fairway, if fairway is not clearly defined, then use rule; tree-line to tree-line. Play Ball down where it lies in Rough, unless announced otherwise. (Exception: Root Rule)

4. Root Rule: If your ball is on/near a root, you may lift/drop it directly away from & behind root to nearest relief, but not to improve your line of sight toward the pin.

5. Wet (Muddy) Conditions: (when announced) You may lift, clean & place your ball through the green.

6. Putt out all putts unless otherwise announced.

7. Play Ready Golf: When the person away is not ready, invite the next person ready to play their shot to speed play. This prevents falling behind & finishing much later than other groups. Don’t RUSH, just play SMART.

8. When finished playing, complete card, sign/attest, turn in to scorer/scoreboard promptly. (Neat/Accurate).

9. REMEMBER, all other USGA and/or LOCAL rules apply. When in doubt, use the foursome opinion on the correct rule/procedure and everything will work out fine. (Bring it up after play to help others.

10. Rules & Regulations Co-chairmen occasionally may conduct a 2 minute review of misunderstood, abused Rules and/or helpful hints prior to Tee-Off at tournament. Your comments, questions & suggestions are welcomed.

Policy change effective 2017: The current Board of directors after reviewing the ballots submitted on September 9, 2016 by the general membership ,will 1: interpret articles 1 and 2 of our constitution as being a “Men’s Only” organization. 2: Women cannot become fulltime members 3: Women may be invited to play Invitational tournaments only

Amendments to the By-Laws effective 2017

1: Creation of position of Tournament Facilitator

Description and Duties:

The tournament Facilitator is a person who will be appointed by the Board of Directors. The Person (Gender Neutral) need not be a member of ECSGA and will be paid on a per tournament basis of $50 per.

Duties

1: Gather names of players from E/S. and determine if tournament will continue because of weather

2: enter names into Golf software and determine teams based on format

3. Contact golf course pro to determine starting holes

4: printout score cards and cart signs

5; printout polies, 50/50/ and skins sheets

Bring all items to tournament site. Cart signs and score cards to placed in carts by golf course employees

Registration table needs at least 3 people

Start tournament

At the end of the tournament gather score cards, poly, skins and 50/50 monies

And give to Sec/Treasurer
