Dear Sirs,
In consideration of your acceptance of our request to discharge at （変更後の荷揚港）and/or deliver at （変更後の荷渡地）the undermentioned goods to （実際に荷渡を受ける者）with the presentation of the full set of Bill(s) of Lading in spite of the descriptions on such Bill(s) of Lading by which the goods should have been discharged at （B/L上の荷揚港）and/or delivered at （B/L上の荷渡地）to （B/L上のConsignee）(Such discharge and/or delivery is hereinafter referred to as the "change of destination"), we hereby represent and warrant, with knowledge and intention that such change of destination be made in reliance thereon, that we are entitled to the said goods and the change of destination thereof and no other person, firm or corporation is so entitled and that we have full power and authority to make and issue this Letter of Indemnity.
Further, to induce you to change the destination of the said goods and in consideration thereof, we hereby undertake and agree as follows:
(1) To pay you on demand all freight, salvage, general average and/or other charges or expenses whatsoever in respect of the said goods; and
(2) To indemnify and hold you, the vessel, her owners, charterers, operators, master and agents harmless from all demands, claims, liabilities, actions and expenses, including legal expenses and attorney fees, and consequences of whatsoever nature which may arise out of or be connected with such change of destination; and
(3) Promptly on your demand, to settle directly by us any claim or to enter our general appearance in any proceedings, instituted against you or any party protected by this undertaking in respect of the said goods, and/or the change of destination thereof and/or to provide you with sufficient funds to defend the same and to meet any proved claims.
