With reference to your said enquiry & Drawing, We take this opportunity to submit our lowest

quotation forthe equipment as per the scope of supply.

A) SCOPE OF SUPPLY
Our Scope of Supply shall be limited to engineering, manufacture, supply and empty running

Trial Ex-Works of following Screws. Detail drawing is required at the time of manufacturing.

EXCLUSIONS-
1.Unloading the material at site.
2. All other electrical works except geared motor.
3. Assembly at site and Erection & Commissioning.
4. All other works/items not specifically mentioned.

NOTE:
A)We shall load the Screws in the truck/lorry at our WORKS. Truck /Lorry and

Transportation shall be arranged by the Client which is ‘TO PAY’ basis

D) COMMERCIAL TERM & CONDITIONS

BASIC PRICES:
Quotedbasicpricesare each, Ex-works, Mumbai, exclusiveofPacking Charges, Excise Duty, Sales Tax, Insurance, Octroi, Freight, E&C Charges, etc.

EXCISE DUTY& SALES TAX:
StatutoryExcisedutyand Central Sales tax will be charged extraas maybe applicable at the time of delivery. Presently Excise Duty is -Nil -Central Sales Tax @2% against Form "C"

PACKING CHARGES:
Unlessotherwiserequested by the customer, equipments will be offeredin un-packedcondition. Charges for our standard woodenpacking modeare 5% extra on given Cost

VISIT FOR ERECTION, COMMISSIONING & PRE-PRODUCTION TRIAL RUN :
Supervision services can be provided on chargeable basis @ Rs.1500/- per day per person plus to & fro traveling expenses, to assist the customer ONCE written confirmation is received about ready-to-erect-condition of the ordered equipment. Customerwill have to submit checklist, prior to such intimationcalls. The checklist will be sent along with dispatch documents. Necessary material, tools and tackles and manpower will be provided by the customer. In absence of readiness of site, for any reasons whatsoever, visit thereafter will be again on chargeablebasis.

PAYMENT:
Within 45 days from the date of Transport L.R. of material delivered.

DELIVERY:
30days from the date of technically & commercially clear acceptable order. The deliveryperiodis indicated in good faith, subject to Force Major conditions.

VALIDITY OF PRICES :
This offer is open for acceptance within 15 days from the date hereof and thereafter it is subject to our written confirmation.

ONE YEAR WARRANTY:
Our supply will be made under General Warranty against the defective material(s) and/or faulty workmanship. Our liability shall be to repair orreplace theequipment / component(s) freeofcostatour works after oursatisfactory inspection and acceptance in writing. Provided such defective parts are promptly returned to our works, on freight paid basis, unless otherwise agreed by us. Therepairedor newpart(s) will be dispatched on freight to pay basis consigned tocustomer. This general warranty will be valid for a period of 12 months from the date of oursupply. Wear & tear due to normal use as wellas damage due to negligence,of consumable spare parts and/or ready made bought out items is not covered withinour standard warranty clause. Hencereplacement(s) thereofifrequired by the customer will be on chargeable basis. We shall not be responsible forany liabilities, whatsoever, either direct or indirect arising outof this transaction.

PRICE ESCALATION:
Inthe event of delay from customers end in complying with the order termsordue to abrupt changes in Govt. policy attracting sudden hike in the inputcosts, reasonable price escalation may be inevitable. Customer agrees to accommodate the same on our justified representations.
SUPPLY SCOPE, DESIGNS & AMENDMENTS:
Thefield being application oriented, offered supply scope & designs are on ourexperience based standards to meet the rated performance parameters / warranties. We reservethe rights to amend or alter the same, if felt appropriate inthe interestofproduct application. Subsequent amendments in our standardsupplyscope / designs from customer’s end, once parameters are frozen, may be liable for denial in accommodation or reasonable price compensation.

THIRD PARTY INSPECTION:
In the event customer desires to get inspection carried out through third party / agency, information thereof would be revealed to us prior to order finalization. Thereafter, it wouldbesubjecttoour acceptance. Inanycase,our equipment(s)/system would be offered for inspection in fully assembled / erected conditiononly. The offered price does not envisage cost provisionsforthird party inspection / stage wise inspection / documentary procedures thereof.

RETENTION OF OWNERSHIP:
Equipmentshallremain the property of the sellers until such time asall theliabilities of the customer against this contract shall have been met in full.
ORDER CANCELLATION:
Ordercancellationis not acceptable. However, in a very specialcase& upon representation of written request, cancellation may be considered. Neither the supplier nor the Owner/ Contractor shall be considered in default in The performance of their contractual obligations under the Purchase order, as long as such performance is prevented or delayed for reasons, by such act of God ,as server earthquake, typhoon or cyclone (except Monsoon ) floods, lightning, landside, fire or explosions, plague or epidemics, sabotage, blockade, war, riots, invasion, act of foreign enemies, hostilities (Whether war to be declared or not ) Civil war rebellion, revolution, insurrection/or military usurped power of confiscation or trade embargoes or destruction requisition by order of any Government of any public authority.

JURISDICTION:
Alldisputes arising out of this contract are subject toMumbai jurisdictiononly. Anystipulationsmade by the customer in their conditions printedor otherwise, shall be null and void.
