Session I / Facilitative Developments : Securities and Corporate Laws
In the last few months, the Government and SEBI have taken a number of steps to simplify procedures and transactions and clarify standards for corporate governance. Healthy standards of corporate and a clear guidance to deal with conflicts of interest speed up decision-making. The resulting efficiencies in capital markets and transparency are likely to usher in a healthy environment for investment and corporate growth. To make corporate law even more business and growth friendly, further amendments have been proposed to the Companies Act, 2013. Regulations for listed companies are also being geared towards greater disclosure and clarity in interpretation. The session will focus on the legal requirements and implications of the proposed amendments and the challenges which companies are still grappling with.

The cumbersome insolvency resolution is one of the key reasons for India's low ranking in Doing Business. The Insolvency and Bankruptcy Code, 2016has been passed by the Parliament to provide a framework for time-bound resolution of insolvency, ensuring a better and faster debt recovery mechanism and protection of stakeholders’ interests. The Session will deliberate on the paradigm shift that the Code seeks to create and whether it would be able to holistically address the challenges being currently faced by lenders as well as borrowers.

Corruption has a detrimental impact on the country’s economy and negatively impacts FDI inflows into the country. The Government has proposed amendments to the existing Prevention of Corruption Act, aimed to effectively check corruption and also align it with UN Convention Against Corruption.Closely linked with prevention of corruption is the proposed Public Procurement law, which seeks to bring about transparency in procurement by Central Government and its entities. Given the significant impact of corruption on business environment, the discussion would aim to bring out suggestions on how to strengthen these anti-corruption laws, ensure transparency, accountability and probity in systems and processes.
