/ ARTIST LOAN AGREEMENT
The undersigned (“lender/artist”) hereby loans to Burlington City Arts (“BCA”) the objects described herein for the purposes, and subject to the terms and conditions set forth.

INSURANCE

Artist is required to provide an itemized list of works including title, size, medium, date of creation and price of all work on loan to BCA. Please include images if possible.

BCA will insure the loaned work while in BCA’s possession for the duration of the loan.

The Artist agrees that in the event of damage, prior to filing an insurance claim, if applicable, the lender will work with BCA to ensure timely repair of work through means of artist compensation for labor and materials, conservator compensation or through other means deemed acceptable by both parties.

PHOTOGRAPHY

Artist will provide print-quality JPEG images for publicity and catalogue reproduction of all work on loan. Each image should be titled with artist name last first, work title, medium, size in inches, price. ie, MACONKERRIBLUESKYOILONCANVAS24X24$2400.

If applicable, copyright information/credits must accompany each image. Unless permission is refused or limitations are noted below, it is understood that during the loan period the loaned object(s) may be photographed, reproduced or telecast for the following purposes: documentation, publicity, publication and educational programs connected with this exhibition. Copyright permission is hereby issued to BCA free of charge as it relates to this loan.

Under copyright law, Artist retains all reproduction rights to his/her work, unless otherwise specifically assigned.

PACKING and TRANSPORTATION

Artist shall deliver or cause to be delivered all consigned items to Memorial Auditorium: 250 Main Street, Burlington, VT.

Artist is responsible for cost of shipping work to BCA. If an Artist wishes the consigned items returned within the timeframe of consignment, Artist is responsible for shipping costs.

Artist agrees to pack work securely for transport and provide all necessary materials for the safe transport of the work. BCA will not be held responsible for damage due to improper packing.

The work will be returned packed in the same or similar materials. If necessary the Artist is responsible for providing detailed packing instructions for all work.

Work returned and damaged in the original packing materials and according to the Artist’s instructions shall not be covered by BCA.

At no time is BCA responsible for the cost of providing new packing materials; any cost incurred as a result of replacing damaged packing materials will be the responsibility of the Artist.

SALES

Whenever an Artist delivers, or causes to be delivered, a piece of art to BCA for the purpose of sale, or exhibition and sale, to the public on a commission, fee, or other basis of compensation, the delivery and acceptance thereof by the Gallery is deemed to be on consignment. Art sold on consignment is based on a 40% commission structure to the Gallery unless otherwise noted. Prices for said items shall be set by Artist but approved by BCA.

In special circumstances, BCA reserves the right to discount artworks up to 10%. In the event of a discount, BCA and Artist evenly split discounted price, 50%, or otherwise agreed upon.

If a sales contact was made through exhibition at BCA, resulting in a sale made directly by Artist through his/her studio or other sales venue, honor code suggests a partial commission rate be made to BCA Gallery commensurate with an agreed upon rate of 20%.

Loans will be on consignment through BCA for one year or as long as the work is available for sale. Work will remain in the possession of BCA while on exhibition, until a point of sale or for a time negotiated between BCA and the Artist.

Artist agrees to inform BCA in any change of inventory of consigned work and keep BCA apprised of new inventory as it becomes available.

Artist agrees to negotiate with any third party regarding the consignment of work through BCA.

In entering this agreement lender agrees that BCA will work to represent all work available for sale by the Artist, unless otherwise noted. Upon the occurrence of BCA customers seeking work exceeding those currently within the consigned collection, Artist is expected to work with Gallery staff to arrange for delivery of available requested pieces and are subject to the terms of this agreement.

BCA will pay consignment commissions to Artist once a month on or around the 15th or within two weeks from the date of sale.

This agreement is entered into between the City of Burlington, a municipal corporation of the State of Vermont, by and through its department Burlington City Arts (BCA) and the undersigned Lender/Artist. For and in consideration of the promises, covenants, terms, and provisions contained in this agreement, the parties mutually agree.

ART SALES & LEASING SUBMISSION REQUIREMENTS

  • All artwork submitted for inclusion must consist of original works of art
  • Artwork must be submitted in “ready to install” condition (framed or presentable and equipped with all hardware and wiring necessary for hanging from either hook & nail or cable system)
  • Once artwork has been placed in an exhibition lease, artist may not remove work from the exhibition prior to the end date of the lease unless agreed upon with BCA, in which case a comparable replacement must be provided
  • Artist agrees to pay a one-time non-refundable administration fee of $10 for inclusion in the database (payable by check to BCA)

DROPBOX

Upon signing of the loan agreement, BCA will provide a link to a shared Dropbox folder (along with instructions). Artist will use this link to provide and keep updated the following:

  • High resolution JPEG images reflecting original artwork that is currently available for sale and/or lease. Artist will update accordingly as work is sold or becomes unavailable
  • Price lists for all works submitted. List must include (for each piece): title, medium, dimensions in inches, framed/unframed, year, price
  • Artist statement/biography/resume
  • Current contact information
