CONSULTING AND MASTERMIND SERVICES AGREEMENT
This Consulting and Mastermind Services Agreement (the “Agreement”) stipulates the terms and conditions that govern the contractual agreement between Bookkeeper Business Launch, LLC (the “Consultant”) having its principal place of business at 1712 Pioneer Ave., Ste. 622, Cheyenne, WY 82001 and ____________________________, (the “Client”) having its principal place of business at__________________________________________________.
WHEREAS the Consultant offers consulting and mastermind group services in the field of marketing and operations for bookkeepers in business.
WHEREAS the Client desires to retain the services of the Consultant to render consulting and mastermind group services according to the terms and conditions herein.
NOW, THEREFORE, in consideration of the mutual covenants and promises made by the parties hereto, the Consultant and the Client covenant and agree as follows:
1. Term
This agreement shall commence on or about December 14, 2016 and continue through December 31, 2017.
2. Consulting and Mastermind Group Services
The Consultant agrees that it shall provide its expertise to the Client for all things pertaining to the consulting and mastermind group services provided.
The scope of the consulting and mastermind group services is to assist in aiding Client in implementing marketing and sales systems for the purpose of acquiring bookkeeping services clients.
Furthermore, the consulting and mastermind group services is designed to assist in aiding the Client in implementing fulfillment systems for purpose of serving bookkeeping clients in an efficient and effective manner.
3. Compensation
In consideration for the consulting and mastermind group services, the Client shall pay the Consultant $6,500 as a one-time, up-front payment. This amount is due with the execution of this agreement. Consultant acknowledges that Client has paid a deposit in the amount of $250 previously. This deposit is applied to the one-time upfront payment bringing the total amount due $6,250.
As a payment alternative, Client may pay $3,500 down with the execution of this agreement, then ten (10) equal payments of $350 on a monthly basis commencing February 1, 2017. The total of payments under this arrangement is $7,000. Consultant acknowledges that Client has paid a deposit in the amount of $250 previously. This deposit is applied to the down payment bringing the amount due with the execution of this agreement to $3,250.
IMPORTANT: PLEASE INITIAL WHICH PAYMENT METHOD YOU CHOOSE BELOW:

Furthermore, it is understood that, except for the “Guarantee” below, this compensation is non-refundable.
4. Confidentiality
The consultant shall not disclose to any third parties any details regarding the client’s business.
5. Guarantee
The Consultant guarantees, within the conditions listed below, that the Client will acquire new bookkeeping services clients revenue at the rate of 2X the compensation received by the Consultant, within the Term of this agreement.
Should the Client not receive new bookkeeping services client revenue at the rate of 2X the compensation received by the consultant, within the Term of this agreement, Consultant shall refund compensation received plus 5%. The earliest date of refund compensation is on or about January 2, 2018.
Conditions of the Guarantee:
● Client shall make every effort to employ any and all recommendations and implementation plans as outlined by the Consultant.
● Client shall make every effort to attend all live question and answer and training sessions throughout the term of this agreement. Any training sessions for which the client shall not attend live, shall be watched as a recorded event.
● Client shall invest their own funds into advertising, marketing, sales and fulfillment efforts as outlined by the Consultant.
● Client shall make every effort to attend, at their own cost for travel and lodging, the 2-day live event to be held during the term of the agreement.
6. Services Included
The Consultant shall provide, on a monthly basis, one (1) or more implementation plans to the Client. Furthermore, the Consultant shall provide two (2) follow-up live, group questions and answer and training sessions, per month throughout the term of the agreement.
The Consultant shall provide a total of six (6) private, one-on-one 30 minute coaching calls via telephone or internet to the Client during the term of this agreement. The client is responsible for initiating these private coaching call sessions with the Consultant.
The Client shall receive two (2) tickets to the Consultant’s annual convention. The client understands that all costs associated with traveling and staying at the event location is the sole responsibility of the Client and that the Consultant shall not share or bear any of these costs or expenses.
The Client shall receive one (1) access pass to the live two-day planning event held exclusively for the members of the Band of Bookkeepers Mastermind Group. This event will be held around the time before or after the Consultant’s annual convention. The client understands that all costs associated with traveling and staying at the event location is the sole responsibility of the client and that the consultant shall not share or bear any of these costs or expenses.
7. Client Expenses and Costs
The Client understands and acknowledges that they bear all costs associated with marketing and implementing the services recommended.
Furthermore, Client acknowledges that certain marketing and fulfillment implementation plans require an investment of money for the purpose of advertising and running their bookkeeping business. The Consultant is, in no way, financially or otherwise responsible for bearing any such costs or expenses.
8. No Modifications Unless in Writing
No modification of this agreement shall be valid unless in writing and agreed to by both the Client and the Consultant.
9. Applicable Law
This Consulting and Mastermind Services Agreement and the interpretation of its terms shall be governed by and construed in accordance with the laws of the State of Wyoming and subject to the exclusive jurisdiction of the federal and state courts located in Laramie County, Wyoming.
10. Indemnification
The Client agrees to indemnify, defend and protect the Consultant from and against all lawsuits and costs of every kind pertaining to the client’s business operations, marketing, sales and advertising efforts.
IN WITNESS WHEREOF, both the Client and the Consultant has executed this consulting and mastermind services agreement, both parties (the Client and the Consultant) by its duly authorized officer or sole proprietor as of the day and year set forth below.
