Taxes

ContractorherebyagreesthattheresponsibilityforpaymentoftaxesfromthefundsthusreceivedunderthisContractand/orlegislative appropriation shall becontractor'sobligation and identifiedunder Federaltax identification number.

InaccordancewithR.S.39:1624(A)(10),theLouisianaDepartmentofRevenuemustdeterminethattheprospectivecontractoriscurrentinthefilingofallapplicabletaxreturnsandreportsandinpaymentofalltaxes,interest,penalties,andfeesowedtothestateandcollectedbytheDepartmentofRevenuepriortotheapprovalofthiscontractbytheOfficeofStateProcurement.Theprospectivecontractorhereby atteststoitscurrentand/orprospectivecompliance,andagreestoprovideitsseven-digitLDRAccountNumbertothecontractingagencysothattheprospectivecontractor’staxpaymentcompliancestatusmaybeverified.TheprospectivecontractorfurtheracknowledgesunderstandingthatissuanceofataxclearancecertificatebytheLouisianaDepartmentofRevenueisanecessarypreconditiontotheapprovalandeffectivenessofthiscontractbytheOfficeofStateProcurement.ThecontractingagencyreservestherighttowithdrawitsconsenttothiscontractwithoutpenaltyandproceedwithalternatearrangementsshouldthevendorfailtoresolveanyidentifiedapparentoutstandingtaxcompliancediscrepancieswiththeLouisianaDepartmentofRevenuewithinseven(7)daysof suchnotification.

TravelTravel and all other expenses incurred will be the responsibility of Contractor.

TerminationforCause

TheStatemayterminatethisContractforcausebaseduponthefailureoftheContractortocomplywiththetermsand/orconditionsoftheContract;providedthattheStateshallgivetheContractorwrittennoticespecifyingtheContractor'sfailure.If withinthirty(30)daysafterreceiptof suchnotice,theContractorshallnothaveeithercorrectedsuchfailureor,inthecaseoffailurewhichcannotbecorrectedinthirty(30)days,beguningoodfaithtocorrectsaidfailureandthereafterproceededdiligentlytocompletesuchcorrection,thentheStatemay,atitsoption,placetheContractorindefaultandtheContractshallterminateonthedatespecifiedinsuchnotice.TheContractormayexerciseanyrightsavailabletoitunderLouisianalawtoterminateforcauseuponthefailureoftheStatetocomplywiththetermsandconditionsofthiscontract;providedthattheContractorshallgivetheStatewrittennoticespecifyingtheState'sfailureandareasonableopportunityforthe state tocurethe defect.

TerminationforConvenience

TheStatemayterminatetheContractatanytimebygivingthirty(30)dayswrittennoticetotheContractor. TheContractorshallbeentitledtopaymentfordeliverablesinprogress,totheextentworkhasbeenperformedsatisfactorily.

Remedies for Default

Anyclaimorcontroversyarising outofthis contractshallbe resolved bytheprovisionsofLSA-R.S.39:1672.2 -1672.4.

Governing Law

ThisContractshallbegovernedbyandinterpretedinaccordancewiththelawsoftheStateofLouisiana,includingbutnotlimitedtoLa.R.S.39:1551-1736;rulesandregulations;executiveorders;standardtermsandconditions,specialtermsandconditions,andspecificationslistedintheRFP (if applicable);andthisContract.Venueof anyactionbrought,afterexhaustionofadministrativeremedies,withregardtothisContractshallbeintheNineteenthJudicialDistrictCourt,ParishofEastBatonRouge,State of Louisiana.

E-Verify

Contractoracknowledgesandagrees tocomplywiththe provisions ofLa.R.S.38:2212.10 andfederallawpertainingtoE-Verifyin the performanceofservices under this Contract.

RecordOwnership

Allrecords,reports,documentsandothermaterialdeliveredortransmittedtoContractorbyStateshallremainthepropertyofState,andshallbereturnedbyContractortoState,atContractor'sexpense,atterminationorexpirationofthiscontract.Allrecords,reports,documents,orothermaterialrelatedtothiscontractand/orobtainedorpreparedbyContractorinconnectionwith the performanceofthe services contractedforherein shallbecome the propertyofState,andshall,uponrequest,bereturnedbyContractortoState,atContractor'sexpense,atterminationor expirationofthiscontract.
Commissioner’s Statements

Statements,actsandomissionsmadebyoronbehalfoftheCommissionerofAdministrationregardingtheRFPorRFPprocess,thisContract,anyContractorand/oranysubcontractoroftheContractorshallnotbedeemedaconflictofinterestwhentheCommissionerisdischargingdutiesandresponsibilitiesunderlaw,including,butnotlimited,tothe CommissionerofAdministration’sauthorityin procurementmatters.

Contractor’s Cooperation

TheContractorhasthedutytofullycooperatewiththeStateandprovideanyandallrequestedinformation,documentation,etc.tothestatewhenrequested.ThisappliesevenifthisContractisterminatedand/oralawsuitisfiled.Specifically,theContractorshallnotlimitorimpedetheState’srighttoauditorshallnotwithholdStateowneddocuments.

Nonassignability

Nocontractorshallassignanyinterestinthiscontractbyassignment,transfer,ornovation,withoutpriorwrittenconsentoftheState.Thisprovisionshallnotbeconstruedtoprohibitthecontractorfromassigninghisbank,trustcompany,orotherfinancialinstitutionanymoneydueortobecomeduefromapprovedcontractswithoutsuchpriorwrittenconsent. Notice ofanysuch assignmentor transfershallbe furnishedpromptlytothe State.

Auditors

Itis herebyagreed thattheLegislativeAuditorofthe State ofLouisianaand/orthe Office ofthe Governor,DivisionofAdministration auditorsshallhave theoptionofauditingallaccountsofcontractor which relate tothis contract.

Fiscal Funding

Thecontinuationofthiscontractiscontingentupontheappropriationoffundstofulfilltherequirementsofthecontractbythelegislature.Ifthelegislaturefailstoappropriatesufficientmoniestoprovideforthecontinuationofthecontract,orifsuchappropriationisreducedbythevetooftheGovernororbyanymeansprovidedintheappropriationsacttopreventthetotalappropriationfortheyearfromexceedingrevenuesforthatyear,orforanyotherlawfulpurpose,andtheeffectofsuchreductionistoprovideinsufficientmoniesforthecontinuationofthecontract,thecontractshallterminateonthe dateofthe beginningofthe firstfiscalyearforwhichfunds arenotappropriated.

DiscriminationClause

Thecontractoragreestoabidebytherequirementsof thefollowingasapplicable:TitleVIof theCivil RightsActof 1964andTitleVIIoftheCivilRightsActof1964,asamendedbytheEqualEmploymentOpportunityActof1972,FederalExecutiveOrder11246asamended,theRehabilitationActof1973,asamended,theVietnamEraVeteran'sReadjustmentAssistanceActof1974,TitleIXoftheEducationAmendmentsof1972,theAgeDiscriminationActof1975,theFairHousingActof1968asamended,andcontractoragreestoabidebytherequirementsoftheAmericanswith Disabilities Act of1990.

Contractoragreesnottodiscriminateinitsemploymentpractices,andwillrenderservicesunderthiscontractwithoutregardtorace,color,religion,sex,sexualorientation,nationalorigin,veteranstatus,politicalaffiliation,disability,orageinanymatterrelatingtoemployment.AnyactofdiscriminationcommittedbyContractor,orfailuretocomplywiththesestatutoryobligationswhenapplicableshallbegrounds forterminationofthis contract.

ContinuingObligation

Contractorhasacontinuingobligationtodiscloseanysuspensionsordebarmentbyanygovernmententity,includingbutnotlimitedtoGeneralServicesAdministration(GSA).Failuretodisclosedmayconstitutegroundsforsuspensionand/ortermination oftheContractanddebarmentfromfutureContracts.

EligibilityStatus

Contractor,andeachtierofSubcontractors,shallcertifythatitisnotontheListofPartiesExcludedfromFederalProcurementorNonprocurementProgramspromulgatedinaccordancewithE.O.s12549and12689,"DebarmentandSuspension," as setforthat24 CFRpart24.

Prohibition of Discriminatory Boycotts of Israel

In accordance with Executive Order Number JBE 2018-15, effective May 22, 2018, for any contract for $100,000 or more and for any contractor with five or more employees, Contractor, or any Subcontractor, shall certify it is not engaging in a boycott of Israel, and shall, for the duration of this contract, refrain from a boycott of Israel. The State reserves the right to terminate this contract if the Contractor, or any Subcontractor, engages in a boycott of Israel during the term of the contract.
