Confidentiality / Non-Disclosure /Non-Circumvention Agreement
Our agreement with the Sellers requires that we obtain this document and evidence of financial ability from any potential buyer/s before disclosing the name and location of said Business. Once disclosed, all questions must be directed through this agency. Breach of this agreement will result in pursuit of damages.In consideration of RJD Enterprises Inc. (hereafter the”Broker”) providing the undersigned with information on businesses for sale, I understand and agree to the following:
All information provided to me by Broker may be sensitive and confidential. The disclosure to others (unless they have also signed this agreement) may be damaging to the described businesses and their owners.If I decide not to pursue acquisition of any business or properties Broker has introduced me to, for whatever reason, I shall return all information to Broker and shall remain bound by this agreement.
I may not contact the respective business owner, employees, suppliers or customersexcept through Broker.
All information provided to me by Broker with respect to any business was obtained by the seller or other sources and was not verified in any way. I understand and agree that the Broker has no knowledge as to the accuracy of this information and makes no warranty, expressed or implied as to the accuracy of this information. I shall make my own independent verification of said information. I further agree that the Broker shall not be held liable for any errors, omissions or misrepresentations and to indemnify and hold Broker and his agents harmless from any claims for damages that may result from these errors, omissions or misrepresentations.
If I enter into an agreement to purchase a business that was introduced to me by the Broker, I grant the seller the right to obtain financial and credit information concerning myself through standard reporting agencies. All information obtained will be held confidential by Seller and Broker.
I will not enter into negotiations for the purchase of any business Broker has introduced me to, other than through Broker or his agents. All correspondences, inquiries, offers to purchase and negotiations relating to the purchase or lease of any business presented to me or my affiliates will be conducted exclusively through Broker or his agents. I acknowledge that Broker has provided a valuable service and if I purchase any business excluding Broker or I interfere with Brokers right to a commission, I shall be personally liable to Broker for a commission equal to ten percent (10%) of the total contract price (including non-cash consideration, if any), plus reasonable attorney fees.
