Article 1: Name & Location.

The club shall be known as the YANGON DRAGONS RUGBY FOOTBALL CLUB (YDRFC) and shall be located in the City of Yangon, Myanmar.

Article 2: Purpose & Objective.

The clubs purpose is to foster and promote the growth and development of the game of Rugby Union (“Rugby”) in the wider Yangon region.

·  To facilitate participation in rugby events; local, national, and international levels; in its varied forms ‘contact’, ‘touch’, ‘men’s’, ‘women’s’, ‘mixed’, ‘tens’ and ‘sevens’.

·  Developing and fostering an awareness of the traditions, and spirit of rugby.

Article 3: Members

Section 3.01. Club Members.

Playing Members:

·  Shall be voting members

·  Shall be eligible for selection for all appropriate teams of YDRFC

·  Shall be eligible for all members’ discounts and benefits available to YDRFC members.

Social Members

·  Shall have no voting rights

·  Shall be eligible for all members’ discounts and benefits available to YDRFC members.

Overseas members

(a)  Playing

·  Shall have no voting rights

·  Shall be eligible for selection for all appropriate teams of YDRFC

·  Shall be eligible for all members’ discounts and benefits available to YDRFC members.

(b)  Social.

·  Shall maintain membership in a frozen status during absence from Myanmar and shall be exempt from any increases in membership dues or joining fees that may occur during a period of 24 months.

Local Members

·  Shall have voting rights and eligibility for members’ discounts and benefits extended to them by the Committee.

·  Shall be eligible for selection for all appropriate teams of YDRFC

Junior Members

·  Shall have no voting rights

·  Shall be available to players aged 18 years or younger

·  Shall be eligible for selection for all appropriate teams of YDRFC

·  Shall be eligible for all members’ discounts and benefits available to YDRFC members.

Honorary Life Members

·  Shall be exempt from membership dues for life.

·  Shall have voting rights

·  Shall be available to any club member, as awarded by the club’s committee for recognition of outstanding support of the club.

·  Shall be eligible for all members’ discounts and benefits available to YDRFC members.

·  Sub Section 3.01.01. Every candidate applying for membership should be proposed by 2 present members. The applicant needs to be of good standing in the community.

·  Sub Section 3.01.02. The application will be recorded in clubs paperwork and the application discussed at the following committee meeting. Membership is at the absolute discretion of the committee.

·  Sub Section 3.01.03. Upon approval the new member will be forwarded a copy of the club constitution, its by-laws and membership fees.

·  Sub Section 3.01.04. A club member may have membership terminated at any time for reasons to include voluntary resignation, by not paying club bills or dues, or if found guilty of an offense that in the opinion of the committee brings the name or image of the rugby club or rugby into disrepute.

Section 3.02. Memberships Dues and Benefits.

Fees should be paid within 2 months of membership approval, if they are not paid then the new member will be considered to have declined membership.

Dues will be set as appropriate, at the first board meeting of the new club committee and can be revisited as and when decided by the board. The amount(s) shall be payable in advance yearly, being received by the 1st of February of the year.

In the event a member is in arrears by 1st of April each year, their membership will be suspended until full payment is made and the discharge of the suspension is approved by the Club Committee.

Benefits of memberships will be decided at committee meetings and advertised on the clubs website and newsletter.

Section 3.03. Honorary Life Members

When the club committee decides that services to YDRCU merit such recognition, they may offer honorary life membership to an individual club member.

Section 3.04. Representation.

Each Player, Overseas member (Playing) and honorary member shall be entitled to attend any meeting of the members and shall have one vote themselves or by proxy. Social members may attend meetings, but are not entitled to vote.

Section 3.05. Communications

Club members will have access to the website, a monthly newsletter and will be notified of meetings or events by email. Committee members will be notified by email and/or in person of events.

Article 4: Club Meetings

Section 4.01. Meeting.

The AGM shall be held during the first month of each calendar Year. The exact date of these meetings shall be set by the President, and called by the Secretary.

Notice of the place, date, hour and purposes of theAGM or SGM shall be posted to the Club's website and by e-mail to each member, not less than 14 days prior to the meeting.

Section 4.02. Annual General Meeting.

At the AGM ½ of the voting club members of the club shall constitute a quorum and must be present at the meeting.

The agenda;

·  To receive club reports from President, Secretary, and Club Captain/s

·  To receive and approve from the Treasurer, Balance sheet and Statement of accounts for the previous 12 months.

·  To elect committee members for the forth coming year.

·  To receive resolutions or amendments to club Constitution and By-laws and vote on those. Motion is passed when ¾ of the voting members present agree.

·  To receive any other motions from the agenda, but not the floor

a)  The President shall chair the AGM and have casting vote at all General meetings.

b)  To propose candidates, enter motions or exercise voting rights, members must have fully paid up club subscriptions. Overseas members may vote by proxy.

c)  All nominations will be returned to the club secretary 14 days prior to the AGM.

d)  Other business to be returned by the club secretary 14 days prior to the AGM.

e)  The agenda for the meeting will be published at least 7 days prior to the AGM.

f)  No motions can be entered into on the day except under special order of the president and/or secretary.

Section 4.03. Special General Meetings.

A Special Meeting of the members may be called at any time and for any purpose by the President or upon the request of at least 1/3 of the members entitled to vote and shall be called by the Secretary.

Notice of the time, date, venue and purposes of theSpecialmeetings shall be posted to the Club's website and by e-mail to each voting member, not less than 14 days prior to the meeting. At a special meeting ¾ of the voting members of the club shall constitute a quorum.

·  To receive club reports from President, Secretary, and convening parties

·  To receive notice and voting on the special motion. Passed when ¾ of the voting members present agree.

·  To receive any other motions from the agenda (but not the floor).

Section 4.04. Committee Meetings.

The Club Committee shall meet as required or at least monthly. Notice of any Special (Committee) Meeting, stating the purpose, place and date of the meeting, shall be given to each member at least 5 days prior to the meeting, personally and/or by e-mail.

At least ¾ of members of the Club’s Committee must be present in person to constitute a quorum for the transaction of Club affairs.

Resignation of a Committee member shall be given in writing to the President, or the Club Secretary. Replacement of committee members is at the discretion of the club committee.

Article 5: Club Committee

Section 5.1. Election of Committee members.

Committee members shall be elected by majority vote of members at the AGM

The Committee members shall include but not limited to;

Field Officers
·  Club Captain / ·  Team Captain
·  Head coach / · 

The group shall be referred to as the Club Committee. Holders must be members of the club in good standing, and shall be elected to hold office for a term of one year. Any Officer can serve for one or more terms. All Officers shall be at least 21 years old.

The Club committee will perform its duties in accordance with the YDRFC’s Constitution and By-Laws.

Section 5.2. Vacancies of Club Committee positions.

A Committee vacancy occurs due to;

a)  Death; or

b)  Resigns by notice in writing to the General Manager; or

c)  Brings disrepute to the office, YDRFC or/and the MRFF; or

d)  Is removed from office by unanimous resolution of the Club Committee. Club Committee. All Club Committee members shall be present at a meeting of the resolution convened for that purpose. The resolution is past when ¾ of the Club Committee agree.

e)  Any Committee member may be removed at any time by a 2/3 vote of the clubs members present and entitled to vote at a SGM. The president may have the deciding vote.

Any vacancy occurring in the Club Committee shall be filled by vote of a majority of the remaining Club committee at subsequent Club Committee meeting.

Section 5.3. General Powers of the Club Committee.

The Club Committee shall administer all affairs of the Club. It may make or cause to be made for the Club, in its name, any description of contract with the Club may lawfully enter into, and it may generally exercise all such powers which the Club, by the Articles of Incorporation or otherwise, is authorized to exercise, except such powers as are reserved to the members.

From time to time the club committee may see fit to form sub-committee’s for particular tasks. Those co-opted onto this committee can come from within the Club committee or from the wider paid-up members of the club, and shall disband once the specific task is completed,

All meetings, ‘AGM’, ‘SGM’, ‘Club Committee’, and ‘Sub-Committee’ shall have minutes taken and be entered into clubs records.

Neither Yangon Dragons Rugby Football Club nor its committee members are liable for any injuries, medical or otherwise sustained by rugby players. The club will do everything in its power to ensure health and safety of players is up-held.

Section 5.4. President.

The President shall be active in all aspects of club activities, and should be highly visible to Club members. It will be the duty of the President to preside over meetings of the members and to act as Chairperson of the Club Committee, to supervise Club officers and Committees in the performance of their duties, to act as liaison to the Myanmar Rugby Football Federation, and to supervise other Club functions and responsibilities which are carried out within the Club's jurisdiction. Specifically, the President should:

§  Take overall responsible for management and leadership of the Club.

§  Take responsibility for seeing the goals and direction of the Club and Committee are clear and followed through.

§  Represent the Club in public forums.

§  Attend Myanmar Rugby Football Federation (or appoint a representative) meeting and vote on behalf of the club in Federation affairs.

§  Co-coordinate club business with the officers.

§  Organize monthly meetings for Officers during the season as needed.

§  Oversee AGM and SGM meetings during the year.

§  Take control of all off-field beaches of etiquette that may bring the game or club in to dis-repute.

Section 5.5. Secretary.

It will be the responsibility of the Secretary to call all meetings of the members and the Club Committee that have been arranged by the President. The Secretary will also record and distribute minutes and Agendas for meetings to appropriate members. Specifically, the Secretary should:

§  Maintain committee contact and organization lists.

§  Collect information for a club roster, and distribute this data appropriately.

§  Supervise minutes taken and entered into the clubs records at all meeting, ‘AGM’, ‘Club Committee’ or ‘SGM’.

Section 5.6. Treasurer.

It will be the responsibility of the Treasurer to maintain and report all current financial conditions, to have overall responsibility for the legitimacy and accuracy of moneys paid and collected and disbursed by the Club. Specifically, the Treasurer should:

§  Publish a full financial report Semi-annually, wherein at least one report is available to members attending a Regular Monthly Meeting.

§  Supervise collection of all dues from members at the beginning of each season, and prepare reports for Club Committee.

Section 5.7. Field Officers.

The Field officers as a group shall determine the method and time of practice, method of play to be emphasized, and shall make all selections to all national sides. If necessary, selections shall be determined by a majority vote of the Selection Committee; in the case of a tie, the Coach will make the selection. All Field Officers should make every effort to attend all practices and games.
