THIS AGREEMENT, is made and entered into this th day of , 200 by and between THE EVERGREEN STATE COLLEGE, 2700 Evergreen Parkway NW, Olympia, WA 98505, an agency of the State of Washington (hereinafter referred to as “EVERGREEN”) and name of contractor, address, phone, and Tax ID # (hereinafter referred to as “The Contractor”)

THE PURPOSE OF THIS AGREEMENT IS TO CERTIFY THAT:

IN CONSIDERATION OF THE MUTUAL PROMISES AND OTHER CONSIDERATION RECITED IN THIS AGREEMENT, THE PARTIES MUTUALLY AGREE AS FOLLOWS:

All rights and obligations of the parties to this agreement shall be subject to and governed by the terms and conditions contained in the text of this Agreement.

This Agreement may be terminated with thirty (30)days written notice by either party. Notification to Evergreen will be addressed to

This Agreement may be amended by mutual agreement of both parties. Such amendments shall not be binding unless they are in writing and signed by personnel authorized to bind each of the parties.

  1. INDEMNIFICATION

Each party shall protect, indemnify, and save the other harmless from and against any damage cost or liability for any or all injuries to persons or property arising from negligent acts or omissions of itself, its employees or its agents howsoever caused.

  1. INSURANCE

General Liability

During the term of this contract, Contractor agrees to maintain in full force and effect Commercial General Liability in the amount of $1,000,000. Should said insurance coverage be canceled or materially changed, Contractor will give immediate written notice to EVERGREEN.

Industrial Insurance

The Contractor shall comply with the provisions of Title 51 RCW, Industrial Insurance. If the Contractor fails to provide industrial insurance coverage or fails to pay premiums or penalties on behalf of its employees, as may be required by law, EVERGREEN may collect from the Contractor the full amount payable to the Industrial Insurance accident fund. EVERGREEN may deduct the amount owed by the Contractor to the accident fund from the amount payable to the Contractor by EVERGREEN under this contract, and transmit the deducted amount to the Department of Labor and Industries, (L&I) Division of Insurance Services. This provision does not waive any of L&I’s rights to collect from the Contractor.

  1. GOVERNING LAW

This Agreement is made pursuant to and shall be construed in accordance with the laws of the State of Washington.

This Agreement constitutes the entire agreement between Evergreen and the Contractor, and there are no other prior oral or written agreements between the parties, which are not contained herein.
