CONFIDENTIALITY AGREEMENT

AND RESTRICTIVE COVENANTS PROHIBITING UNFAIR COMPETITION

<NAME> (“Employee”), as a condition of and in consideration of his employment with
Gannon Roofing Supply Company (“the Company”) hereby agrees and covenants as follows:

1. Protection of Confidential Information: Employee understands and agrees that his employment at the Company necessarily involves access to Confidential Information regarding the Company, its business operations, and the business operations of its customers, including, but not limited to: Company's customer lists; information concerning customer contacts and personnel; information concerning customers' prior business relationships with the Company, charges to customers and future needs of customers; marketing information and strategies; billing policies; and vendor/supplier information, price lists, and product information. Employee understands and agrees that all such Confidential Information that Employee has acquired or will acquire, as a result of his employment at the Company, is considered strictly confidential and proprietary, and Employee expressly acknowledges that the Confidential Information generally described in this Confidentiality Agreement constitutes “trade secrets” that are protectable interests of the Company. Immediately upon termination of Employee’s employment relationship with the Company, for any reason, Employee shall promptly return to the Company all documents, materials and tangible items constituting or reflecting any Confidential Information.

2. Prohibition on Disclosure of Confidential Information: Employee shall not for any reason during his employment at the Company, or at any time subsequent to the termination of his employment with the Company, disclose any of the Confidential Information described in Section 1 to any persons or entities who are not current employee of the Company or use any part of the Confidential Information described in Section 1 for any purpose except for the performance of Employee’s job responsibilities for the Company. Employee shall at all times during and after his employment with the Company, and at all times after the termination of his employment with the Company, protect and safeguard the Confidential Information from disclosure to, or any unauthorized use by, any and all persons or entities who are not current employee of the Company.

3. Restrictive Covenant Prohibiting Solicitation of Company’s Customers: Employee agrees and covenants that for a period of twenty four (24) months from the date of the termination of Employee’s employment relationship with the Company, Employee shall not directly or indirectly solicit sales from any of the Company’s customers or market any competing services to the Company’s customers, for himself or on behalf of any person or entity that directly or indirectly competes with the Company in the roofing , siding and window supply business.

4. Restrictive Covenant Prohibiting Solicitation of Company Employees: Employee agrees and covenants that for a period of twenty four (24) months from the date of the termination of Employee’s employment relationship with the Company, Employee shall not directly or indirectly solicit or encourage any current Company employees to leave their current employment to work for any business that directly or indirectly competes with the Company in the roofing, siding and window supply business.

5. Discipline for Violation of Confidentiality Agreement: Employee acknowledges that any violation of the terms of this Confidentiality Agreement during the time period in which he is employed with the Company shall result in disciplinary action against him, including, but not necessarily limited to, Employee’s immediate termination.

6. No Employment Contract: Employee acknowledges that this Confidentiality Agreement does not constitute a contract for employment for a definite term and does not change Employee’s status as an “at will” employee of the Company.

7. Enforcement and Remedies for Violations: Employee acknowledges that the Company operates in a highly competitive market and that Employee’s violation of any of the terms of this Confidentiality Agreement could result in severe and potentially irreparable damages to the Company. Therefore, in the event any violation(s) of the terms and conditions of this Confidentiality Agreement by Employee is/are proven by the Company, Employee agrees and covenants that the Company shall be entitled to immediate injunctive relief to restrain Employee from any further violation(s), together with damages as allowed by law. Employee further agrees that in the event the Company prevails in any litigation to enforce the terms and conditions of this Confidentiality Agreement, the Company shall be entitled to an award of legal expenses incurred in connection with the litigation, including its attorney's fees and court costs.

Employee understand and agrees that this Confidentiality Agreement is intended to be interpreted and construed under Iowa law and consents to the jurisdiction of the Iowa District Court for Polk County if litigation is necessary to enforce it.
