RECITALS

A.TheTerritoryprovidesfundingforan"Artistsin SchoolsProgram" bywhich practicingprofessional artistsarecontractedtoprovideartisticservicesdesigned topresentaseriesofconnectedexperiencesintheartstoteachers,students, parentsandthewider community.

B.PursuanttotheArtistsinSchoolsProgram,therelevant School Councilhasrequested,andthe Artist has agreedtoprovide, his or her services attheSiteontheterms and conditions setoutinthis Agreement.

THEPARTIESAGREEasfollows:

1.Definition and Interpretation

1.1Definitions

InthisAgreement,unless thecontext otherwiserequires:

Budget means thebudgetof expensesfor the provisionoftheServices agreed bytheSchool Council andtheArtistandapproved bytheCommittee.

CommitteemeanstheArtists in SchoolsProgramCommittee.

ConfidentialInformation meansanyinformationor data(includingall extracts madeof orfromsuchinformation or data) whethertrueor notandwhether recordedina materialformornotconcerning with:

(a)theoperations,dealings, organisation,business,financeand affairs ofthe

School;and

(b)anyindividual whois associatedwiththeSchool,includingall staff members,employeesandstudentsoftheSchool.

Contract Pricemeansthesum specifiedin,or identifiedinaccordancewith theprovisions oftheSchedule.

Intellectual PropertyRightsincludesall copyright andneighbouring rights, all rights inrelationtoinventions (including patentrights),registeredand unregisteredtrademarks (includingservicemarks),registered designs, confidential information(includingtradesecrets andknowhow) and all other rights resultingfromintellectualactivityinthescientific,literaryor artistic fields.

Payment SchedulemeansthepaymentschedulecontainedinItem7 ofthe Schedule.

Schoolmeans theschool atwhichtheArtisthas agreedtoprovidetheservices pursuanttothis Agreement.

Servicesmeans theservices describedinItem3 oftheSchedule.

SchedulemeanstheScheduletothis Agreement.

Sitemeans thesitedescribedinItem5 oftheSchedule.

Termmeanstheperiod describedinItem 4oftheScheduleduringwhichtheservices will be provided.

Territorymeans theNorthernTerritoryofAustraliac/- theNorthernTerritory Department ofEducation of55-59 MitchellStreet,Darwin intheNorthernTerritoryofAustralia.

1.2Interpretation

InthisAgreement,unless contrarytothecontext:

(a)words importingthesingular number includetheplural number andvice versa;

(b)words importinganygender shall includeall other genders;

(c) "person"includes abodycorporate;

(e)all covenants warranties undertakings andagreementsinthis Agreement, if enteredintobymorethanone(1) person,are deemedtobejointand several;

(f) headings andsub-headings have beenincludedfor easeofreference only andthis Agreementisnottobeconstrued or interpretedbyreferenceto theheadings or sub-headings;

(g)the Scheduletothis Agreementis tobereadandconstruedaspart ofthisAgreement.

(h)otherwisethan provided above,this Agreementis tobeinterpretedin accordancewiththeInterpretationActoftheTerritoryas ifitwere otherwiseadocumentsubjecttointerpretationin accordancewiththat Act.

2.PerformanceofServices

(a)The Artistwill providetheServices attheSiteduringtheTerm ofthis Agreement withintheBudget,uponandsubjecttotheterms and conditions setoutinthis Agreement.

(b)The Artistwill providetheServices as anindependentcontractor in accordancewith his/her ownmethodsandartistic abilities,thetermsofthis Agreementandapplicablelaws and regulations.

(c) Itis agreedthatthe Artistis notanemployee oftheSchool Council,theCommissionerfor Public Employmentor theTerritory.

(d)The Artistwill notifytheCouncil andtheTerritoryof his or her Australian Business Number inwritingatthetimeof execution ofthis Agreement,if notdonesoearlier.

3.WarrantybyArtist

The Artistwarrants that all designs,artwork andmaterials created bythe Artist in providingtheServices will be originalworks andwill not breachthe Intellectual PropertyRights ofanyperson.

4.ContractPrice

Inconsideration oftheprovisionoftheServices,andsubjecttoClause 9,the Council will paythe ArtisttheContractPricein accordancewiththePayment Schedule.

5.IntellectualPropertyRights

(a)AnyIntellectual PropertyRights in all materialproducedunder or in accordancewiththeterms ofthis Agreementincluding, butinnowaybeinglimitedtodesigns, photographs, drawings, andartworks vestsjointly intheTerritoryandtheArtist andneither party will exploitthoseIntellectual PropertyRights withoutthe priorwrittenconsent oftheother partyPROVIDED THAT suchconsentwill not beunreasonablywithheld.

(b)Notices includingtheArtist's namewill be publiclydisplayedinrelationto theServices.

(c) All reproductionsof anymaterial producedunder or inaccordancewiththe termsofthis Agreement,for publicityor otherwise,will attributetheroleof the Artist.

6.Indemnityand Exclusion of Liability

(a)The Artistreleasestothefull extentpermittedbylaw,theTerritory,the School Council andtheir respective employees,servants,agents,contractors, invitees andlicenseesfrom all responsibilityor liabilityfor loss of or damagetoanyproperty, or injuryor deathtoanypersonarisingout ofany involvement oftheTerritory,theCouncil or their respectiveemployees, servants, agents,contractors,inviteesor licensees pursuanttothis Agreement.

(b)The Artistagrees toindemnifytheTerritory,theCouncil,their respective employees,servants,agents,contractors,invitees andlicenseesagainstall claims,losses (includingeconomic loss),suits, actions,damages,costs andexpenses whichtheTerritory,theCouncil,their respectiveemployees, servants, agents,contractors,inviteesor licenseesmaysustainor incur or becomeliablefor inrespect of,eitherarisingfrom,causedby, or contributedto(totheextentofsuchcontribution),the provisionofthe Services andincluding, butwithoutlimitingthegeneralityoftheabove:

(i)anyact or omission (negligent or otherwise)ofthe Artist,its employees, agents or contractors;

(ii) anydefault orfailurebythe Artisttoobserve or performanyoftheterms, conditions andcovenants onthepartoftheArtistinthis Agreement;or

(iii)anybreach of anyofthewarranties given bythe Artist.

7.Insurance

(a)The Artistmusteffectandkeepinforceapolicyofinsurancefor public risk includingpersonal injuryand deathand propertydamage arisingout of,in connectionwith or in relationtotheperformance bythe Artist ofthe Services andcompliance bytheArtistwiththeterms,conditions and covenantsofthis Agreementexpresslyincludingall warranties,indemnitiesandreleases given bythe Artistinthis Agreementfor a minimum of FIVE MILLION DOLLARS($5,000,000.00) inrelationto any single event.

(b)Insurances requiredunder this clausemust:

(i) beeffectedwith aninsurer reasonablyapproved bytheCouncil; and

(ii) notetheinterests oftheTerritoryandtheCouncil.

(c) The Artistmust providetheTerritoryandtheCouncil,atthe commencementofthisAgreement,withacopyofthepolicies referredtoin this clause7certified bytheinsurer asbeingtrue andcorrect,andwhen reasonablyrequired bytheCouncil ortheTerritory, evidenceofthe currencyoftheinsurances requiredunderthisclause.

(d)The Artistacknowledges thathe or sheisnota "worker"for thepurposes

oftheWork Health Actand mayelectto effect andkeepinforceapolicyof insurancefor personalaccident.

8.Acknowledgment

The Artistacknowledges that:

(a) the Council has entered into this Agreement relying on the Artist complying with his or her obligations under clauses 5, 6 and 7;

(b) the obligations contained in clauses 6 and 7 are for the several benefit of the Council and the Territory;

(c) clause 5 is for the sole benefit of the Territory;

(d) the Council is authorised on behalf of the Territory to accept the benefit of clauses 5, 6 and 7; and

(e) execution of this Agreement by the Council constitutes acceptance on behalf of the Territory of the benefit of clauses 5, 6 and 7.

9.Termination

(a) TheCouncil mayterminatethis Agreementimmediately, byserving noticeinwritingontheArtist,ifthe Artistcommits anyserious breach or persistentbreachofthe express or impliedterms or conditions contained inthis Agreementinrelationtoprovisionofthe Services, or is considered bytheCouncil onreasonablegroundstonolonger beafitand proper persontoprovidetheServices inclose proximitytoschool studentsor otherpersonslikelyto be presentattheSite.

(b) IftheCouncil gives noticein accordancewithclause9(a) thenthis Agreementterminatesimmediately witheffectfrom thedate ofserviceof thenotice.

(c) TheCouncil or the Artistmayterminatethis Agreement atanytimeby givingnotless thanten (10) daysnoticeinwritingtotheother inwhich case,theAgreementwill terminatewitheffectfromtheexpiryofthe noticeperiod.

(d) Inthe eventthatthis Agreementis terminatedbytheCouncil pursuantto clause9(a) or 9(c),theCouncil will paythe Artist,withinthirty(30) days after theterminationoftheAgreement,thecostoftheprovisionofthe Services performedbytheArtist prior tothedate oftermination.

10.GST

10.1GST Legislation

"GSTlegislation"means AnewTaxSystem (GoodsandServices Tax) Act1999 andincludesanyapplicablerulings issued bytheCommissioner of Taxation.Where any termusedinthis Clause 10is definedintheGST Legislation,itwill havethemeaningwhichitbears intheGSTLegislation.

10.2Taxable Supply

InthecaseofaSupplywhichis ataxablesupply:

(a) the considerationpayable or otherwise provided to the Supplier under this Agreementshall be inclusive of any applicable GST; and

(b) theapplicable GST will be theGST payable on the Supply calculated in accordance with the GST Legislation.

10.3TaxInvoice

TheSuppliermustprovidetheRecipientwithtaxinvoices andadjustmentnotesinrelationtotheSupply, anddo all things reasonablynecessaryto assist theRecipienttoenableittoclaimandobtainanyinputtaxcredit availabletotheRecipientinrespectoftheSupply.

11.Confidentiality

The Artistrepresents andwarrants thathe orshewill not either duringtheTermoratanytimethereafter, exceptintheproper course ofprovidingtheServices under this Agreementor as requiredbylaw, use or disclosetoany personanyConfidential Information.

12.Governing Law

ThisAgreementistobeconstruedandinterpretedinaccordancewiththelaw oftheNorthernTerritoryofAustralia.

13.Special Conditions

The provisions ofthisAgreement aresubjecttotheSpecial Conditions,if any, setoutinItem8 oftheSchedule.

14.Notices

(a)All notices,approvals,consents,demands orother communications required or permittedto be given under this Agreementtoeither the Council or the Artist mustbeinwritingandbeserved personally,bypre- paidcertifiedpostorfacsimiletransmissionattheaddress or thefacsimile number,inrespectoftheCouncil, as specifiedinItem 1 oftheSchedule and,inrespect oftheArtist, as specifiedinItem 2ofthe Scheduleor at suchotheraddressorfacsimilenumberas either partymayhave substitutedfor itbynoticetotheother party.

(b)Inthecaseofanoticesentbyfacsimile,(andacorrectandcomplete transmissionreportforthattransmissionisobtainedbythesender) itshall bedeemedtobe received upontransmissioniftransmissiontakesplaceonabusiness daybefore 4:00pm inthe placetowhichthecommunication is transmittedandin anyother case at9:00 amonthebusinessdaynext followingthe dayoftransmission.

(c)Inthecaseofanoticesentbymail,itshall bedeemedtohave been receivedtwo businessdays from andincludingthedate of posting.
