1. DEFINITIONSAND INTERPRETATION
  2. ‘Company’meansSaint-Gobain Construction Products South Africa (Pty) Ltd Registration Number: 1937/010220/07, with its principal place of business at No. 1 Shale Road, N1 Business Park, Cnr. Old Johannesburg & Tlokwa Roads, Kosmosdal Ext. 7, Samrand, 0157;
  3. ‘Contract’meansthisagreement, the Purchase Order and/or any additions or amendments thereto;
  4. ‘Goods’meansalloranyofthematerials,itemsorproductswhichtheSupplieriscontractedto provideto theCompany.
  5. “Party” shall mean either the Company or the Supplier, and Parties shall mean both the Company and the Supplier;
  6. ‘Price’meansinrelationtotheGoodsand/orServices,thepriceagreedbetweentheParties;
  7. “Purchase Order” shall mean a written authorisation issued by the Company to the Supplier, for the Supplier to deliver specified Goods or perform Services to the Company at the Price, quality level and delivery date specified in the Purchase Order.
  8. ‘Services’meanstheservicestobeperformedbytheSupplierfortheCompany.
  9. ‘Supplier’meansthepersonorcompanywhoisengagedbytheCompanytoprovidetheGoodsor performtheServices, as specified in the Purchase Order to which these terms and conditions apply.
  10. Unless stated otherwise:
  11. the words “include” or “including” shallbe interpretedwithoutlimitation to the words following;
  12. referencetoclausesshallbedeemedtobeclausesofthis Contract;
  13. theheadingsinthis Contractareforconvenienceonlyandshall not affecttheirinterpretation;
  14. thesingularshall include theplural andviceversa;
  15. referencetoanystatute,statutoryprovisionorregulationshallbeconstruedasareference tothatstatute,provision or regulationasfromtimetotimeamended,consolidated,modified, extended,re-enactedor replaced.
  1. APPLICATION
  2. This Contractshall governtherelationshipbetweentheCompanyandtheSupplier.

2.2.This ContractmayonlybealteredbythewrittenagreementoftheParties andany agreedamendmentswill berecordedon aseparate amendment sheet and signed by both Parties.

2.3.This Contractshallapply tothe entireexclusionofallothertermsor conditions,andtheSupplierwaivesanyright whichitotherwisemighthavetorelyonsuchtermsand conditions.

2.4.TheSuppliershallnotassignorsubcontractalloranyportionofitsrightsorobligationsunderthisContractwithout theprior written approvalof theCompany.

  1. PRICES
  2. Where the Company has an agreed price list from the Supplier, the Supplier acknowledges that no other prices will be accepted by the Company until such a time as they have been received by the Company in writing, and that such new prices will only affect Purchase Orders placed after receipt of the revised price list. Any transaction which does not specify price is subject to confirmation by the Company before it becomes effective.

3.2.Notwithstanding the provisions of Clause 3.1 above, in the event that there is a fluctuation in the exchange rate, or a significant change in the price of the raw materials used by the Supplier to manufacture the Goods, then the Supplier shall be entitled to adjust the Price of the Goods accordingly, upon the provision of 14 (fourteen) days written notice thereof to the Company.

3.3.Pricesareexclusiveof ValueAddedTax but inclusiveofall othertaxes, duties and all othercharges.

3.4.Unlessotherwiseagreedin writingthePriceshallincludepayment foralltools,patterns, dies,moulds, jigs, fixtures, drawings,data, artwork or other materialcreatedunder thisContract, unless such materials are specifically provided by the Company.

3.5.ThePriceisinclusiveofallfees,royaltiesandchargesinrespectofallartwork,data,designs, drawings, specifications,tooling, goodsorother materials created bytheSupplier.

3.6.TheCompanywill beallowed all discountsnormallyoffered bytheSupplierforbulkpurchases, prompt payment andother reductions.

3.7.ThePricewill includeall necessary packaging, shipping anddelivery costs.

  1. TERMS OFPAYMENT
  2. PaymentofthePrice(oranypartthereof)shallnotconstituteanyadmissionbytheCompanyasto theperformanceby theSupplier of itsobligationsundertheContract.

4.2.AllinvoicesmuststatetheCompany’sPurchase Ordernumber.Documentsnot bearingtheaboveinformationwillbecomedisputedinvoicesuntilsuchtime asthe relevantinformationisprovided.Furthermore the Supplier shallprovide allother documentationin relationtotheGoodsand/orServiceswhichtheCompanymayfrom timetotime reasonably require.

4.3.TheCompanyreservesthe right towithholdpayment in respect of disputedinvoicesand theCompany shall notifytheSupplierofanydisputedinvoiceswithin 14 (fourteen)workingdaysofreceipt. When an invoice that hasbeen in disputeissubsequentlycleared forpayment, thenthesettlementtermsthat are applicablewill beappliedfromthedate ofclearance. TheSupplier, without prejudicetoitsotherrights andremedies,shallbeentitledtochargeintereston latepaymentofnon-disputedinvoicesatthe rateof2% (two percent)perannumaboveAbsa Bank’s primerateinforcefromtheduedate of payment until theactual dateof payment.

4.4.TheCompanyreservestherighttodeductanymoniesdueortobecomeduefromtheSuppliertothe Companyfromanymoniesdueortobecomeduefrom theCompanytotheSupplierandforthe purposesoftheInsolvencyAct, 1936, as amended,it is agreed that such set-off shall occur in the normal course of business.

4.5.Unlessotherwiseagreedbetweenthepartiesinwriting,paymentofundisputedaccountswillbemade within 60 (sixty) days of receipt of the invoice relating thereto.

  1. RIGHT OF OWNERSHIP/PASSING OF RISK
  2. Theownershipandriskin theGoodsshall passtotheCompanyon deliveryto the Company as specified, withoutprejudicetoanyrightsofrejection.

5.2.All Goods delivered against this Contract are at the sole risk of the Supplier until officially received by the Company as covered in the INCO terms.

5.3.Whereadvancepaymentshavebeen made,eitherinpartorin full,ownership oftheGoodsshallpasstotheCompanyatthetimewhenany instalment or payment ismade, but risk shall remain with the Supplier until delivery is effected.

5.4.TheSuppliershall not beentitledtoexercisea right ofretention on anyGoods whicharethepropertyoftheCompany and are in the Company’s possession,norexercisealienovertheCompany’s property which is in theSupplier’spossession.

  1. DELIVERY
  2. TheSupplierwilldelivertheGoods to/perform the Servicesatthelocation and on the datestipulated by the Company,attheSupplier’srisk. Deliveryorperformancewill onlybeacceptedbytheCompany duringnormal workinghours.The Company reserves therightto refusepayment forGoodsorServicesthataredeliveredorperformedafterthedate on which they should havebeenperformed(unlesspreviouslyapproved bytheCompanyinwriting).

6.2.TheSuppliershallsupplytheCompanyingoodtimewithanyinstructionsorotherinformation required to enable theCompanyto acceptdelivery of theGoodsor performanceof theServices.

6.3.Intheeventthatthedeliverynoteismarked“notexamined”theCompanywillinspecttheGoods withinareasonableperiodafterdeliveryor performance,andifinthereasonableopinion ofthe CompanytheGoodsdonotcomplywiththe Purchase Order to which they relate, the Companywill notifytheSupplierin writing. IftheSupplierdisagreeswith thecontents ofthe notification,it shall-within72 (seventy two)hours ofreceipt ofa writtennotification bytheCompany-arrangea joint inspection at theplaceof delivery. Failingthis, theSupplier shall bedeemedtohaveacceptedthat the Goodsdeliveredareasstated bytheCompanyandshalltakesuchactionastheCompanyrequiresto resolve theissuetothesatisfaction of theCompany.

6.4.The timefordeliveryoftheGoodsand/orperformanceoftheServicesshallbea material termoftheContract.

6.5.WithoutprejudicetoanyotherrightorremedyavailabletotheCompany,theSupplierrecognisesthat latedeliveryoftheGoodsorperformanceoftheServicesmaycausetheCompanytofailtomeet othercontractualcommitmentsandtheSupplierthereforeagreesto pay damagesincompensationto theCompanyforsuchloss in amount that will not exceed 10% (ten percent) of the total Contract value.

6.6.Weights, measures and other quality checksofGoodssuppliedaresubjecttoverificationbytheCompanyattheplaceof deliveryandthedeterminations madeshallbetakenasfinal. Intheeventofadiscrepancythe Supplier shall begivenreasonablefacilitiestocheck thedeterminations.

6.7.IfdeliveryoftheGoodsorperformanceoftheServicesisdelayedbysomecausetotallyoutsidethe control oftheSupplierthentheSuppliershallgivewrittennoticetotheCompanyofsuch causewithin7 (seven)daysofits occurrence. TheCompanymaythen, in its discretion and without prejudicetoits other rights,allowsuch extratimefor deliveryor performanceas isreasonable in thecircumstances.

6.8.UnlesstheCompanyhasexerciseditsrightsunderClause6.9orotherwiseagreedinwriting,theSuppliershallassoonasreasonablypracticableandatitsexpensemakegoodanyshortagesintheGoods delivered or deficiencies in the Services provided,and whereappropriate,collectanyoftheGoodswhichdonotconform with the specifications of any Purchase Order made by the Company, whichhavebeendamagedintransitorwhichhavevisualdefectsandreplacethesamewithin48 (forty eight)hoursoftheSupplier’s acceptanceor deemed acceptance in accordancewith Clause6.3above.

6.9.AllGoodsdeliveredtotheCompanyorathirdpartymustcomplyastoquantity,quality,description andsampleasspecifiedintheContract and any Purchase Order made, andanyfailuretocomply with thissub-clause,nomatterhowslight thenon-conformity,will entitle theCompany, at its option, to rejectthewholedeliveryof Goodsandclaimdamagessuffered asaresult.

6.10.Any modification to the Purchase Order must be notified to the Supplier prior to delivery. The Supplier shall immediately notify the Company of the consequences of such modification. If the consequences cannot be agreed upon, then the Company shall be entitled to request that the Supplier fulfills the order under the initial conditions.

6.11.WheretheCompanyagreestoacceptdeliveryoftheGoodsand/orperformanceoftheServicesby instalmentstheContract willbeconstruedasa singlecontractinrespectofeachinstalment. Nevertheless failurebytheSuppliertodeliverand/orperform any oneinstalment shallentitlethe Companyatitsoption totreat thewholeContract asrepudiated.

6.12.IftheGoodsdeliveredtotheCompanyareinexcessofthequantitiesorderedbytheCompany,the Companyshallnotbeboundtopayfortheexcessandanyexcesswillbeandwillremainatthe Supplier’srisk andwill bereturnableattheSupplier’sexpense.

  1. PACKAGINGAND CARRIAGE
  2. AllGoodsmustbeproperlypackagedtosurvivetransit,andtoresistpilferage, distortion,corrosionor contamination.

7.2.All Goodsshallbeclearly andlegiblylabelled andaddressed.

7.3.Allshipmentsmustbeaccompaniedbyapackingadvicenotestatingthe Company’s Purchase Ordernumber andlistinginfull thecontents.

7.4.AllGoodstobe deliveredagainstthisoranyotherContractareatthesoleriskoftheSupplieruntil officiallyreceived bytheCompanyat the location stipulated.

  1. RETURNS, CANCELLATIONAND TERMINATION
  2. TheCompanyreservestherighttoreturntotheSupplierattheSupplier’sexpenseanyGoods deliveredinadvanceoftheagreeddeliverydate.Such GoodsshallremainattheSupplier’srisk until accepted by the Company.

8.2.TheCompanymaywithoutaffectingitsaccruedrights,terminatealloranypartofthisContractby givingnoticeto theSupplier, if:-

8.2.1.theSupplier, on more than one occasion,refusesorfailstodelivertheGoodsorperformtheServices in accordance with this Contract or withinthetime specified, and as a result is issued with a Supplier Non-Conformance notification by the Company;or

8.2.2.theSupplier commitsabreach of any of thetermsandconditionsofthisContract, and fails to rectify such breach within 7 (seven) days of receiving a written request by the Company to do so;

8.2.3.anydistress, executionor other legal process islevied uponanyof theassetsof theSupplier;

8.2.4.the Supplier makes an arrangement or compromise with hiscreditors, orotherwisetakesthebenefit ofanylawforthetimebeingin forceforthe reliefofinsolvent debtors, or(beinga bodycorporate)convenesa meetingof creditors(whetherformal orinformal), orentersintoliquidation(whethervoluntary or compulsory)exceptasolventvoluntaryliquidationforthe purposeonlyofreconstructionor amalgamation,orhasa business rescue practitionerappointed initsundertaking oranypartthereof,oraresolutionispassedorapetition presentedtoanycourtfor thewindingupoftheSupplierorforthegrantingofan administration orderin respect oftheSupplier, oranyproceedingsarecommencedrelatingto theinsolvency orpossibleinsolvency of theSupplier; or

8.2.5.theSuppliersuffersorallows anyexecutionto be leviedon his/its propertyorobtainedagainsthim/it,orfailstoobserve/performanyofhis/itsobligations underthisContract orany othercontract between theCompanyandtheSupplier, orisunable topayitsdebtsas they become due.

8.3.Intheeventofaterminationfordefault,theCompany’sliabilityshallbelimitedtothepaymentsforGoodsdelivered ortheServicesperformed, and accepted,by theCompanyunder theContract.

8.4.TheCompanymayterminatetheContractatanytimeupon the provision of 30 (thirty) dayswritten notice,inthewholeorinpart,in whichevent,theCompany’ssoleobligationandliabilitytotheSuppliershallbetoreimbursethe Supplier for those Goods actually delivered and accepted by the Company and those Services performedandacceptedupto thedateof final termination.

8.5.TheCompany may order suspension ofthe Goods or Services, orany part thereof, bynoticeinwriting. Insuch eventtheSupplierwillminimisethecost ofsuch suspensionandtheCompanywilluponrequestmake an equitableadjustment to theContract to reflect theextentof thesuspension.

8.6.InnoeventshalltheCompanyberesponsibleforlossoftheSupplier’santicipatedprofitorotherconsequential or purely economicloss nor shall theCompany’sliability exceed theContract value.

8.7.TheCompanymayatanytimemakechanges to the terms relating to shipping, delivery or performance of the Services, forwhichan appropriateadjustment totheContract shallbemade andagreed between thePartiesinwriting.

8.8.Any pre-order by the Company is done for convenience, and as an estimate of orders, and the Company shall not be obliged to abide by such order, and will be entitled to cancel such pre-order in whole or in part.

  1. SPECIFICATIONS, DRAWINGS, COPYRIGHT AND CONFIDENTIALITY
  2. The Supplier acknowledges that the Company has intellectual property which may or may not be registered, and in order to protect that intellectual property, neither the Supplier nor any related party will infringe the intellectual property rights of the Company, or otherwise seek to use the Company’s intellectual property for any purpose, other than expressly authorised in writing by the Company. In the event of the unauthoriseduse of the Company’s intellectual property by the Supplier, or any related party, the Company reserves the right to seek the appropriate legal remedy, and the Supplier will indemnify and keep indemnified the Company for all reasonable losses or damages incurred in relation to such unauthorised use by the Supplier.

9.2.Unless expressly agreed otherwise, the copyright and other intellectual property rights in all artwork, data, designs,moulds, drawings, specifications,tooling,processes, goodsandothermaterials(including packaging materials)createdbytheSupplier,hisagent,employeesor subcontractor infurtheranceofthisContract shallvest intheCompany absolutely.

9.3.Anypackaging material, tools,patterns,dies,moulds,jigs,fixtures,drawings,oranyotherformsofintellectualproperty rightsinalldrawings,specifications,dataandartworkfurnishedtotheSupplierbythe Company,or fullyorpartiallypaidforbytheCompany shall betheproperty oftheCompanyandsubject toremoval bytheCompanyupon termination or completionofthisContract,andshallbeused onlyinfulfillingtheContractand will be heldbytheSupplierinsafecustodyatitsownriskandmaintainedandkeptingoodconditionbytheSupplieruntilreturnedtotheCompanyandshallnotbedisposedofotherthaninaccordancewiththeCompany'swritten instructions.

9.4.TheSupplieragreesnottodisclosesuch information relating to the business affairs, customers, clients, suppliers, plans (intentions or market opportunities), product information, know-how, moulds, packaging material, processes,data,designs, drawings,specifications,artworkorother information (the “Confidential Information”)toanythirdpartyotherthanasnecessaryfor thepurposesofenablingit toperformits obligationsunderthisContract.

9.5.The Supplier agrees not to use or exploit the Confidential Information in any way not expressly permitted in terms of this Contract.

9.6.The Supplier will not copy, reduce to writing or otherwise record the Confidential Information, except as necessary in terms of this Contract.

9.7.The Supplier shall apply the same security measures and degree of care to the Confidential Information as it applies to its own confidential information, which it warrants will provide adequate protection from unauthorised disclosure, copying and use.

9.8.ThisContractisconfidentialbetweentheCompanyandtheSupplier,anditisagreedbytheSupplier thatnoneofthedetailsconnectedherewithortherelationshipbetweenthePartiesshallbepublished or disclosedto any thirdparty without theCompany’swritten permission.

9.9.TheSupplierwillensurethatallGoodssuppliedtotheCompanyarefreefromasbestosand/or asbestoscontamination.

  1. QUALITY OF SERVICES
  2. The Supplier warrants that the Services will be performed with all due skill and care and by appropriately qualified andtrainedpersonnel.

10.2.IftheCompanyconsidersthat theSupplierhasprovidedsub-standard, defectiveornegligentServices it willnotifytheSupplier,andtheSuppliershall at theoption oftheCompanyeithertakesuch stepsas necessaryto remedytheServicesandbringthem tothe requisitestandardsand/orrefundtothe Companyallsums paidbytheCompanyinrespectofthedefective,sub-standardornegligently performedServices.

  1. GUARANTEE
  2. Itshallbeacondition ofthe ContractthattheGoodsshallbeofthebestavailabledesign, ofthebest quality,materialandworkmanship,bewithoutfaultandconforminallrespectswiththedescription contained in the Purchase OrderandwithanystatementsorundertakingsmadebytheSupplier, or hisemployees, oragents, prior to theconclusionof theContract.

11.2.TheSupplierrecognisesthattheCompanyhasconcluded thisContract relyingupon theskillandexpertise of theSupplier and any statementsandrepresentationsmadeby it.

11.3.IfanyoralloftheGoodssuppliedaredefectiveupondeliveryorprovetobedefectivewithin 12 (twelve)monthsof use,theCompanymaycallupontheSupplier,withoutprejudicetotheCompany’sother rights, to rectify,replaceor reimburse, at theCompany’soption,thedefectiveGoods.

11.4.All rectificationandreplacement will becarried out attheSupplier’sownexpense.

11.5.All obligations inthisguaranteeshall further applytoanysuch rectified or replacementGoods.

11.6.Thisguaranteeshall also applyto thebenefit oftheCompany’scustomersor other usersof theGoods.

  1. DATA PROTECTION
  2. The Companyandthe Suppliershall complywiththe requirementsof any data protection lawsinany jurisdiction relevanttothe exerciseoftheirrightsortheperformanceoftheirobligations underthis Contract.
  1. LIMITATION OFLIABILITY
  2. TheSuppliershallindemnifyandkeeptheCompanyindemnifiedinfullandondemandagainstall direct, indirectorconsequential liabilities(all threeof which termsinclude, without limitation, lossof profit,lossofbusiness,depletionofgoodwill),damages,injury,costs andexpenses (includinglegalandotherprofessionalfeesandexpenses) awardedagainstorincurredorpaidbythe Companyasaresult of or in connection with:
  3. the Supplier’s defectiveworkmanship,quality or materials;
  4. Goods and/or Servicessuppliedwhich donot comply with thisContract and any Purchase Order made;
  5. Goods and/or Servicessuppliedwhich donot comply with anyapplicable law;
  6. anydisputeorclaimorproceedingsmadeorbroughtagainsttheCompanyinrespectoforinconnection withGoods and/orServicessupplied, and theuse oforanyotherdealingwiththeGoods and/or ServicesbytheCompanyor bya thirdparty,includingbut not limitedtoclaims undertheConsumerProtection Act, 2008andclaims bya thirdpartyalleging infringement ofitsintellectual property rights;
  7. anyactoromission oftheSupplier oritsemployees oragentsorsubcontractorsincarrying, supplying,delivering, loading, off loadingor installingtheGoods;
  8. anyactor omissionof theSupplier oritsemployeesor agents or subcontractors in connection with theperformanceoftheServices;
  9. anyact oromissionofanythirdpartytowhomtheSupplierhasassigned,transferredor subcontracted any ofitsobligationsunder theContract;
  10. aninfringementorallegedinfringementofanyintellectualproperty rightscausedbythe use, manufactureorsupply of theGoods;
  11. anyclaimmadeagainstthe Companyin respectofanyliability,loss,damage,injury,costor expensesustainedbytheCompany’semployeesoragentsorbyanycustomerorthirdparty totheextentthatsuchliability,loss,damage,injury,cost orexpensewascausedby,relates to or arises from the supply of Goods and/or Services by the Supplier as a direct consequenceofa directorindirect breachornegligent performanceor failure ordelayin performanceof thetermsoftheContractby theSupplier.

13.2.TheSupplier shall keep theCompanyfullyandeffectively indemnified against any royaltiespayableby theSupplier.

13.3.TheSupplier shall supplytheCompanyattheSupplier’sexpensewith all reasonableassistancerequired bytheCompanyto deal with any claim.

13.4.Claimsunder Clause 13.1 shall includeclaims for personal injury anddeath save that Clause13.1 shall not applytoclaims relatingto personal injury or death caused by thenegligenceof theCompany its employeesor agents.

13.5.Thisindemnityshall notapply ifandto theextent that aclaimarisesfrom:-

13.5.1.theCompany’sfraudulent misrepresentation or gross negligencefor which theCompany shall beresponsible:or

13.5.2.defectsindesignor any specification iftheCompany hassupplied or furnishedthedesign or specification and theSupplierhasdisclaimedanyresponsibility.

  1. HEALTHANDSAFETYATWORK

The Supplier understands thatwhen it is granted access to the Company’s premises in terms of this Contract, whether for the purpose of delivering Goods or for rendering the Services, such access shall always be subject to the Company’s internal safety policies (a copy of which is available to the Supplier on request) and any other applicable safety laws.

  1. QUALITYCONTROLANDINSPECTION
  2. TheSupplier shall allowtheCompany access to theSupplier’smanufacturingsiteto carry out anyqualityaudit or work in progressinspection.

15.2.Atany timepriorto delivery oftheGoodsto theCompany,theCompanyshall havetheright, at all times, toinspect andtesttheGoods andtheSupplier shallprovidetheCompany with allfacilities reasonably requiredfor such inspection andtesting.

15.3.If theresultsof such inspection or testingcause theCompanyto beof theopinion that theGoodsdo not conform orare unlikelyto conformwith anyspecifications and/or patternssupplied or advised bytheCompanyto theSupplier,theCompany shall informtheSupplier within 14 (fourteen) daysof theinspectionand/ortesting,andtheSuppliershall immediatelytakesuchaction as isnecessary to ensureconformityandin addition theCompanyshall havethe right to requireandwitnessfurther testingandinspection.

15.4.Notwithstandingany such inspectionor testing, theSuppliershallremainfully responsiblefor the Goods andany such inspection or testingshall notdiminish or otherwiseaffect theSupplier’s obligationsunder theContract.

  1. INSURANCE

TheSupplier shall have in placeasuitablepolicy of insuranceto cover itsliabilitiestotheCompany andthird parties underthisContract,and theCompany shall havetheright to requestevidenceof such insurance.

  1. ASSIGNMENT AND SUBCONTRACTING

TheSupplier shall act at all timesasprincipal andshall not, without theprior consent inwritingof a dulyauthorisedofficer oftheCompany, assign, transfer orsub-contractany obligationsor benefit of theseconditionsor thetermsof theContract.Intheevent that such consent isgiven to sub-contract, theSupplieragrees that it remainsboundby these termsasprincipal.

  1. CUSTOMERCOMPLAINTS

In theevent that theCompanyisgiven noticeof any claim, whether actualor threatened, concerning some orallof theGoodsorperformanceof theServices, it will informtheSupplier assoon aspracticableof thenatureof such claim. TheSupplier will, within 7(seven) daysofarequest by theCompany, inspect thesaidGoodsor Services, whetherattheCompany’sorthirdparty’spremisesandprepareandsubmit totheCompany awrittenreportof itsfindingswithin thefollowing7(seven) days.Inaddition, andif the Company oritscustomer so requests, itwill reimbursetheCompanythecostof instructingan industryindependent expert toinspect thesaidGoodsor assess the Servicesto give anopinion inrelation to theirconformity with thisContract. Neither Party shall beboundbyany report or opinionprovided underthisclause.

  1. FORCE MAJEURE
  2. In thisContract“forcemajeure” shall mean any causepreventingeither Partyfromperformingany or all of itsreasonableobligationswhich arisesfromor is attributabletoacts, events,omissionsor accidentsbeyond thereasonablecontrol oftheParty so prevented,includingwithout limitation strikes, lock-outs,orother industrial disputes(whetherinvolving theworkforceof thePartyso prevented or of anyother party), actof God,war, terrorism, riot, civil commotion, maliciousdamage, compliancewith anyapplicablelawor governmental order, rule,regulation or direction, accident,breakdownof plantor machinery,fire,floodor storm.

19.2.If either Partyispreventedordelayedin itsperformanceof anyof itsobligationsunder thisContractby forcemajeure, that Party shall forthwith servenoticeinwritingon theother Partyspecifyingthe natureandextent of thecircumstancesgivingrise to forcemajeure,andshall subject to serviceof such noticeand to Clauses 19.3and19.4below shall have no liabilityin respect of theperformanceof suchofitsobligationsduring the continuation of suchevents,andfor suchtimeafter they ceaseas isnecessary forthatParty, using reasonableendeavours, torecommence itsaffected operationsin order for it to performits obligations.

19.3.Notwithstanding the above, if either Partyispreventedfromperformanceofitsobligationsfor acontinuousperiod,which exceeds a periodof 3 (three)months, either Party may thenterminatethisContractforthwithonserviceof awritten noticeupon theParty so prevented.If theCompany servessuch noticeasaresultof aforcemajeureevent claimedby theSupplier, theCompany shall be entitledtoexercise itsright of set-off under Clause 4.4 against moniesowed totheSupplierinrespect of additional costs it may reasonably have incurred since theSupplier’snoticeunder Clause19.2, such costs havingbeenincurred by theCompanyto ensure theCompany honoureditsobligationstoits customers. Thesecosts,withoutlimitation, includetheadditional costs andchargesof sourcingthe Goods fromathirdparty. To theextentset-off does notfully reimburse theCompany in respect of such extracosts theSupplier shall indemnify andkeep indemnifiedtheCompanyinrespect ofthe same.

19.4.TheParty claimingto beprevented or delayed in theperformanceof any ofitsobligationsunderthis Contractbyreason of forcemajeureshall take all stepsas arenecessaryto bring theforcemajeureeventtoacloseortofindasolution by whichthisContractmay beperformeddespitethecontinuanceof theforcemajeureevent.

  1. CORPORATERESPONSIBILITY
  2. TheSupplier will carryonitsactivitiesin compliancewith theprincipleof transparency andin strict accordancewith applicabledomesticand international legalstandards.

20.2.TheSupplier agrees to adopta cautiousapproachto issuesconcerningtheenvironment and responsibleenvironmental practices.TheSupplier will implementpolicieson managing and improvingitsindustrialprocessesdesignedto limit environmental impact.

20.3.TheSupplier endeavours totakethe necessary stepsto ensureoccupational health andsafety.TheSupplier agrees to ensurethat itsemployeesfully complywith all applicablesafetyinstructions when workingonthe Company’ssites.

20.4.TheSupplier (in respect ofitsownemployees)willcomply with thelegal rules andregulations applicable in thecountrieswhereit operatesaswell as the principles assetdownin terms of South African Labour Law.

  1. COMPETITIONLAWCOMPLIANCE
  2. ThePartiesintendthatthis Contract andtheiractionsinrelationtoitshallcomplyatalltimeswith allapplicablecompetitionlaws,andinparticular withthe competition laws of South Africa,and thePartiesare satisfiedthat this Contract doesso complyas at thestartdateof thisContract.

21.2.ThePartiesagreeduringthetermofthis Contracttotake allappropriatestepstoensurethatthere arenodiscussions,exchangesordisclosuresofinformationordocuments,orotheractsoromissions by or between themin relation tothisContractwhich might contraveneapplicablecompetition laws.

21.3.In theevent that either Partybelieves, for any reason,that this Contractno longer complieswith all applicablecompetition laws,it must notify the otherPartyimmediately.Both Partiesmust then as soonasreasonably practicableenter into negotiationsin goodfaith and they must use all reasonable endeavours to amendor varythis Contractsothat it complieswith all applicablecompetition laws whilegivingeffect so far aspossible to theParties'originalintentionsin relation to this Contract.

21.4.Notwithstandingclause21.3whereinthefuturetheCompanyshouldconsiderthatthis Contract doesnot complywith theapplicablecompetition laws,thenitwillallowtheSuppliertosupplya sufficientquantityofitsoutputtotheCompany'scompetitorstoremoveanyanti-competitiveeffects of thearrangement.

  1. BRIBERY ACT COMPLIANCE
  2. The Supplier shall ensure that in any dealings with the Company, neither it nor its employees or agents shall commit any offence under the Prevention and Combatting of Corrupt Activities Act, 12 of 2004 (the “Act”), including not engaging in any activity, practice, conduct (which shall include but not be limited to the giving and receiving of gifts) which would constitute an offence under the Act. The Supplier shall inform the Company immediately upon it becoming aware of any actions between the parties that could constitute an offence under the Act.
  1. RESPONSIBLE DEVELOPMENT
  2. The Supplier is aware that the Company adheres to the United Nations Global Compact and has notably adopted a policy of responsible purchasing, an integral part of the Company’s Sustainable Development policy.
