Payment and Terms

In exchange for the services listed above, for 4,300 employees, University of Alaska (UA) shall pay to WIN for Alaska, Inc. the amount of ($1,680,000.00) for one year, payable as follows:

Twelve payments of One Hundred, Forty Thousand Dollars ($140,000.00) shall be due and payable 30 days after services are rendered.

This amount shall not increase or decrease unless UA’s employee numbers fluctuate within 15% for over 60 days.

Additional Fees
Incentive money, postage and supplies for PWP incentive checks funded by UA. (Est. $2,200 for postage and supplies and $275,000 for incentive money).
GTP Incentive Campaign – (February-July) *Prize cost and postage funded by UA.
GTP JHCC 50/50 incentive money, postage, facilitation, supplies, and development funded by UA JHCC. (Estimated $800.00 for postage and supplies and $80,000 for incentive money).
GTP JHCC 50/50 Health Club Reimbursement incentive money, postage, facilitation, supplies, and development funded by UA JHCC. (Estimated $200 for postage and supplies and $12,000 for incentive money).

Early Termination. This agreement may be terminated by either party upon 90 days written notice delivered to the other party. In the event UA or WIN for Alaska, Inc. terminates this agreement prior to the expiration of its term, then obligations of payment in this agreement shall be prorated to the last date of termination.

Insurance. UA shall provide full and adequate insurance for its employees, its workplace, and its business. WIN for Alaska, Inc. shall provide full and adequate insurance for its employees and its business.

Damages. Notwithstanding anything else contained in this agreement, in no event shall WIN for Alaska, Inc. be liable to UA or UA’s employees, whether due to a breach of this agreement or a claim or action arising as a result of the services provided pursuant to this agreement, in any amount in excess of the amount payable by UA under this agreement.

Governing Law. This agreement shall be governed by and construed in accordance with the laws of the State of Alaska.
