Contract: Dental Director Employee Agreement

This agreement is between ______and, D.D.S.

Whereas ______is operating a Rural Health Clinic pursuant to Health and Safety Code Section 1200 et seq.

and wishes to retain Dr., licensed in the State of California as a dentist, and

whereas Dr. wishes to contract with ______to provide services as a Dental Director in the rural health clinic:

The parties agree to the following:

1.The Dentist shall be responsible for all patient care involving the practice of dentistry; including the right to refuse service to any patient who is threatening or belligerent to the dentist or the dental staff;

2.The clinic will supply all equipment and materials necessary for the dental practice, including retaining dental auxiliaries to be available when the dentist is practicing;

3.The Dentist will be responsible for supervision and instruction of dental auxiliaries (i.e., dental assistants and hygienists) and will have the right to be involved in the selection of these auxiliaries;

4.The clinic will be responsible for billing and client records, except that the Dentist shall be responsible for patient charts as required by State regulations;

5.The Dentist will be at the clinic each week Monday through Friday as set forth in this agreement; and

6.The Dentist will help in the recruitment and supervision of any additional dentists employed by the clinic.

Compensation:

The dentist shall be a salaried exempt employee as defined by California Labor Laws, and as such will be covered by Worker's Compensation insurance, unemployment insurance and other programs and taxes required by law, including the withholding of state and federal income taxes.

Compensation per this contract will be $ annually, with salary checks issued on the 10th and the 25th of each month according to Clinic policy stated in the Employee Handbook. This salary is based on averaging 14-16 patients per day.

Family Practice Clinic Employee Handbook

All policies set forth in the Employee Handbook shall apply to the Dental Director (Dentist). The Clinic shall provide the Dentist with a copy of the Handbook along with this agreement.

Additional Agreements:

Continuing Education and Licensing Fees:

The clinic shall pay tuition costs and travel costs associated with required continuing education, as well as licensing fees, to maintain the Dentist’s license, the total costs not to exceed $2,500.00 per year. The Clinic Administrator must approve continuing education requests.

Vacation:

Twenty days vacation will be accrued per year. Additional non-paid vacation days may be allowed with the approval of the Administrator. Unused annual vacation leave may be carried over up to a total of 5 weeks, and any unused portion of this total will be compensated at termination. Vacation will be used in the following manner – 15 days per year will be taken at the request of the Dentist and approved by the administrator, the remaining 5 days per year will be taken at the end of the year during the Christmas and New Year holiday season. The clinic has 8 paid holidays per year. See employee handbook.

Health Insurance:

The clinic offers no health insurance plan at this time. The dentist immediate family () shall receive primary dental health treatment at the clinic without charge. Primary dentalcare does not include any cosmetic procedures or orthodontics.

Pension Plan

The Clinic has a 403 B pension plan set-up with US Bank. The pension plan is employee contribution only and must be funded out of the employee’s pay check.

Legal Responsibility

The Dentist will be responsible for the professional activities and conduct of all dental auxiliaries, insuring all professional activities have a legal basis. The Clinic agrees to pay all costs for Malpractice insurance.

Termination of Contract

This contract will remain in effect until either party gives the other party written notice 30 days in advance of their wish to terminate. The Dentist will assist Administration in finding a replacement dentist avoiding patient abandonment issues. Except that, this contract will be void upon either party no longer being licensed to perform services in the State of California.

After the termination of this contract, the Dentist shall not directly or indirectly solicit, induce attempt to induce or endeavour to entice away any patient or employee of the Clinic, whether for their own account or for the account of a third party.
