Contract Basics – Getting Started

In general, HSC departments have been delegated limited authority to enter into legally binding contracts on behalf of the HSC or their respective institution for goods and/or services. Else, per contract procedures, all contract documents must be submitted to the HSC Office of Contract Administration for review, final approval and signature.

Within the context of delegation of authority, all Memoranda of Agreement, Memoranda of Understanding, Affiliation Agreements, Contracts for Services and any other such contracts which may obligate the Health Science Center, or any of its member institutions, must be submitted through Laserfiche to the HSC Office of Contract Administration. For those contracts applying to academic affairs issues, they too will be submitted through Laserfiche for review and recommendation for approval to the President or delegated signatory. The HSC Office of Contract Administration will secure legal review through the Office of General Counsel, The Texas A&M University System, when necessary, prior to signature for approval or further consideration by the President, Chancellor and the Board of Regents.

The following contract checklist prepared by the Office of General should be used as a desk reference when engaged in contract preparation or departmental level review of another party’s contract document.

Once a department has prepared a contract document or is in receipt of a contract proposed by another party, the contract documents should be scanned into and routed to the HSC Office of Contract Administration through the Laserfiche Document management System for appropriate review and routing for signature.
