CONSTITUTION

CONSTITUTION OF THE BEAUMARIS NETBALL CLUB

1.0NAME

The name of the club shall be known as Beaumaris Netball Club (Inc) hereinafter referred to as the Club.

2.0OBJECTS

The objects of the club shall be:

1)Encourage, Promote, Control and Manage the game of Netball in the Beaumaris District and surrounding areas.

2)To act for its members in all matter pertaining to Netball

3)To conduct such other things as are conducive or incidental to the attainment of the above objects or any of them

3.0 DEFINITIONS

3.1 Management committee – executive committee of the Club as referred to in item 8.0

4.0POWERS

4.1To raise monies by registration fees, subscriptions and levies and by such other methods as from time to time the management committee shall see fit

4.2 To purchase, take on lease, exchange or hire or otherwise acquire any real or personal property which may be necessary for any of the objects of the club

4.3 To do all such things as are incidental, necessary or conducive to the attainment of the objects of the club

5.0MEMBERSHIP

5.1Membership shall be open to any person who wishes to further the interests of the club

5.2Any person who is elected to the management committee shall be deemed a member of the club

5.2.1Team coaches shall become members of the club

5.3 Each person admitted to membership shall be:

5.3.1 Bound by the constitution and Code of Conduct of the Club

5.3.2 Come liable for such fees, subscriptions and fees as may be

fixed by the club

5.3.3Entitled to all advantages and privileges of membership

5.4 Membership categories

5.4.1Ordinary member

Any person who is a member of the Club is entitled to hold any office and enjoy privileges of the Club

5.4.2Junior and Sub-Junior Member

Any person under the age of 18 may become a Junior or Sub-Junior Member and shall have no voting rights and shall not hold any office.

5.4.3Life Membership

Any member who has given outstanding service to the Club may be elected by the management committee as a life member. Any member may nominate a person for life membership to the management committee for election.

5.4.4Patron

The Club may, at their discretion elect a patron/s or vise patron/s of the Club for such period as may be deemed necessary. Such patron/s shall not be eligible to vote unless current members of the club under another category of membership

5.4.5Affiliated Clubs or Teams

A club or team desirous of becoming an affiliated club or team make an application in accordance with the By-laws of the club. Such application must be lodged with the Club Secretary on or before a date as determined by the Club Management Committee, and agree to abide by the constitution and code of conduct of the Beaumaris Netball Club.

5.5The Management Committee shall appoint a member of the Management Committee to maintain an up to date register of members of the club including The member’s category herewith known as the registrar.

5.6All members of the Club have the right to inspect the Club’s records and documents.

6Admission to Membership

6.1Any persons admission to membership of the club shall:

6.1.1Be bound by the constitution and code of conduct of the club:

6.1.2Agree to pay such fees as may be fixed by the management committee.

7Termination of Membership

7.1Any person’s membership may be terminated by the following events:

7.1.1Resignation

7.1.2False or inaccurate statements made in the member’s application for membership of the Club.

7.2The Management Committee shall have the power to suspend or expel any member of the club for any of the events in Item 7.1.

7.3Any member who is expelled, suspended or has their membership terminated shall have the right to appeal against their suspension or expulsion by presenting their case to General Meeting called for such purpose, nd the decision of the General Meeting is final.

8.0Management Committee

8.1Management of the Club shall be vested in the Management Committee elected by the members and consisting of :

8.1.1President

8.1.2Vice President

8.1.3Secretary

8.1.4Treasurer, and

8.1.5Registrar

8.1.6Club or team delegates

8.1.7Equipment Officer

8.2If the President or Vice President is unable to attend, then a chairperson nominated by the meeting shall chair the meeting.

9.0Powers Of The Management Committee

9.1The Management Committee shall carry out the day to day running of the Club and shall have the power to:

9.1.1administer the finances, appoint bankers, and direct the opening of banking accounts for specific purposes and to transfer funds from one account to another, and to close any such account.

9.1.2Fix the manner in which such banking accounts shall be operative upon, and nominate the members whose signatures shall be the authority for withdrawal of funds.

9.1.3Fix fees and subscriptions payable by members and decide such levies, fines and charges as is deemed necessary and advisable, and to enforce payment thereof,

9.1.4Adjudicate on all matters brought before it which in any affect the club:

9.1.5Cause minutes to be made of all proceedings at meeting of the Committee and General Meetings of members;

9.1.6Make, amend and rescind rulings and By-laws;

9.1.7Have the power to form and appoint any committee or committees required for a specific purpose;

9.1.8May at their discretion employ a person or persons to carry out certain duties required by the Club at salaries or remunerations for such period of time, as may be deemed necessary;

9.1.9Should a vacancy occur on the Management Committee during the season, the Management Committee shall appoint a successor until the next Annual General Meeting which ever comes first;

9.1.10Appoint an officer/s or agent of the club Management Committee to have custody of the Club’s records, documents and securities.

10.0Auditor

10.1The Annual General Meeting shall elect or appoint an Auditor or Auditors.

10.2The Auditors/s shall examine and audit all the books and accounts of the Club annually, and have the power to call for all books, papers, accounts, receipts etc. of the Club and report thereon to the Annual General Meeting or at any other time as requested by the Management Committee.

11.0General Meetings

11.1Annual General Meeting

11.1.1The Annual General Meeting of the Club shall be held not later than the second week in February each year.

11.1.2The Secretary shall give at least fourteen days notice of the date the Annual General Meeting, to members.

11.1.3All members may attend the Annual General Meting.

11.1.4The quorum at the Annual General Meeting, shall be a minimum of six members. If at the end of thirty minutes after the time appointed in the notice for the opening of the Meeting there be no quorum those members present shall be competent to discharge the business.

11.1.5The agenda for an Annual General Meeting shall be;

11.2General Meetings

11.2.1GENERAL MEETING may be called at the request for the Secretary and with the approval of the President, or at written request of six members of the Club.

11.2.2The Secretary shall at least three days notice of the date of the General Meeting to the members.

11.2.3The quorum at the General Meeting shall be a simple majority of members.

12.0Voting

12.1Voting powers at the Annual General Meeting and General Meetings:

12.1.1The President shall have a deliberate vote. In the event of a tied vote, the President shall exercise a casting vote.

12.1.2Each individual member present shall have one (1) vote.

12.2Voting Powers at management Committee Meetings:

12.2.1The President shall have a deliberate vote. In the event of a tied vote, the President shall exercise a casting vote.

12.2.2Each individual member present shall have one (1) vote.

13.0Method of Voting

13.1Voting shall be by voice of hand unless a ballot is requested.

14.0Finance

14.1All funds of the Club shall be deposited in the accounts of the Club at such bank or recognised financial institution as the Management Committee may determine.

14.2All accounts due by the Club shall be paid by cheque after having been passed for payment by the nominated signatories.

14.3A statement showing the financial position of the club shall be tabled at each Management Committee Meeting by the Treasurer.

14.4A statement of Income and Expenditure, Assets and Liabilities shall be submitted to the Annual General Meeting. The auditor’s report shall be attached to such financial report.

14.5The financial year of the Club shall be the calendar year. The accounts, books and all financial records of the club shall be audited each year.

14.6The signatures for the account will be any two (2) of the following Executive Officers.

14.6.1President

14.6.2Vice President

14.6.3Secretary

14.6.4Treasurer

14.7The income property of the Club shall be applied solely towards the promotion of the objects of the club. No portion of the income or property shall be paid, transferred or distributed directly or indirectly to the members of the Club. Provided that nothing shall prevent the payment in good faith of the remuneration to any officer or employee of the Club or to any person other than a member, in return for services rendered to the club.

15.0Common Seal

The common seal of the Club engraved with the name of the Club shall be kept in the care of the Secretary. The seal shall not be used or affixed to any deed or other document except pursuant to the resolution of the Committee and in the presence of the President and two members of the committee both of whom shall subscribe their names as witnesses.

16.0Alterations to Constitution and By-Laws

16.1No alteration, repeal or addition shall be made to the Constitution except at the General Meeting called for that purpose and notice of all motions to alter, repeal or add to the Constitution shall be given to the members seven (7) days prior to a General Meeting.

16.2The Secretary shall forward such notices of motion to each Management Committee member at least seven (7) days prior, to the Annual General Meeting and seven (7) days prior to a General Meeting.

16.3Such motions or any part thereof shall be of no effect unless passd by 75% of Members of those present and entitled to vote at the Annual General Meeting or General Meeting.

17.0Enforcement of the Constitution and By-Laws

17.1The Executive shall have the power to enquire into, deal with, and adjudicate upon all questions and disputes as to the interpretation of this Constitution and any ruling or By-laws made hereunder, upon any breach or alleged breach of the Constitution, its ruling and by-laws, and upon complaint made to it of misconduct detrimental to the policy, interests and welfare of the Club by any person, or member. The Executive may caution, suspend, fine or otherwise deal with the person or member concerned. Its decision shall be binding on all parties concerned.

17.2All enquiries into any Club matter shall be conducted in a fair and impartial manner having regard to the principals of natural justice. All concerned parties shall be entitled to be heard.

18.0Dissolution

18.1The Club shall not be wound up or dissolved except by 75% of Members voting at a General Meeting such meeting having been called for that purpose. If upon dissolution or winding up of the Club there remains after the satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to, transferred or distributed amongst the members of the Club. It shall be given to Beaumaris Primary School having objects similar wholly or in part to the objects of the association, provided that the association, institution or body shall prohibit the distribution of its income and property among its members, as determined by the General Meeting. In default of any such resolution, such payment, transferred or distributed shall be determined by a Judge of the District Court.
