The parties to this Copyright Assignment Agreement (“Agreement”) are ______(“Recipient”), an individual residing in [city, state], and ______(“Assignor”), an individual residing in [city, state] (collectively, the “Parties”).
WHEREAS, Assignor is the photographer of each of the photographs attached hereto as Exhibit A (collectively, the “Photographs”) which include:

WHEREAS, Assignor wishes to ensure that all right, title, and interest Assignor may own in and to the Photographs is assigned to Recipient;
NOW, THEREFORE, in consideration of the mutual promises in this Agreement, and other good and valuable consideration, the receipt of which is hereby acknowledged, Assignor irrevocably transfers and assigns to Recipient, and Recipient’s successors and assigns, in perpetuity, the entire right, title, and interest Assignor may have in and to the Photographs, including without limitation: (i) all copyright rights in and to the Photographs, and any registrations and copyright applications relating thereto and any renewals and extensions thereof; (ii) all works based upon, derived from, or incorporating the Photographs; (iii) all income, royalties, damages, claims and payments now or hereafter due or payable with respect thereto; (iv) all causes of action, either in law or in equity for past, present, or future infringement based on the copyrights; and (v) all rights corresponding to the foregoing throughout the world.
The Parties further agree: [USE AT LEAST ONE OF THE FOLLOWING] [1] to keep confidential the circumstances surrounding how the photographs were taken, except that Recipient may disclose such circumstances as needed (in Recipient’s sole discretion) to address any unauthorized use of such Photographs or other abuse of Recipient; [2] that Recipient shall refrain from commercial use the Photographs (i.e., selling them for money), but may make any other use commensurate with Recipient’s ownership of the Photographs; [3] that Recipient shall pay Assignor the sum of $1 within two weeks of the date this Agreement is fully executed.
The parties further agree to execute all papers and to perform such other proper acts as Recipient may deem necessary to secure for Recipient the rights herein assigned.
