Section1: BusinessLicensingcanbeafairlystraightforwardmatterifyourcityissmallandhasfew businesses. Ifnot, you needto learnallyou can and beon your toes toavoid thepitfalls that liein wait.

UTAH BUSINESS LICENSE ASSOCIATION: The UBLA is a very important and helpful organizationfor thosewhoareinvolvedintheircity’sbusinesslicensing. This organizationbeganasa groupofcities inthenorth sectionofthestatethatgottogetheraboutonceayeartocomparenotesand reviewchanges in statelawsthataffectlicensing.Inabout1990, thisgroupformally organized theUBLA asanon-profitorganization,adoptedby-laws,andbeganinviting allcitiesin thestate to join. Thereare yearly dues, and conferencesare heldonce ayearin thefall.At theseconferences,thereare classes onall areasoflicensing.Perhaps,themosthelpfulaspectoftheconferencesisthechancetotalkwithother licenseofficialsfromalloverthestateand comparenotesand getanswersto questions.

TheUBLAhasestablishedacertificationprogramthatwillhelpyouasalicensingofficial.Thebasic criterionfor certificationis:

A. BeacurrentmemberoftheUtahBusinessLicenseAssociation.Pleasevisit theirwebsite@ for a complete list of contact information, currentfees, and requirements.

B. Complete the required hours of educational instruction as identified by the Certification Committee. The areas are subject to change. A current list of areas of instruction and requirementsmaybe found by visiting

C. Be activelyengaged in theissuanceoflicenseswithinthejurisdiction you represent.

Therearenofeesforcertification;however,anapplicationisrequired.Thecertificationisvalidfora three-yearperiodfrom thedateofissuance.Afterthat,anofficialcanre-certifyby listing thecontinuing educationreceivedthroughattending conferences.Hoursoftraining by theNationalBureauofBusiness LicenseOfficialsalso count towardscertification.

Oncea licensing official is certifiedthroughthisprogram,theofficialhas the righttoplace the initials “CBLO”afterhis/hernameandtoberecognizedas apersonwithadvanced licensing knowledge. The recognition you might receive, however, is unimportant compared to the greathelp the knowledge willbe to you in yourdutiesasalicensingofficialin yourcity.

NATIONAL BUREAUOFBUSINESSLICENSE OFFICIALS.AftertheUBLAwasorganized,two oftheattorneyswhowerecalleduponfrequently togiveclassesincaselaw,interstatecommerce,and otherareassaw thegreatbenefitsofregulartraining forlicensing officialsandorganizedanational organizationsimilar tothe UBLA. TheNBBLOhas annualdues foreachcity,andholdsanannual conference. These conferencesareheld in cities throughout theUnitedStates.Itis very beneficial for any licensingofficialtoattendtheseconferences and minglewithcontemporariesfromotherstates.

Section2: KNOWYOURCODE: Themostimportantpartofbusinesslicensingistoknowyour own Citycode and follow it. If there is something youdon’tunderstand, contactyour city attorney,anddiscussitwithhim/her.Eachcityhasa differentcode.Itisvitalthatyour licensingisrun in themanneryourCitycodecallsfor.

If,inreading yourcode, youfindthat there aresomeareas thatneed tobeamendedorupdated, firstbring ittotheattentionofyourcityattorneyand/orcityadministrator.Ifthereisnosuchperson,andyouare IT, take the initiative and propose changes. Remember that the languageofyourordinancesmustbevery clear and easyfortheaveragepersonto understand.

HOW TO UPDATE YOUR CODE: Ifyouknowexactlythelegallanguageandcanwriteupthe ordinance toamendyour code, thengoahead and doit.Itwould be wise, however,tocheck with neighboring citiesand reviewtheircodes.Thereishardly acity intheStateofUtahthatwillnotbevery helpful infurnishing copies ofsectionsofbusinesslicensing codes.Includedwiththischapterisalistof businesslicenseofficersin allcities thatbelongto theUtah BusinessLicenseAssociation (Attachment1). Youcancallonanyofthesepeopleforcopiesoftheircode,helpinunderstandingthelaworanyaspect ofbusinesslicensing.

ENFORCEMENTHOW PLANNING ANDZONING FIT IN: Studyyourplanningandzoning code aswell asyourlicensecode.Inmostcities commercialor industrialbusinesses areallowedonly in certainzones.Ifitisnot already inplace,youshouldestablishamethodwhereby yourplanning and zoning departmentcheckseachbusiness tomakesureitislocatedin therightzoneandhasfollowedthe correctproceduresforestablishing abusinessatthatlocation, such asasiteplan review,zoning review, building inspection, fire inspection,andany other requirement thatyour codemightlist.Businesses locatinginazonewheretheyarenotpermittedorwithoutproperclearances areoneofthepitfalls mentionedat thebeginning ofthischapter.Onceyouissuealicense, itbecomes“property”andcan be takenaway only throughdueprocess.A cautionwouldbethatifyoudeny alicense,dosoinwriting and as soon aspossibleaftertheapplication and review processiscompleted.

Enforcementofyourbusinesslicenseordinancecanbehardifyouareonly beginning now.Ifyoutryto enforcethecodeasyou go, itwillbeeasiertorememberto applythecodeasitisstatedto everybusiness. Whenyouhaveaproblembusiness,and therewillbesome,please talk withyourcity attorney orcity administratorbut rememberto followyourowncode.Itcanbehelpful in these situationstocallother cities toseehow theyhandled asimilarsituation.

YOURBUSINESSLICENSE APPLICATION: Anotherimportant aspectoflicensing isyour application.YoumaycontactanycityBusinessLicenseOfficialandtheywillbehappytosendyoua copy oftheirapplication.Inpreparing yourapplication,makesureyouincludeaspace foreverything that isrequiredby yourcode.Inaddition,therearestateandevenfederalbitsofinformationthatyoushould require.

LICENSE FEES: UtahCodeUnannotated§10-1-203isonesectionoftheStateCodethatyoushould almostmemorize.Itisherethatagooddefinitionofabusinessisfoundinsection(1).Therestof§10-1-

203will tellyouthatyour city can requireabusiness license and chargea feeby ordinance.Under (5)(a) ofthis section,youwillfindthe importantwording dealing with feesforabusinesslicense. Ifyourfee is morethanaregulatoryfee,whichyoucaneasilyjustify,yourcitymustdeterminethedisproportionate

costsofmunicipalservicesorenhancedlevelsofserviceprovidedtoeachparticulartypeofbusiness. Youcanthenbaseyourfeesuponthestudyyouconducttodeterminethesedisproportionateorenhanced

costs.Asyoucan seewhenreading (5)(c)and(d), yourcitymustadoptanordinancedefining the disproportionatecostorenhancedlevelofservices. §10-1-203(6)tellsyou thatyou must chargeauniform feetothesameclassofbusinesses.Remember,whateveryourfees,theymustbebaseduponyourown

studyasrequiredbythissection.Theonlyexceptiontothiswouldbebeerlicensefees,whichthestate allowsonlyup to $300.00.

Section4: REQUIREMENTSOFTHE STATE: Everybusinesslicenseofficialshouldhavean up-to-datesetoftheUtahCodeUnannotatedbooksifyou cannotaccessitat befamiliarenough with theStateCode to beable tolookup referenceswhen needed.

A. The state requiresthatallbusiness inUtahwithan assumedbusinessnameregisterwiththeUtah DepartmentofCommerce.Registrationofassumedbusinessnames,oftencalled “DBA”(Doing BusinessAs)is requiredof allbusinesses thatarenotcorporations,limitedliability companies,or limitedpartnerships.ThesebusinessesregistertheirnameswithintheirArticlesofIncorporation orOrganization orwithin theCertificatesofLimited Partnership.

Ifabusinessownerhasonlyrecentlyregistered his/her DBA, anumberwillnothavebeen issued, and you can takea copy of their registration application asproof. You should keep this information in your files.Theregistration number forcorporations, limitedliability companies, or limitedpartnershipswillbe foundatthetopof theArticlesofIncorporationor theCertificate of Limited Partnership.

a) Registrationprotectsthebusinessownersotheowner’sbusinessnamecannotbe legally used by anotherbusiness. This registrationprovides thebusinesswith exclusiveuseof the exactbusiness name.Themore thenameis usedand becomes knowntothepublic,the morelegalprotectionthe nameearnsagainst“predatory encroachment”byotherbusinesses.

b) Registrationisrequiredso thatacomprehensivestateregistry ofallbusinessand corporateinformationisavailableforpublicreferences.Thisinformationisvitalto

anorderlylegalsystemandmarketplace.Withoutit,thepublicorotherbusinesses haveno wayofknowingthepersonswith whomtheyaredoingbusiness.

c) Registrationisrequiredbylawtoprovidenoticetothepublicofwhoownsorstands behind abusiness entity. Abusinessowner cannot filea lawsuit in courtasabusiness if thebusinessisnotregistered.Registration enables carefulbusinesspeople toverify

informationabout companieswith whomtheydo business.

2)Wheredoesapersonregisterabusinessname?

The State ofUtahnowoffersonlineregistration forallbusiness needs;or abusinesscan filein personatoneofits “servicecenters”orby mail. TheStatecallsitsonline service “OneStopBusinessRegistration”and it canbeaccessedby going tothewebsiteat .

Thereisa$20filingfeeforarenewablethree-yearregistrationforaDBA.Businesses thatincorporateorformalimitedliability company orlimitedpartnershipmustfile incorporatingororganizingarticlesofaCertificateofLimitedPartnershipwithafiling feeof$50.

B. Ifthebusiness conducts any typeof retailsales, thebusiness should havea state tax license and statetaxidentificationnumber.Thiscanbeissueduponapplicationbymailorby goingtoanyof the servicecenters established throughout the state. Thebusinessnameregistration, filing of articlesofincorporationororganization,obtainingthestatesalestaxlicenseandidentification numbercanusually allbedoneattheone servicecenter.Whenabusiness comesintoyourcity to operateabusinessforonlyashorttime,youshouldmakecertaintheyhaveatemporarytax licenseandnumber. Section5.REQUIREMENTSOFTHEFEDERAL GOVERNMENT:

A. Each business that applies for a license and which has employees should have a Federal identification Number. You should require this numberon the application to help ensure thatthe businessisalegitimatebusiness.

B. Businessesare assigned aclassification under the NorthAmerican Industry ClassificationSystem NAICS).Thisisanewfederalgovernmentsystem thattakestheplaceoftheStandardIndustrial Classification(SIC)codingsystem.TheCanadianandMexicanneighborsoftheUnitedStates willbecomepartnersas they adopt this samesystem. Thepublicationof2002employmentdata willbethefirsttimeeconomicgrowthwillbemeasuredusingtheNAICSsystem.Workforce ServicesinUtahhasbeenassigningallbusinessesinUtahwithanNAICSclassification.By

2002,therewillbeayear’sworthofdataavailable,andyear-overaccounting willbepublished usinganNAICSformat.Withthepublicationofthis2002data,theSICformatwillnolongerbe

used.

C. Wheneverlicensinganybusiness,youmustbeawarethateverypersonhasFirstAmendment Rights,andthoseRightsmustbeprotected.Ifyourcodesarenotcarefully writtenandfollowed, youmay infringeupon theseRights.Following aresomeareasinwhichFirstAmendmentRights mustbeguarded, along withyourcity’s rightsto protect thehealth, safety,andwelfareofits citizens:

1) Solicitorsandpeddlersininterstatecommerce:Thelawissimple;it’stheapplicationof thelawthatbecomesdifficult.Thelawis:inorderforacityorcountytorestrict,in anyway,FirstAmendmentRightsthroughitslicensingpowers,therestrictionmust bereasonable.Usually,alicensing restrictionisreasonable ifitis:a)contentneutral,b) serves a legitimategovernmental interest, c) leaves open,ample alternative channels of communication,andd)is narrowlytailoredtoservethegovernmentalobjective.This “reasonableness” test is applied to threedifferent categoriesofrestrictions: a)time,b) place, andc)manner.

2) Sexually(orAdult)OrientedBusinesses:Whenabusinesscomestoyourcitytoopenan SOB,andyouhavenoordinance inplacegoverning wherethebusinessshouldgo, backgroundchecks,special requirements, etc.,your citymustallow thebusiness, andyou willhaveproblemsinregulatingitbecauseyouhavenoordinance.Nomatterwhatthe

viewsofthelicensing official, themayor,thecouncil, orany ofthecitizensmightbeon SOB’s,theactionsofdancers,owners,sellersofadultmaterials,etc.,areprotectedby FirstAmendmentRightsbecausetheyareformsof expression.

AnexcellentSOBordinancecanbeobtained from West ValleyCity andadapted toyour city.Thereisagreatdealofmaterialalreadyavailableontheeffectsofsuchbusinesses on cities and neighborhoods, so you probablywon’thave to do yourown studies. In order toprotectyour city,youwillhaveto haveagood ordinancealready inyourcode, however, and you willneedto zone anareawherethesebusinessescanlocate.

Section6: Okay,let’sgetdowntothemainareasofbusinesslicensing.Yourcodemayormaynot address theseareas at thepresent time,but it isalmost certainthatyouwilladdressthese in thefuture. It ismuch betterto haveyour code in placewhen abusiness comes to town than to try tobackpedaltogetanordinancetoprotectyourcitizensfrom those“lessthan desirable” businesses. You mustbe carefulwith your ordinances to make certain they don’tconflictwithstatelaw.Youcanbemorestrictthan statelawbutnotlessstrict.
