Attendees: Jill Hendrix, Doug Robinson, Linda-Marie Barrett, Erica Merrell, Stephanie Crowe, Wanda Jewell

Call to order by Jill Hendrix

Linda-Marie moves, Doug seconds approval of monitoring reports. Motion passes.

Erica moves, Stephanie seconds to increase CEO salary by 5% to incorporate cost of living and merit increase taking salary to $98,890, and total compensation to 123,612. Motion passes.

Doug moves, Linda-Marie seconds the 2017 Cost of Governance budget line to remain at $44,000. Motion passes.

Doug moves, Stephanie seconds the following Policy Change: Policy 25 Mega-End be revised to read the following. Motion passes.

SEBA exists for conditions conducive to core member success, to the extent that justifies expenditure of available resources.

Accordingly, in order of priority

  1. Core Members will have skills/capabilities that contribute to their short and long term viability.
  2. Core Members will have resources and information that foster innovation and experimentation and will have opportunities to share any knowledge learned.
  3. Core Members will have resources and information that increase awareness of Southern Independent bookstores' importance within our industry.
  4. Core Members will have resources and information to increase public awareness of their importance in the community.

Stephanie moves, Linda -Marie seconds to reengage Hobbs Group as external auditor. Motion passes.

Doug moves, Erica seconds the following Policy Changes: Policy 13A. Meeting Three: Add “Review board reserve fund statement” after “Motion to engage external auditor” Motion passes.

Stephanie nominated and Linda-Marie seconded Doug Robinson’s nomination to the SIBA Presidency. Doug Robinson was elected to his one-year 2017 term as SIBA President.
