SOCIAL MEDIA PROMOTIONAGREEMENT

This Social Media Promotion Agreement "Agreement"is entered into this ___th day of ______, 2012, by and between:

1 - ______“the Company" and

2 - Ross Hair "the Promoter".

The Company andPromoteragree to the following:

1. DESCRIPTION OF SERVICES. Beginning on ______, 2012Company is contracting the Promoter to provide Social Media Promotion Services (Services) for Company, as directed by Company.

All Services shall be provided on the Promoter’s online and social media properties, including but not limited to, the following properties:

  • Local Blog – the Promoter publishes a local blog in the Company’s area. The blog is aimed at connecting with local residents.
  • Local Facebook Page - the Promoter publishes a local Facebook Page in the Company’s area. The Page is aimed at connecting with local residents who are members of Facebook.
  • Local Google Plus Page - the Promoter publishes a local Google Plus Page in the Company’s area. The Page is aimed at connecting with local residents who are members of Google Plus.
  • Local Twitter Profile - the Promoter publishes a local Twitter profile in the Company’s area. The Twitter profile is aimed at connecting with local residents who are members of Twitter.

The Services to be provided shall be set out is Addendum “A” attached to this Agreement:

2. PAYMENT FOR SERVICES. Company will pay compensation to Promoter for the Services in the amount of five hundred dollars ($500) per campaign, payable in advance.

Promoter shall invoice Companyprior to the start of each month and all invoices shall be due on receipt.

3. TERM/TERMINATION. This Agreement shall be forone promotional campaign.

4. RELATIONSHIP OF PARTIES. It is understood by the parties that Promoter is an independent contractor with respect to Company, and not an employee of Company. Company will not provide fringe benefits, includingpaid vacation, or any other employee benefit, for the benefit of Promoter. Promoter shall remain responsible for his/her own tax reporting.

5. WORK PRODUCT OWNERSHIP. Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information (collectively, the "Work Product") developed in whole or in part by Promoter in connection with the Services shall be the exclusive property of the Promoter.

6. CONFIDENTIALITY. Company will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Company, or divulge, disclose, or communicate in any manner any information that is proprietary to Promoter. Company will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement.

7. NON-COMPETE. Company will not at any time or in any manner, either directly or indirectly, use any information that is proprietary to Promoter to develop and/or benefit a business or application that directly competes with Promoter.

8. ADDITIONAL EXPENCES. Any expenses exclusive of normal overhead will be paid for by Company,must be pre-approved by Company, and will be invoiced separately.

9. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.

10. SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

11. ASSIGNMENT. Neither party to this agreement may assign, sell or transfer any part thereof to any other firm or entity without first obtaining the written permission of the other party hereto.

12. APPLICABLE LAW. This Agreement shall be governed by the laws of Colorado.

Addendum A

Schedule of Services

Promoter will complete the following schedule of services for the Company:

Product or Service Review

  • Publish a 300 – 500 word product or service review, to be published on Promoter’s local town blog, promoting the Company’s business.
  • Include the Company’s contact details and a backlink to the Company’s website

Banner Ad

  • Publish one banner ad on Company’s local blogspromoting the Company’s business and generally introducing potential Clients to Company. The banner ad shall be provided by the Company.
  • Include a back link to the Company’s website

Service Directory

  • Add the Company to the Service Directory published on the Local Blog

Facebook

  • Publish and share the blog review on the local Facebook Page.
  • Comment and engage with all Facebook members who post comments
  • Include a link to the blog review

Twitter

  • Publish and share the blog review on the local Facebook Page.
  • Comment and engage with all Twitter members who post comments
  • Include a link to the blog review

Google Plus

  • Publish and share the blog review on the local Facebook Page.
  • Comment and engage with all Google Plus members who post comments
  • Include a link to the blog review
