RENTAL AGREEMENT

This agreement is made this ______day of ______by and between Brooks and Shorey Resorts, Inc. (referred to as the AGENT or AGENCY) and ______(referred to as the OWNER) to secure the services of the AGENT in the Management of the condominium ______ (herein after referred to as the UNIT):

The owner hereby appoints Brooks and Shorey Resorts, Inc., as their Management agent to rent and manage the unit effective on the ______day of ______. This agreement will remain in effect until termination by either party by thirty (30) days written notice.

Any deposits or advance rents will be placed in an interest bearing Florida bank account with interest to belong to Brooks and Shorey Resorts, Inc.

FURNISHINGS/FIXTURES/APPLIANCES: The property shall meet the requirements as set forth by Florida Statues, Department Of Business Regulations, Division of Hotels & Restaurants and pertinent Real Estate Laws. Owner agrees to furnish and maintain furniture, fixtures, appliances, and housekeeping items as generally outlined in the attached addendum.

OCCUPANCY BY OWNER: Family Members, and Non-Paying guests occupancy is available at any time but only by reservations with the AGENT and only if said period has not been rented. OWNER agrees to make the unit available to rent for not less than an eight (8) week period from Memorial Day through Labor Day. OWNER agrees to pay standard departure (housekeeping) fees for any use by OWNER, family and / or guests. To check on the UNIT, the OWNER may call the AGENT’S Reservation Department at (850) 226-6852 or 866-292-3639 during regular business hours. On any day(s) specified by OWNER for his use, the OWNER hereby agrees to an entry hour of 4:00PM or later and a departure hour of 10:00AM or earlier and to conform with the check-in and the check-out procedure used by AGENT in its rental program. The OWNER hereby agrees to register (and to instruct his guests to do likewise) with the property manager prior to occupying the UNIT and to check-out in the same manner upon departure. Departure clean cost to owner is based on unit size.

RESERVATIONS: Reservations produced by the AGENCY are the property of the AGENCY and may be assigned and /or reassigned as the AGENCY deems necessary. All guest income procured by the AGENCY or by the OWNER will 1.) Be charged a commission as outlined in the agreement: 2.) Become a line item in the OWNER’S monthly statement: 3.) Be charged applicable sales/bed tax. It is agreed and understood between the parties, that should OWNER’S UNIT be sold while renter is in occupancy or when a reservation has been taken for the rental of said UNIT, said sale will be made subject to the honoring of the reservations already taken or guest in occupancy. Also owner may not establish any restrictions regarding rental guests’ race, color, or creed.

GENERAL RESPONSIBILITIES OF THE AGENT:

1. Promote and Manage reservations

2. Coordinate guests check-ins and check-outs

3. Collect and account for rental funds, and provide a monthly rental

accounting to OWNER by the 15th of each month

4. Ensure units are properly cleaned and inspected

5. Ensure necessary maintenance and repairs are completed

6. Advertise in major city newspaper and publications, brochures, web-sites,

travel, Southern Living, etc

7. Provide such other services as necessary and appropriate to promote guests’

satisfaction

8. Utilize the service of the OWNERS, referral agencies, Chamber of Commerce

and other to solicit rental reservations

9. To always act in the best interest of the OWNER in the care and maintenance

of the OWNER’S unit

RENTAL RATES: Rates charged by the AGENCY are as per attached rate sheet or will be provided. Rates will be reevaluated annually. The AGENCY reserves the right to vary the scheduled rates when AGENCY determines such change would be in the OWNER’S best interest. Advertised rates, paid by the guest, include the room rental rate plus the amenities package and seasonal beach service. The management fee is based only on the room rental rate portion of the advertised rate.

HOUSEKEEPING/MAINTENANCE: The OWNER will maintain furnishings in the UNIT in first class rental condition (as determined by standards set forth by the Rental Agency) and will retain a sufficient complement of kitchen appliances, utilities, glasses, dishes silverware and linens to accommodate the occupancy limits of the UNIT. The AGENT is authorized to purchase items as needed not to exceed $300.00 without prior approval of the OWNER in order to keep UNIT at the standards set forth by the AGENT. At least annually, or more frequently, if AGENT deems it necessary, a deep cleaning including washing windows, baseboards, and light fixtures and wiping cabinets inside and outside etc., will be performed at AGENTS discretion. Carpet cleaning will be done as needed and billed separately. The deep cleaning will usually be scheduled after the Labor Day holiday period each year. Should the UNIT not be maintained by the OWNER in an acceptable manner or if guests express dissatisfaction with the UNIT in this regard, the AGENT reserves the right, in its sole discretion, to temporarily remove the UNIT from the rental program until such time that the appropriate remedial action is taken by the OWNER. The OWNER will be notified by telephone and in writing of any deficiencies, which would cause the UNIT to be removed from the rental program. OWNER authorizes the agency to make immediate repairs without permission, in lieu of moving guests to other accommodations. A copy of the statements for such repairs shall be included with the next monthly statement rendered to the OWNER. Repair estimates in excess of $500.00, not deemed immediate, shall have prior approval, by the OWNER and arrangement for payment for same estimate before work is authorized.

LIABILITY INSURANCE: OWNER agrees to carry necessary Liability Insurance on UNIT and OWNER shall hold the AGENCY harmless from all suits for damage in connection with the proper management of the premises and from liability for injuries suffered by any person or persons while on the premises.

LEGAL PROCEEDINGS: AGENT may, in the name of and at the expense of the OWNER, institute any and all legal actions or proceeding for the collection of rent or other income from the property or the ousting or dispossessing of tenants or other persons there from and such expense may include the engaging of counsel for any such matter.

MANAGEMENT COMPENSATION: The fee for Management Services Rendered under this agreement shall be 30% of the gross daily and weekly rental charges, 20% gross rentals for one (1) month or longer not requiring housekeeping services. The Management Fee is paid at the time rental checks are disbursed. Management Fees to include housekeeping, except owner departure cleaning and deep cleans.

The Florida Department of Revenue requires each owner that is renting their unit to complete the following paragraph:

I, owner of ______(Name of Property and unit number), hereby authorize Brooks and Shorey Resorts, Inc. (Name of Agent, Representative, or Management Company) to act as my agent to rent to others to use my described property (properties) located at ______(address) and to charge, collect, and remit sales tax levied under Chapter 212, Florida Statutes (F.S.), to the Department of Revenue. I acknowledge that, by renting to others to use any transient accommodations, as defined in Rule 12A-1.061, Florida Administrative Code (F.A.C.), I am exercising a taxable privilege under Chapter 212, F.S., and as such acknowledge that I am ultimately liable for any sales tax due to the State of Florida on such rentals. I fully understand that should the State be unable to collect any taxes, penalties, and interest due from the rental use of my property, a warrant for such uncollected amount will be issue and becomes a lien against my property until satisfied.
