BAY PROTECTION AND TOXIC CLEANUP PROGRAM
ADVISORY COMMITTEE
OPERATING PROCEDURES
ARTICLE I: TITLE AND PURPOSE
Section 1: Title
The name of this advisory body shall be the Bay Protection and Toxic Cleanup Program (BPTCP) Advisory Committee.
Section 2: Purpose
The Advisory Committee shall provide advice to the State Water Resources Control Board to assist in the development of the BPTCP and in fulfilling its Legislative Mandate to implement Chapter 5.6 as specified in the Water Code.
ARTICLE II: AUTHORITY
Section 1: Authority
The Advisory Committee is formed pursuant to Section 13394.6 of the Water Code.
ARTICLE III: MEMBERSHIP
Section 1: Number/Composition of Members
The Advisory Committee shall be composed of twelve members. Members should represent a cross section of groups interested in the Bay Protection and Toxic Cleanup Program. As stated in Section 13394.6 of the Water Code, "... the members of the Advisory Committee shall be appointed by the State Board to represent all of the following interests:
(1)Trade associations whose members are businesses that use the bay, estuaries, and coastal waters of the state as a resource in their business activities.
(2)Dischargers required to pay fees pursuant to Section 13396.5.
(3)Environmental, public interest, public health, and wildlife conservation organizations."

Section 2: Selection of Members
The State Water Resources Control Board (SWRCB) or the Executive Director (under delegation from the SWRCB) shall appoint members to the BPTCP Advisory Committee. The BPTCP Advisory Committee may make recommendations for dismissal of members for good cause and/or appointment of new members from time to time.
Section 3: Reimbursement of Expenses
Members are to serve without compensation. If required, members or their designated alternate shall be reimbursed for any actual expenses incurred to attend a regularly scheduled Advisory Committee meeting, including travel and per diem, that have received advance approval by the State Board. Reimbursement shall be in accordance with prevailing State of California guidelines and procedures.
ARTICLE IV: MEETINGS, LOGISTICS AND ADMINISTRATION
Section 1: Regular Meetings
The BPTCP Advisory Committee shall meet quarterly. More frequent meetings can be scheduled by the committee, if needed.
Section 2: Attendance
Members should attend every meeting or arrange for his/her alternate to attend. Members should notify the Advisory Committee Chairperson or State Water Board staff in advance of any meeting that the member will not be present.
Section 3: Minutes
Minutes or meeting summaries shall be recorded at all meetings by the Recording Secretary in cooperation with staff or the State Board liaison, and draft copies shall be distributed to members at least one week prior to the next meeting. The previous month's meeting minutes shall be reviewed and adopted at the start of the current month's meeting.
Section 4: Quorum
The presence of two thirds of the members constitutes a quorum.
Section 5: Parliamentary Authority
Robert's Rules of Order shall govern the activities of the BPTCP Advisory Committee in all cases where applicable, and where those rules are not in conflict with these Operating Procedures.
Section 6: Agendas
The BPTCP Advisory Committee's agendas shall be developed by the Chairperson and the general membership.
ARTICLE V: VOTING
Section 1: Voting
Each Committee member shall cast one vote.
Section 2: Consensus
The Policy of the group is to work towards consensus. Where consensus is not reached, minority and majority positions may be submitted to the State Water Resources Control Board.
ARTICLE VI: OFFICERS
Section 1: Chair
The responsibilities of the Chair shall include:
Preside at all meetings, maintain order and create an environment where all members' input is solicited and respected.
Represent the BPTCP Advisory Committee to the State Water Resources Control Board.
Section 2: Vice-Chair
The Vice-Chair shall act in the absence of the Chair. In the event the Chair's position becomes vacant, the Vice-Chair shall assume the Chair's responsibilities and a new Vice-Chair shall be elected.
Section 3: Recording Secretary
The Recording Secretary shall oversee the development of minutes and compilation of recommendations to the State Water Resources Control Board and its staff.
Section 4: Election of Officers
Officers of the Committee shall be elected annually. The Officer shall be elected by a vote of the members present.
ARTICLE VII: RESIGNATION
Section 1: Resignation
A member desiring to resign shall submit a written resignation the BPTCP Advisory Committee Chair and State Water Board staff.
ARTICLE VIII: AMENDMENTS
Section 1: Submission
Proposed amendments to the Operating Procedures may be submitted in writing to the Chair, and will be distributed two meetings prior to the meeting at which they are voted upon. Approval of proposed amendments to the Operating Procedures requires a super-majority (10 votes). All committee-approved proposed amendments shall be submitted to the Executive Director for approval.
Section 2: Approval
Proposed amendments to the Operating Procedures shall be approved by a super-majority (10 votes). Proposed amendments to the operating procedures become effective by approval of the Executive Director.
