1.The Customer, whose name and address are stated on the preceding page, hereby applies to open a 30 day credit account with James Walker Australia Pty Ltd (hereafter called "The Company") and for that purpose the Customer furnishes the following particulars of the Customer's business to assist The Company to evaluate this application. All information given herein by the Customer will be treated as strictly confidential.

2.It is further agreed and understood:-

(a)That the Customer has made a full and complete disclosure of the matters set out therein;

(b)If signed on behalf of the Customer, that the signatory has the authority to make this application on behalf of the Customer; and

(c)That The Company will act on reliance of these representatives and statements.

3.In consideration of this application being granted, the Customer agrees with The Company and warrants as follows:-

(a)To be bound by the matters set out on this and the following pages of this document;

(b)That the Customer has been furnished with and has read and is aware of the contents of The Company's Terms of Trade (contained in the separate document tendered to the Customer with this Application) and agrees to be bound by them.

(c)The Customer undertakes to notify The Company in the event of any change in the ownership of the Customer's company within seven (7) days of such change and to indemnify The Company against any loss incurred by it due to any change of ownership of the Customer's company, unless written advice of such change is received by The Company prior to the commencement of tooling and/or production of the goods.

(d)The Company shall be entitled to rely on the matters set out on this page and agreed to by the Customer in relation to all future contracts and dealings, if any, with the Customer.

IN CONSIDERATION OF JAMES WALKER AUSRALIA PTY LTD (hereinafter called "The Company") agreeing to supply (hereinafter called "the Customer") with goods on credit and /or granting to the Customer of (hereinafter called "the Guarantor") hereby agree with the Company as follows:

1.The Guarantor is answerable and responsible to the Company for the due payment by the Customer for all such goods as the Company may from time to time supply to it and for all debts whatsoever and wheresoever contracted by the Customer with the Company in respect of goods supplied to it.

2.This agreement shall be a continuing Guarantee and shall not be determined either by the death of the Guarantor or by the liquidation of the Customer.

3.The Company is to be at liberty without notice to the Guarantor or the Customer at any time and without in any way discharging the Guarantor from any liability hereunder to grant time or other indulgences to the Customer and to threat the Customer in all respects as though the Guarantor was jointly and severally liable with the Customer to the Company instead of it being merely surety for it.
