WHEREAS theLessorisabsolutelyseizedandpossessedoforotherwisewelland sufficientlyentitledtothepieceoflandsituatedat.....andmoreparticularlydescribedinthe Schedulehereunderwritten.

ANDWHEREAStheLesseehasapproachedtheLessorwitharequesttogranta longleaseofthesaidlandwith aviewtoconstructabuildingorotherstructurethereon eitherforlettingoutthesameorany partthereoforforcarryingon businesstherein and which theLessorhasagreedtodoon thefollowingtermsandconditionsagreedto betweentheparties.

NOWITISAGREED BYAND BETWEENTHEPARTIESHERETOASFOLLOWS:

1. TheLessoragreestodemisetotheLesseeandtheLesseeagreestotakeon leasethesaidpieceoflandsituatedat.....andmoreparticularly describedinthe Schedulehereunderwritten foraperiodof99yearscommencingfromthedateof thedeedofleasetobeexecutedashereinaftermentionedattheyearlyrentofRs.

.....to be paid inadvance fromthe commencementofthe lease withoutany deductions.

2. Therentshall beexclusiveofthetaxes, assessments, duesanddutiespayablein respect of thesaidlandandthebuildingorbuildingstobeconstructedthereon, to theGovernmentortheMunicipal Corporation orany otherlocalauthority orpublic bodyandwhichtaxesetc.willbepayablebytheLesseeasandwhentheybecome dueandpayable.

3. TheLessorshall makeoutamarketabletitletothesaidpieceoflandfreefromall encumbrancesandclaimsorreasonabledoubts.

4. TheLessorshall produceorcausetobeproducedtotheLesseeorhisAdvocate alldocumentsoftitlein hispossession orpowerforinvestigation ofthetitletothe saidland.

5. TheLesseeorhisAdvocateshallsendrequisitionsontitle,ifanytotheLessoror hisAdvocatewithin fourweeksfromthedateofproduction ofthetitledeedsfor inspectionasaforesaidfailingwhichtheLesseeshallbedeemedtohaveaccepted thetitleoftheLessor.

6. On theLessormakingout amarketabletitleasaforesaidortheLesseeaccepting thetitle,butnototherwise,theLessorshallgrantaleaseofthesaidpieceoflandby executingaDeedofleaseinduplicateforthesaidperiodandatthesaid rent.

7. TheDeedofLeasewillcontainusualcovenantstobegivenbytheLesseeand Lessorandotherusual termsandconditionsprovidedthattherewill beno restrictionontheLessee'sright toassigntheleaseandtheDeedofLeasewillalso

containaconditionthatonthedeterminationoftheLeaseby efflux oftimeor otherwise,theLesseewill surrenderthelandtothelessoralongwiththebuildingor buildingsstandingthereonwithoutany compensation.ThedraftoftheDeedof Leasewillbepreparedby theLessee'sAdvocateandapprovedby theLessor's advocate.

8. Thetransactionwillbecompletedwithinaperiodofthreemonthsfromthedate hereof.

9. TheLessorshallgivecompletevacantpossessionofthelandtotheLesseeonthe dateofcompletionanduntilthenhewillnotallowanybodytocommitencroachment ortrespass thereon.

10. AllthetaxesandotheroutgoingIn respectofthesaidlanduptothedateof completionoftheleasewillbepaidbytheLessor.

11. Thecostsbywayofstampdutyandregistrationchargesin respect oftheDeedof Leasewill beborneandpaidby thepartiesheretoinequal shares.Eachpartywill bearandpayallothercostsincurredbyhimIncludinghisAdvocate's fees.

12.TheLessordeclaresthatthesaidlandisnotsubjecttoanyreservationorany

Intendedacquisitionorrequisitionandtherearenobuilding restrictionsontheland.

13.TheLesseewillbeatlibertytoconstructabuildingorbuildingsthereonwithall

requisiteandpropersewers,drainsandotherconveniencesandthebuildingor buildingswillbeconstructedasperplansthatwillbesanctionedby themunicipal corporation and/orotherlocalauthority orpublicbody asmay berequiredandhe willconformtoallrulesand regulationsinthatbehalf.

14. Nothinginthisagreementshallbeconstruedasapresentdemiseofthesaidland oranypartthereof.

15. Ifany permission orNoObjectionCertificateIsrequiredtobeobtainedfromany authority forgrantingaleaseofthesaidlandasaforesaidtheLessorshallobtain thesameathisowncostsasaconditionprecedenttotheexecutionoftheDeedof Lease.

16. IftheLessorfailstocompletethetransaction asherein provided,theLesseewill havetheoption eithertocancelthisagreementby fifteen days'priornoticetothe Lessortothat effect ortosueforspecificperformanceandor damages. If the Lesseefailstocompletethetransaction,on theLessormakingoutamarketable title,theLessorwillhavetheoptiontocancelthisagreementby fifteen days'prior noticetotheLesseetothat effect ortosueforspecificperformanceand/or damages.

INWITNESSWHEREOFthepartieshaveputtheirrespectivehandsthedayand yearfirst hereinabovewritten.
