AGREEMENT OF PLEDGE OF MOVABLE ASSETS

Art. 1

The Pledgee and the Pledgor (hereinafter referred to asContractingParties), hereby agree that the object of this Agreement is toconstitute and establish a right of pledge over the Pledgor’s movable assets / rights (depending on whether the pledged collateralis a movable asset or right), for the purpose of securing the payment of all obligations to the Pledgee______

The right of pledge securesthe payment of all obligations to the Pledgee by the Pledgor,amounting to RSD (the principal amount of the secured claim),withrepayment date ______(date ofmaturity).

The Contracting Parties agree that if the Pledgor fails to settle thedebt within the term set forth in paragraph 2 of this Article, the Pledgee may satisfy the principal claim, accrued interest, as well as other costs incurred in relation to debt collection, from the value of the pledged asset, in the amount of ______dinars (maximumamount of secured claim).

Art. 2

For the purpose of securing the Pledgee’s claim, set forth in Art. 1 of the Agreement, the Pledgor hereby pledgesthe movable asset in its ownership(receivable or other property right), specifically:

Art. 3

The Contracting Parties agree that the Pledgor:

-Shall retain possession of the pledged asset set forth in Art. 2 of this agreement and may use it in accordance with its intended purpose;

-May lease or transfer ownership of the pledged asset to a third party;

-May re-pledge the pledged asset.

Art. 4

The Pledgor undertakes to:

- Inform the Pledgee of any change of address;

- Upon selling the pledged asset and transferring ownership to a third party, the Pledgor shall submit, without delay, a request for registration of change ofdata on the registered right of pledge in the Register of Pledges, to the burden of the new owner.

Art. 5

Should the Pledgor fail to settle the debt upon maturity, the Pledgee shall:

- Notifythe Pledgor and third party who are in possession of the pledged asset, by registered mail, of its intention to satisfy its matured claim from the value of the pledged object;

- Request the registrationof the initiation of the debt settlement procedure in the Pledge Register.

Art. 6

Any legal matters not addressedherein, shall be governed by the provisions of the Law on Pledge of Movable Assets Registered in the Pledge Registry,(„Official Gazetteof RS“ no. 57/03, 61/05and 64/06),and regulations governing obligations and property relations.

Art. 7

The contracting parties agree to resolve any disputes arising under this Agreement by common accord,and if this is not possible, the parties agreeto refer the matter to the competence of the______Court in .

Art. 8

This Agreement has been drafted in five (5) identical copies, of which two (2) shall be retained by each contracting party and one (1) copy shall be submitted to the Pledge Register,as the legal grounds for the registration of the pledge right.
