I. PARTIES
This agreement (the AGREEMENT) is made and entered into between Virginia Commonwealth University, an institution of higher education and an agency of the Commonwealth of Virginia (“VCU”), by and through its School of Business (“VCU SB”), and [UNIVERSITY (“UNIV”)], located and operating in [LOCATION]. In this AGREEMENT, the above entities are jointly referred to as PARTIES.
II. PURPOSE
For the mutual benefit of the students, faculty, staff, institutions, states and nations, the two institutions will collaborate to meet the demand for developing professionals who can successfully manage the new global economy by taking advantage of the education resources at both institutions. This AGREEMENT sets forth the terms and conditions for the two universities to develop an articulated curriculum culminating in an undergraduate degree offered by VCU.
III. RESPONSIBILITIES OF THE PARTIES
- VCU and [UNIVERSITY]agree to collaborate in the development of an articulated undergraduate 2+2programallowing for credit transfers between VCU and[UNIVERSITY] contributing to the award of a bachelor’s degree. Program credits are earned during two years in [UNIVERSITY School/Unit](Phase I) and two years in VCU SB (Phase II).
- During Phase I, [UNIVERSITY] will:
- Deliver preliminary courses for a bachelor’s degree, including, as determined appropriate, business, general education and ancillary support courses.
- Monitor students’ progress and provide to VCU at the end of each semester a report on the number and performance of each cohort.
- Provide academic advising and remedial instruction as required to support student progress.
- Develop in consultation with VCU a comprehensive orientation program to prepare students for success in a U.S. Higher Education environment and deliver and assess this program during Phase I.
- Administer the VCU English Language Placement Test at the latter stage of Phase I and provide test results to assist in determining VCU Admissions decisions.
- During Phases I and II, VCU will:
- Review applications from participating students at [UNIVERSITY] and accept for admission those students who fulfill all stated VCU standards of admission.
- Review requests to evaluate [UNIVERSITY]courses for transfer and list any courses approved for transfer by VCU in the student’s final academic transcript when they graduate from VCU. (The transfer of credit and VCU course requirements are detailed in Appendix 1).
- Provide to all [UNIVERSITY]students accepted into this program, prior to entry into academic courses at VCU, a summer intensive language and culture immersion program offered by the Global Education Office at VCU, which will include a focus on learning and research skills and engagement with the local business community.
- Both universities will provide assistance to each student who applies for a visa.
- While no minimum or maximum number of students will be set, the parties estimate the number will not be more than 25 students per year.
IV. ADMISSION STANDARDS
- Admitted students must have a good-to-excellent academic record as demonstrated by a minimum cumulative grade point average of 2.5 and meet all admission or specific requirements of VCU, including language proficiency test scores.
- Students who do not meet the VCU language requirement at the end of Phase I are required to enroll in the VCU English Language Program at the appropriate level.
- A maximum of 60 credits obtained at [UNIVERSITY] may be transferred to fulfill the course credit requirements at VCU. The minimum grade required for courses to transfer is a score of 70% [“C”] equivalent for undergraduate courses
- VCU will post transfer credits only when the [UNIVERSITY] student has provided VCU with an official transcript from [UNIVERSITY].
- VCU reserves the right to dismiss any student at any time for academic or personal misconduct in violation of established institutional policies. The dismissal of a student will not abrogate the agreement for the arrangements regarding other transfer students from [UNIVERSITY].
- Students who successfully fulfill the degree requirements will be awarded a Bachelor’s degree by VCU.
V. TUITION AND FEES
- [UNIVERSITY] students will be enrolled as full-time degree students at VCU as required by the U.S. student visa regulations and undertake a preplanned program of study as determined by both parties.
- During phase II [UNIVERSITY] students will be charged VCU tuition according to the prevailing non-resident tuition and fees structure.
- In addition to tuition, [UNIVERSITY] students are responsible for the following costs: international travel; room, board and living expenses; VCU mandatory fees; Health Insurance for international students; textbooks; and miscellaneous expenses
VI. EFFECTIVE DATE AND DURATION
Subject to its other provisions, this AGREEMENT shall be effective from the date of the last signature, and shall be completed five years hence, unless terminated sooner as provided in the AGREEMENT. The agreement shall be reviewed in the final year in order to make a decision concerning its renewal.
VII. TERMINATION
Either party may terminate the AGREEMENTby giving at least 6 months’ written notice to the other party provided that termination only relates to not accepting any further students and the parties agree that their respective obligations to students already registered at [UNIVERSITY], or those students who have already been offered places and met the requirements for progression to VCU, shall continue to be honored by both parties.
VIII. HOLD HARMLESS
Each PARTY to this AGREEMENT shall, to the extent permitted by law, indemnify and hold the other harmless for any and all claims, injuries, damages, losses or suits, including attorneys’ fees, arising out of its own acts or omissions and those of its officers, employees and agents in the performance of this AGREEMENT. No party to the AGREEMENT shall be responsible for the acts and omissions of those not a party to this AGREEMENT.
IX. GENERAL PROVISIONS
- Changes to the AGREEMENTwill be agreed by the parties through the exchange of written correspondence.
- ThisAGREEMENT hasfour pages in all, and is prepared in English.
- Virginia Commonwealth University is accredited by the Southern Association of Colleges and Schools’ Commission on Colleges to grant bachelor, master, and doctoral degrees and to award certificates for certain courses of study. [UNIVERSITY] is not accredited by the Commission on Colleges and the accreditation of Virginia Commonwealth University does not extend to or include [UNIVERSITY]or its students. Although Virginia Commonwealth University may accept certain course work in transfer toward a credential from [UNIVERSITY], or collaborate in other ways for generation of course credits or program credentials, other colleges and universities may or may not accept this work in transfer, even if it appears on a transcript from Virginia Commonwealth University. This decision is made by the institution subsequently considering the possibility of accepting such credits.
- Force Majeure. An Institution shall not be responsible for failure to perform any of the obligations imposed by this AGREEMENT, provided such failure shall be occasioned by fire, flood, explosion, lightning, windstorm, earthquake, subsidence of soil, failure or destruction, in whole or in part, of machinery or equipment or failure of supply of materials, discontinuity in the supply of power, governmental interference, civil commotion, riot, war, strikes, labor disturbance, transportation difficulties, labor shortage, or any other cause beyond the reasonable control of such Institution.
- Agency. The Institutions agree that, during the term of this Agreement, the Institutions are engaged with each other as independent contractors and not as a joint venture, partnership, trust, association, corporation, or formal business organization of any kind. Except as expressly provided herein, neither Institution shall have the right to bind or obligate the other Institution in any manner without the other Institution’s prior written consent.
