Scientific and Academic Agreement

This Agreement of Mutual Cooperation (“Agreement”) is made by and between “Universidad Nacional de La Pampa” (UNLPam), with legal domicile at Coronel Gil N° 353,city of Santa Rosa, province of La Pampa, represented by its President, C.P.N. Sergio Aldo BAUDINO, duly authorized thereto, and …………………. (Name of Partner), with legal domicile at ……………. represented by its President, …(name of President)………………., duly authorized thereto, further referred in the text as the “Parties.” The Parties intend to engage in scientific, academic and administrative cooperation on matters of mutual interest and concern, in accordance with the following statements and clauses: ------.-

Introduction:

Universidad Nacional de La Pampa, and ……(Name of Partner)…………………………agree to sign this Agreement with the purpose of strengthening the relationship between both institutions and in order to cooperate towards the development of cultural, scientific and academic exchange in the fields of education, research and community-related activities.-

General Principles of Cooperation:

1.  OBJECTIVES: the main objective of this Agreement is to set up a general framework within which secondary and/or further education schools, departments, programs, faculties, interdisciplinary initiatives and other university institutions may develop activities of mutual interest pertaining to UNLPam and ……(Name of Partner)…………………………-

2.  ACTIVITIES: the activities to be promoted and fostered in accordance with this Agreement and their conditions- to be specified in development protocols related to this Agreement- will be the following:

a)  Under-graduate Students’ Exchange Programs;

b)  Graduate-MA/ MSc./ PhD- Students’ Exchange Programs;

c)  Faculty, Researchers and Administrative and Managerial Personnel Exchange Programs;

d)  Faculty, Researchers and Administrative and Managerial Personnel Cooperation Initiatives;

e)  Education and Research Materials, Publications and Academic Information Exchange;

f)  Joint Research Programs and Educational and Research Events- Conferences, Symposia, etc.-

3.  Funding and Subsidies: Implementation of specific cooperation programs will depend on the Parties’ budgetary availability. Both UNLPam and ……(Name of Partner)………agree to support each other in the application for funding opportunities from agencies providing funds and subsidies related to the cooperation and exchange programs involved in this partnership. Financial agreements between the Parties may vary depending on the nature of specific activities.-

Equal Opportunity Policy:

Both Parties subscribe to a policy of equal opportunity not to discriminate against race, gender, religion, national origins, marital status or sexual orientation.-

Duration of Agreement, Evaluation, Renewal and Termination:

This Agreement will be effective as of the date on which both Parties sign it and for a period of five years. This Agreement may be amended with the written consent of the Parties. It can also be terminated previous to the date of termination by each and any of the Parties with a sixty-day written notice to the other Party. Activities in progress at the time of termination of this Agreement will continue and conclude according to what had been planned, unless otherwise agreed by the Parties. This Agreement will be evaluated every five years to assess progress and the quality of mutual cooperation and it may be renewed with the new approval of both Parties.-

Extent

This Agreement constitutes the general cooperation framework between the Parties; all previous discussions, partial agreements or letters of intent, ether written or oral, are incorporated to this Agreement. This Agreement is not to be considered a contract creating financial relationships between the Parties but rather, it is written to facilitate and develop a process of exchange and/or genuine research tasks of mutual benefit for the Parties.-

Jurisdiction: Both UNLPam and ……(Name of Partner)………………… will observe the highest standards in their relationships. The Parties agree to solve directly and between them, any disagreement or discrepancy that might originate as a result of the planning and implementation of this Agreement.

Legal Capacity: The President of UNLPam proves his legal capacity to sign this Agreement by means of certified copy of Entry N0 …………………….of the UNLPam Elections Board and the President of ……(Name of Partner)………………… proves his/her legal capacity to sign this Agreement by means of certified copy of Entry N0 …………………….of the ……(Name of Partner)…………………, documents that are attached to this Agreement.-
