Member or Proponent understands that anyProject to be registered on the American Carbon Registry® (“ACR”)must meet the eligibility criteria of the ACR at the time of registration. Each Member orProponent hereby represents and warrants to Winrock International Institute for Agricultural Development, its affiliates and supporting organizations and any assignee of substantially all of the assets comprising the ACR(collectively, “Winrock”) that:
(1)Member or Proponent is authorized to register and transact the verified emissions reductions (“VERs”) generated or to be generated by the Project;
(2)To the best knowledge of the representing party, there are no competing claims to such authority;
(3)Neither such VERs nor any underlying emissions reductions and/or carbon attributes to be registered on the ACR have been transferred, retired or otherwise used or disposed of prior to the date hereof, other than as duly recorded in the ACR;
(4)Neither such VERs nor any underlying emissions reductions and/or carbon attributes to be registered on the ACR have been serialized, registered or retired or otherwise transacted on another registry and/or under another standard or program;
(5)In the event of any competing claims to any VERs generated or to be generated by the Project and to be registered on the ACR, or to Member’s or Proponent’s authority to register and transact such VERs, Member or Proponent agrees to indemnify and hold harmless Winrock and its affiliates, officers, directors, independent contractors, agents, donors, and employees harmless from any losses, damages, liabilities, judgments, settlements, fines, taxes, liens, impositions, encumbrances, penalties, claims, suits, costs and expenses, including reasonable attorneys' fees, arising from such claims;
(6)At no time during or since the development of the Project have there been any undisclosed or unmitigated adverse environmental or community impacts as a result of the development, construction, operation and/or maintenance of the Project;
(7)Any comments that were received from stakeholders regarding environmental or community impactsduring the development, construction, operation and/or maintenance of the Project have been addressed, and when necessary response actions have been implemented by the Member or Proponent and a true and accurate summary of any and all such communications/actions is attached hereto (as available).
Member further agrees to notify Winrock promptly in the event that it becomes aware that any representation or warranty set forth above was not true when made.
