Simple Subscription Agreement

This agreement is a subscription to a software and data package known as the JCSZip database. The basis for the data portion is the United States Post Office’s (USPS) package known as the “City/State” file. Jay Computer Services (JCS) has subscribed to that file, and purchased an agreement from the USPS to allow JCS to market the “City/State” information to JCS’ Customers.

As a portion of JCS’ agreement with the USPS, JCS has agreed that the USPS remains the owner of the data, and that JCS has subscribed from USPS the permission to use that data for its purposes and to market the data to JCS Customers. Further, JCS has agreed to bind its Customers to the same agreement. By signing this agreement, the Customer agrees to honor JCS’ agreement with the USPS.

Initially, the USPS does not require accounting of the Companies to whom JCS has issued subscriptions. JCS is bound, however, to honor such a request from the USPS. JCS will notify the Customer if the USPS makes the request for a subscription list at the same time JCS supplies the list to USPS.

Included within JCS agreement with the USPS is a provision that JCS will discontinue use of the data at the end of JCS’ subscription agreement with the USPS, or extend the subscription at the then prevailing rates. Further, JCS must apply any subsequent data updates within 105 days of receipt, or discontinue use of the data. JCS’ Customers are bound by the same agreement, and JCS agrees to supply the USPS updates to its subscription Customers within a reasonable time after the USPS updates become available.

JCS’ Customers also receive, as a part of the JCSZip subscription, the “value added” data portions, and computer software to access the supplied data. JCS makes every effort to make the value added data as accurate as possible. Customer realizes that JCS supplied data is an approximation, and, as such, Customer agrees to hold JCS blameless in the use of the data in whatever use the Customer will make of the data.

The subscription grants the Customer the right to use the data on only one server. If the Customer needs, the Customer may install the data and software on one additional server for developmental and/or testing purposes, but this server may not be accessed by Customer’s users for production purposes. If the Customer wishes, the Customer may purchase additional subscriptions to load on additional servers.

Customer agrees that the software supplied is a JCS trade secret, and the Customer agrees to not disclose that software to anyone not covered by this agreement.

This agreement is governed by the laws of the State of Minnesota.
