COPYRIGHT LICENSE

This Agreement made between the Maricopa County Community College District (“MCCCD”), a political subdivision of the State of Arizona, on behalf of its colleges and skill centers, and ______, (“Licensee”), (collectively, “Parties”).

BACKGROUND

A.  MCCCD owns the copyright to [describe the materials to be licensed] ______ (“Materials”). MCCCD is willing to allow Licensee to copy and use the Materials under the terms described in this License.

B.  Licensee is [describe entity’s business] ______.

AGREEMENT

For the promises contained in this Agreement, the parties agree as follows:

1.  This Agreement is effective on ______.

2.  MCCCD grants Licensee a non-exclusive right to copy and use the Materials and to incorporate the Materials into other works (“Derivative Works”) solely for non-commercial or educational uses only. Licensee may not sell or otherwise generate direct revenue from copying the Materials. Licensee may not use the Materials in any way that might impair MCCCD’s image as a public institution of higher education.

3.  MCCCD shall retain all right, title and interest in the Materials, including the copyright to them. Additionally, MCCCD shall retain all right, title and interest in any Derivative Works that consist substantially of the Materials.

4.  The parties may terminate this Agreement in writing. If either party breaches its material obligations under this Agreement and fails to cure the breach within 60 days after receipt of written notice, the Agreement shall terminate on the expiration of 60 days.

5.  The “Background” portion of this Agreement is incorporated into it by this reference.

6.  This Agreement constitutes the entire and only agreement between the parties and all other prior negotiations, agreements, representations and understandings are superseded.

7.  MCCCD gives notice that it may cancel this Agreement for a conflict of interest under Arizona Revised Statutes Section 38-511.

8.  The laws of the United States of America and the State of Arizona apply to this Agreement.
