Request for Proposal
Investment Advisors Services for the Blaine County School District.

1. General Conditions:
ALL REQUESTS FOR PROPOSALS ISSUED BY BLAINE COUNTY SCHOOL DISTRICT NO. 61 SET FORTH BELOW WILL BIND INTERESTED PARTIES AND SUCCESSFUL INTERESTED PARTIES TO THE CONDITIONS AND REQUIREMENTS SET FORTH HEREIN, AND SUCH CONDITIONS AND REQUIREMENTS SHALL FORM AN INTEGRAL PART OF THE CONTRACT TO BE AWARDED BY THE DISTRICT.
1.1 PROPOSALS
a) All proposals must be submitted in writing and in accordance with instructions provided by the District.
b) Proposals received after the time stated in the notice to Interested Parties will not be considered. Such proposals will be returned unopened to the Interested Party. The Interested Party assumes the risk of any delay in the mail or in the handling of the mail by employees of the District. Whether sent by mail or by means of personal delivery, the Interested Party assumes responsibility for having their proposal deposited on time at the place specified.
c) General and special instructions, in connection with each item against which a proposal is submitted, must be given to constitute a proposal.
d) The submission of a proposal will be construed to mean that the Interested Party is fully informed as to the extent and character of the supplies, materials, equipment, and service in complete compliance with the specifications.
e) No charge will be allowed for federal, state or municipal sales and excise taxes since the District is exempt from such taxes. The proposal price shall be net and shall not include the amount of any such tax. In all specifications, the words "or equal" are INCORPORATED BY REFERENCE WITH each item description. The decision of the District as to whether an alternate or substitution is in fact "equal" shall be final.
f) Prices shall be net.
1.3 INDEMNIFICATION AND HOLD HARMLESS
a) The Vendor shall indemnify and hold harmless the District and its Boards of Education, officers, employees, agents, representatives and volunteers from all suits, actions, losses, damages, claims, or liability of any character, type, or description, including but not limited to, all expenses of litigation, courts costs, penalties, and attorneys' fees whatsoever of any kind or nature, arising directly or indirectly from the negligence of the Vendor, its agents, servants, employees, persons or entities engaged as independent contractors by the Vendor and suppliers, provided, however, that the Vendor shall not be required to indemnify for the following:
b) acts or conduct by third parties, other than the District and its Boards of Education, officers, employees, agents, representatives and volunteers, not under the control of the Vendor, except for persons or entities engaged as independent contractors by the Vendor;
c) claims where the District has failed to give adequate, prompt written notice thereof to the Vendor;
d) claims settled without the prior written consent of the Vendor; or
e) Acts of intentional misconduct or negligence by the party to be indemnified.
1.4 CONFLICT OF INTEREST
The proposal provider hereby covenants and agrees that there is no officer or employee of the District forbidden by law to be interested in the Contract, either directly or indirectly, who will benefit there from.
1.5 GOVERNING LAW
Contract shall be governed by and construed in accordance with the laws of the State of Idaho. Any litigation or other proceeding arising under the Contract shall be commenced in a court of appropriate subject matter jurisdiction in the State of Idaho with venue in Blaine County.
1.6 COMPLIANCE WITH DISTRICT REGULATIONS
The Vendor shall cause all persons performing work to comply with all instructions pertaining to conduct and building regulations issued by the District. All such persons shall wear readily visible identification mutually satisfactory to the District and the Vendor.
The Vendor shall cause all such persons to preserve and protect all confidential information of the District to which they may have access during the performance of work. The District may promulgate and modify the rules and regulations relating to the conduct of the Vendor and all persons performing work under the Contract as the District, in its sole discretion, may determine. The Vendor shall cause all persons performing work to comply with such modifications.
2. Specifications:
2.1 INTENTION AND GENERAL INFORMATION
It is the intent of the District to contract with an Investment Company to provide investment advice on idle funds. The District has provided a cash flow projection that is the best guess at this time. The District must not be held liable if this scenario changes for the increase of funds being invested or the decrease of funds being invested. The selection will made in compliance with the following criteria:
a) Blaine County School District No. 61 Investment Policy as shown in Addendum 1.
b) The projected cash flow analysis as provided in Addendum 2 with the exception of the initial investment. The initial investment will be a minimum of $5,000,000.
c) The investment advisor must provide monthly statements to the Blaine County School District.
d) The investment advisor must provide a fee schedule for these services.
e) The District would like to see an example of the investment ideas the successful firm is contemplating as well as the actual yield and net of fees.
f) The investment advisor must provide a value of assets under management.
g) The investment advisor must provide a listing of team members if he/she will be partnering in this venture.
h) The investment advisor should provide additional information as to help with the decision making process on qualifications.
i) Proposals will be submitted in both hard copy and an electronic copy file.

Any and all changes to these specifications are valid only if they are inserted into the Request for Proposal by a written addendum to all Interested Parties.
5. Reservation Of Right Of The District To Reject Or Accept Proposals:
The District reserves the right to accept or reject any or all proposals (based on each item separately or as a whole), to waive informalities, to accept the proposal deemed best overall for the District, to reissue the Request for Proposal, or to take no further action.
