AHA Committee on Governance

Purpose

The Committee on Governance (COG) is one of four specialty committees of the AHA Board of Trustees. The COG is responsible for:

¨  Leading effective trustee involvement in grassroots advocacy

¨  Providing input into AHA’s policy development

¨  Enhancing communication with and involvement of trustees in the AHA

¨  Providing advice on AHA’s trustee initiatives

Composition

The COG is composed of 28 members: the chair-elect, chair, immediate past-chair, nine regional trustee liaisons (RTL), and up to 16 at-large members.

All members of the COG are expected to serve the mission and goals of the AHA rather than the interests of any one constituency. The COG seeks to have broad racial, ethnic, and gender mix, be geographically diverse, and though composed primarily of health care trustees, consideration is given for at-large positions to health care CEOs, physicians, nurses, state or metropolitan association CEOs, and other community leaders.

All members of the COG must be associated with an AHA institutional member hospital or health system throughout their term on the committee.

COG Regional Trustee Liaisons

Regional Trustee Liaisons (RTL) serves as the key advocacy and communications link between the COG and trustees in their region. As such, their responsibilities include:

¨  Serving as a member of the COG

¨  Serving as COG representative to a Regional Policy Board (RPB) and as an active participant at the RPB meetings

¨  Attend six meetings per year; three for the COG and three for the RPB

COG At-Large Members

At-large members serve as active participants on the AHA Committee on Governance. As such, their responsibilities include:

¨  Representing the COG at state and national events and education sessions

¨  Actively participating in implementing and expanding state-based grassroots advocacy networks

¨  Attend three meetings per year

AHA Regional Policy Boards

Purpose

The nine Regional Policy Boards (RPB) assist in fostering and maintaining communication between the AHA and its membership and state associations, and assist in developing AHA policy by providing input on policy issues to be considered by the Board of Trustees; serving as ad hoc policy development committees when appropriate; assisting in implementing AHA policy and programs; and identifying problems and needs unique to the region and assisting in developing programs to meet these needs.

Composition

Each RPB consists of the RPB chair, delegates from each state in the region, constituency and membership section delegates, and regional physician and trustee delegates. There is an alternate delegate for each delegate; most RPBs invite alternate delegates to attend all meetings.

Also participating in the RPBs are officers of the AHA Board of Trustees, chief executive officers of state associations, a representative from the American Organization of Nurse Executives, metropolitan/regional association executives, and the Committee on Governance Regional Trustee Liaisons.

Meetings

RPBs meet three times a year, with meeting sites rotated among the states in the region.

Term of Office

Terms for RPB members are three years.

Regional Policy Board Trustee Delegate/Alternate Delegate

RPB trustee delegates and alternate delegates serve as active participants on the AHA Regional Policy Boards. As such, their responsibilities include:

¨  Providing a governance perspective to the RPB deliberations

¨  Attending three AHA RPB meetings per year

¨  In the absence of the delegate, the alternate delegate attends to ensure representation

Candidate Criteria

The Leadership Development Committee is seeking nominations for candidates who have exhibited accomplishments in one or more of the following:

ü  Leadership in community-focused health care delivery

ü  Leadership in local hospital/system or other health care organization board

ü  Participation in state or metropolitan health care association activities

ü  Participation and leadership in other AHA involvement opportunities

ü  Leadership in local or national political advocacy activities

In addition, the following personal characteristics are sought in trustee candidates:

ü  Demonstrated leadership potential

ü  Willingness to devote time for COG meetings and responsibilities

ü  Fairness

ü  Consensus builder

ü  Ethical

ü  Strong interest in public policy discussion and debate

ü  Active participant and contributor to discussions

ü  Flexibility

Nominations Process

Please submit your candidate recommendations using the attached form by March 10, 2008 and include the following:

1. A written statement responding to the following questions:

a.  Why would you like to serve on the COG or RPB?

b.  What strengths do you think you can contribute to the COG or RPB, if selected?

c.  Please discuss your availability to attend three meetings per year. (Regional Trustee Liaisons attend six meetings per year).

2. A current biographical summary or curriculum vitae

3. Letters of recommendation from the candidate’s CEO and board chair. (If the candidate is the board chair, please submit a letter from another board member.)

4. Please note if you currently hold or are being considered for other AHA positions (e.g., RPB, governing council, etc.).

The nominations process lasts into the summer of 2008. Candidates will be interviewed by telephone by two members of the COG’s Leadership Development Committee in April-May of 2008. Nominations made by the Leadership Development Committee are forwarded to the Committee on Governance. AHA’s Board of Trustees makes final approval of appointments in July, with letters sent to nominees in August.

Candidates recommended through the nomination process but not selected for COG or RPB positions will serve as the trustee leadership pool for other appointments in the American Hospital Association.
