AGREEMENT REGARDING
NONPROBATE ESTATE
(RCW 11.42.085 & 11.96A.220)

THIS AGREEMENT is among the beneficiaries of certain of Decedent's nonprobate assets for the purpose of providing Nonprobate Notice to Creditors.

A. The parties have each received certain probate assets, nonprobate assets, or both (the "Assets") as a result of Decedent's death. Those received by each party and their value as of Decedent's death are shown in the attachment to this Agreement.

B. The parties' respective percentage interests (the "Respective Interests") in the Assets are as follows:

C. The parties are not aware of the appointment of a Personal Representative for Decedent's estate or of any other beneficiary of Decedent's estate acting as a Notice Agent under RCW 11.42.

D. The parties believe that they have collectively received substantially all of Decedent's probate and nonprobate assets.

AGREEMENT

In consideration of the foregoing premises and the mutual agreements contained in this Agreement, the parties agree as follows:

1. Notice Agent. The parties appoint Name Of Notice Agent to act as Notice Agent ("Notice Agent") under RCW 11.42, who shall have full authority to file, publish, and provide actual Nonprobate Notice to Creditors in accordance with RCW 11.42.

2. Approval of Claims. Any Creditor's Claim filed as a result of any Nonprobate Notice to Creditors shall be approved or rejected, in whole or in part, by:

A majority vote of the parties.

A vote of the majority of the Respective Interests.

3. Notice Agent's Fee & Attorney. Notice Agent is entitled to:

·  A fee for acting as Notice Agent at the rate of $25 hourly.

·  Reimbursement for any costs.

·  Hire an attorney to represent him/her as Notice Agent.

·  Reimbursement for attorney's fees and costs of up to
$ 1,000 without further agreement of the parties.

4. Contribution Requirements. Each party shall contribute his/her Respective Interest share of claims approved under Paragraph 2 above and fees and costs under Paragraph 3 above, which shall be paid to Notice Agent within ten days of Notice Agent's mailing of a request for contribution.

5. Indemnity. The parties indemnify and hold Notice Agent harmless for any act taken under this Agreement.

6. Nonjudicial Dispute Resolution. The parties agree to the filing of this Agreement in the Superior Court of the State of Washington for King County under the provisions of RCW 11.96A.170 on the understanding that upon such filing, this Agreement shall have the force and effect of a final Order of such Court. Each party:

·  Waives all notices of such filing;

·  Agrees that by filing this Agreement, its terms will become final and binding and the equivalent of a final and binding Order;

·  Waives any right he/she may have to appeal from such Order; and

·  Acknowledges that he/she has had ample time to secure independent counsel and to have such counsel review this Agreement.

7. Effective Date. This Agreement shall become effective upon its filing as provided in Paragraph 6 above.

8. Entire Agreement. This Agreement, together with all of its attachments, represents the entire agreement and understanding among the parties, and supercedes all prior agreements and understandings, regarding its subject matter. Neither this Agreement nor any of its provisions may be amended, waived, discharged, or terminated orally, but only by a writing signed by the party against whom enforcement of the amendment, waiver, discharge, or termination is sought.
