Company’sObligationsandAgreements: CompanyagreestosubmitfullpaymentassociatedwithSponsorshipLevelselectedonpage1toRed Angus Association of America (“RAAA”),attheaddresslistedbelow,by June 1, 2018. FailuretosubmitpaymentinfullbyJune 1willresultincancellationofCompany’ssponsorshipandassociatedbenefitsincludingavailabilityoftradeshowbooth.

RAAA’sObligationsandAgreements. UponreceiptofcompletedandsignedAgreementandcorrespondingpayment,RAAAagreestoprovidetherelevantitemsandserviceslistedinExhibitAassociatedwiththesponsorshiplevelselectedbytheCompany. Advertising content for the “Convention” issue of the ARA magazine is due on or before June 15, 2018. RAAAwillcontacttheCompanyfollowingsubmissionofthisAgreementtodiscussadsspecifictothesponsorshipleveltogointotheConventionProgramandARAmagazineandotherrelatedbenefitstobeprovidedtotheCompany,assetforthinExhibitA.
HoldHarmlessandIndemnity.Companyshalldefend,indemnifyandholdRAAAfreeandharmlessfromandagainstanyandallclaimsarisingfromCompany’sactionsunderthisAgreement,includingbutnotlimitedto,Company’ssetupandoperationoftradeshowbooth,andshallfurtherdefend,indemnifyandholdRAAAfreeandharmlessfromandagainstanyandallclaimsarisingfromanyactornegligenceoftheCompany,oranyofficer,agent,oremployeeofCompany,andfromandagainstallcosts,attorneyfees,expensesandliabilitiesincurredasaconsequenceofsuchclaims.
EntireAgreement.ThisAgreementconstitutesthesoleandonlyagreementofthepartiesheretoandsupersedesanypriorunderstandingorwrittenororalagreementsbetween the parties respecting thesubjectmannerofthisAgreement.
Counterparts. ThisAgreementmaybeexecutedby the parties in one or more counterparts, all of which taken together shall constitute one instrument. Facsimilesorelectronicscansoforiginalsignaturesshallbebindinguponallparties.
ChoiceofLawandVenue.ThelawsoftheStateofColoradoshallgoverntheconstruction andenforcementofthisAgreementandanysuitwhichmayarisebasedonthisAgreement,whetheratlaworinequity, without giving effect to any conflicts of laws principles thereof.ThepartiesagreethatanylawsuitthatmayarisepursuanttothisAgreementshallbebroughtonlyintheStateDistrictCourtsofAdams county,Colorado.
