2015 CAES RFOExperience, Qualifications and Organization

Please note: PG&E reserves the right to request additional documentation, as needed, in order to assess the Participant on the subjects addressed in this Appendix 2.

Please describe the Participant’s experience and staff qualifications, including but not limited to:

  1. Provide an organizational chart for the Project that lists the Project participants and identifies the management structure and responsibilities in regards to, but not limited to, the following areas:
  1. Development – Permitting/Licensing, Negotiation and Financing
  2. Project Execution – Engineering, Procurement, Construction, and Operations/ Maintenance
  1. The staff make-up and size and the identification and resumes of Participant’s key personnel,management and primary technical consultants.
  1. Experience and qualifications in developing, designing,permitting, constructing, commissioning, operating, and maintaining power storage and generation facilities, gas transmission facilities and underground storage facilities, as well as contracting to sell and deliver long-term power supplies. Participant should highlight its experience in all of these areas as it relates to:
  1. Projects utilizing the same technology as the proposed Project;
  1. Projects of similar and/or other technologies of similar capacity (either generation, storage and/or both) and configurationas the proposed Project;
  1. Specific engineering, procurement and construction (EPC) contractors, subcontractors, and major equipment vendors being considered for the proposed Project;
  1. Specific operations and maintenance (O&M) contractors and subcontractors being considered for the proposed Project;
  1. Permitting experience with respect to the California Energy Commission and/or Federal Environmental Protection Agency processes; and
  1. Projects supplying storage and/or energy to California.
  1. Due to the unique scope of thisProject,with significant elements potentially outside the expertise of traditional power plant developments, provide a description of how internal and external resources will be integrated to fill any experience shortfalls.
  1. Provide a summary of Participant’s experience and history in financing power generation facilities and/or underground storage facilities. Identify and provide relevant experience on the prospective entity to be utilized as lender’s engineer. Identify any government assistance/program to be requested, expected, or received that would affect financing of this Project.
  1. Participant Organizational Information:

a.Provide the complete legal name of Participant: ______

b.Describe in detail Participant’s organizational structure. A written description and a box diagram showing links are both helpful. List the legal registered name of all owners and Participants, including but not limited to joint offer Participants, of the Project and their relative percentage ownership interest and address all of the following that apply if:

  • Participant is a direct or indirect subsidiary or affiliate of any other entity or corporation, then provide detail as to the relationship and identify the ultimate parent;
  • Participant is part of a partnership, then provide the names of all partners and indicate the general partner(s);
  • Participant is a joint venture, then identify the members of the joint venture and indicate if any is the controlling entity;
  • Participant is a limited liability company, then identify the members;
  • Participant is acting as a member of a consortium or other organization, association or group of persons acting in concert for purposes of submitting a joint Offer, then provide the names of all the members and indicate the controlling member of the consortium, organization, association, or group.

c.Provide the name of the principal state where the entities named in item 7.b above are registered or incorporated with an “active” status. If Participant is also registered in California, but under a different name, please provide that complete legal name.

d.Please identify the parties (including your own company) you believe will need to know “Confidential Information” (as that term is defined in the Confidentiality Agreement, Appendix 1) during any negotiations of your Offer with PG&E. If you are the only party with a need to know, please indicate that fact.

e.List and describe any pending legal disputes that may affect the Participant’s ability to enter into or fulfill its ability to perform under the proposed Offer.

f.In order for PG&E to address any potential conflicts of interest, please provide the name of any engineering or consulting firm, as well as the name of the law firm or legal counsel, representing and/or advising Participant in its Offer. In addition, if different from the previous name, please provide the name and contact information of your legal counsel who can explain your organization’s structure, if PG&E requests further information or clarification. Finally, if there are any other conflicts of interest, please describe them to the fullest extent possible.
