2.INSURANCE:Insuranceisrequiredforthissolicitation.

Contractorshallhave,andshallrequireallSubcontractorsofeverytierprovidingservicesunderthisContract to have,StandardInsurance meeting the GeneralRequirementsassetforth below and sufficienttocovertheneedsofContractorand/orSubcontractorpursuanttoapplicablegenerallyacceptedbusinessstandards.DependingonservicesprovidedbyContractorand/orSubcontractor(s),SupplementalInsuranceRequirementsorAlternateInsuranceOptionsshallbeimposedasfollows:

I.GeneralRequirementsApplicabletoAllContractors'Insurance.

Thefollowingrequirements(A-J)applytotheContractorandtoSubcontractor(s)ofeverytierperformingservicesoractivitiespursuanttothetermsofthisContract.ContractoracknowledgesandagreestothefollowingconcerninginsurancerequirementsapplicabletoContractorandContractor'sSubcontractor(s):

A.Theminimumtypesandlimitsofinsuranceindicatedbelowshallbemaintainedthroughoutthe durationoftheContract.

B.InsuranceshallbewrittenbycompanieslicensedintheStateofTexaswithanA.M.BestratingofB+VIIorhigher.

C.PriortocommencingworkunderthisContract,therequiredinsuranceshallbeinforceasevidencedbyaCertificateof Insuranceissuedbythewritingagentorcarrier.AcopyoftheCertificateofInsuranceshallbeforwardedtotheHumanServicesAdministrationUnituponrequest.ExecutionofthisContractwillnotoccuruntilsuchevidenceofinsurancehasbeenprovidedandacceptedbytheCity.

D.CertificatesofInsuranceshallincludetheendorsementsoutlinedbelowandshallbesubmittedtotheHumanServicesAdministrationUnit.TheCertificate(s)shallshowtheCityofAustinContractnumberandallendorsementsbynumber.

E.InsurancerequiredunderthisContractwhichnamesCityofAustinasAdditionalInsuredshallbeconsideredprimaryforallclaims.

F.Insurancelimitsshownbelowmaybewrittenasprimaryorstructuredusingprimaryandexcessorumbrellacoveragethatfollowstheformoftheprimarypolicy.

G.Cityshallbeentitled,uponitsrequestandwithoutexpense,toreceivecertifiedcopiesofpoliciesandendorsements.

H.CityreservestherighttoreviewinsurancerequirementsduringanytermoftheContractandtorequirethatContractormakereasonableadjustmentswhenthescopeofserviceshasbeenexpanded.

I.ContractorshallnotallowanyinsurancetobecancelledorlapseduringanytermofthisContract.Contractorshallnotpermittheminimumlimitsofcoveragetoerodeorotherwisebereduced.Contractorshallberesponsibleforallpremiums,deductiblesandself-insuredretention.Alldeductiblesandself-insuredretentionshallbeshownontheCertificatesofInsurance.

J.InsurancecoveragesspecifiedinthisContractarenotintendedandwillnotbeinterpretedtolimittheresponsibilityorliabilityoftheContractororSubcontractor(s).

K.TheCitywillacceptendorsements providingequivalentcoverageif theinsurancecarrierdoesnotusethespecificendorsementsindicatedbelow.

II.SpecificRequirements

Thefollowingrequirements(II.A-II.G,inclusive)applytotheContractorperformingservicesoractivitiespursuanttothetermsofthisContract.ContractoracknowledgesandagreestothefollowingconcerninginsurancerequirementsapplicabletoContractor:

  • ThepolicyshallbeendorsedtocoverinjurytoachildwhilethechildisinthecareoftheContractororSubcontractor.

C.BusinessAutomobileLiabilityInsurance

1.Minimumlimits:

$500,000combinedsinglelimitperoccurrence

a.Ifanyformoftransportationforclientsisprovided,coverageforallowned,non-owned,andhiredvehiclesshallbemaintainedwithacombinedsinglelimitof$1,000,000peroccurrence.

2.ThePolicyshallalsoincludethefollowingendorsementsorendorsementsprovidingequivalentcoverageinfavorofCityofAustin:

a.WaiverofSubrogation(FormCA0444)

b.Thirty(30)dayNoticeofCancellation(FormCA0244)

c.CityofAustinnamedasadditionalinsured(FormCA2048)

D.ProfessionalLiabilityInsurance

Coverageshallbeprovidedwithaminimumlimitof$1,000,000perclaimtocovernegligentacts,errors,oromissionsarisingoutofProfessionalServicesunderthisContract.

E.BlanketCrimePolicyInsurance

ABlanketCrimePolicyprovidingcoverageforemployeedishonestyshallberequiredwithlimitsequaltoorgreaterthanthesum ofallContractFundsallocatedbytheCity.AcceptanceofalternativelimitsshallbeapprovedbytheHHSDDirector.

F.DirectorsandOfficersInsurance

DirectorsandOfficersInsurancewithaminimumofnotlessthan$1,000,000perclaimshallbeinplaceforprotectionfromclaimsarisingoutofnegligentacts,errorsoromissionsfordirectorsandofficerswhileactingintheircapacitiesassuch.Ifcoverageisunderwrittenonaclaims-madebasis,theretroactivedateshallbecoincidentwithorpriortothedateoftheAgreementandthecertificateofinsuranceshallstatethatthecoverageisclaimsmadeandtheretroactivedate.ThecoverageshallbecontinuousforthedurationoftheAgreementandfornotlessthantwenty-four(24)monthsfollowingtheendoftheAgreement.Coverage,includingrenewals,shallhavethesameretroactivedateastheoriginalpolicyapplicabletotheAgreementorevidenceofprioractsoranextendedreportingperiodacceptabletotheCitymaybeprovided.TheContractorshall,onatleastanannualbasis,providetheCitywithacertificateofinsuranceasevidenceofsuchinsurance.

G.PropertyInsurance

IftheContractprovidesfundingforthepurchaseofpropertyorequipmenttheContractorshallprovideevidenceofallriskpropertyinsuranceforavalueequivalenttothereplacementcostofthepropertyorequipment.

H.CommercialCrimeInsuranceforalllossesemanatingfromthehandlingofchecksorcashincludingbutnotlimitedtolossesresultingfromdishonestorcriminalacts,fraud,embezzlement,forgery,misappropriationorlossoffundsanderrorsintheprocessingorreportingoffunds.Thispolicyshall bewrittenforaminimumlimitofthesumtotaldollaramountofCitycontractsforsocialservices.

III.Endorsements:Thespecificinsurancecoverageendorsementsspecifiedabove,ortheirequivalentsmustbeprovided.Intheeventthatendorsements,whicharetheequivalentoftherequiredcoverage,areproposedtobesubstitutedfortherequiredcoverage,copiesoftheequivalentendorsementsmustbeprovidedfortheCity’sreviewandapproval.

3.TERMOFCONTRACT:

A.TheContractshallbeineffectforaninitialtermof12monthsandmaybeextendedthereafterforupto3additional12monthperiods,subjecttotheapprovaloftheContractorandtheCityPurchasingOfficerorhisdesignee.

B.Uponexpirationoftheinitialtermorperiod ofextension,the Contractoragreesto hold overunderthetermsandconditionsofthisagreementforsuchaperiodoftimeasisreasonablynecessarytore-solicitand/orcompletetheproject(nottoexceed180daysunlessmutuallyagreedoninwriting).

C.UponwrittennoticetotheContractorfromtheCity’sPurchasingOfficerorhisdesigneeandacceptanceoftheContractor,thetermofthiscontractshallbeextendedonthesametermsandconditionsforanadditionalperiodasindicatedinparagraphAabove.

D.Pricesarefirmandfixedforthefirst12months.Thereafter,pricechangesaresubjecttotheEconomicPriceAdjustmentprovisionsofthisContract.

4.RECYCLEDPRODUCTS:

A.The CityprefersthatOfferors offer productsthat containrecycledmaterials. WhenarecycledproductisofferedbytheOfferor,theOfferormuststateintheirOfferthepercentageoftheproductthatisrecycledandmustincludealistoftherecycledmaterialsthatarecontainedintheproduct.

B.TherecycledcontentofpaperproductsofferedtotheCityshallbeinaccordancewiththeFederalEnvironmentalProtectionAgency’sRecycledProductProcurementGuidelines.Theseguidelinesareavailableat.

5.INTERLOCAL PURCHASING AGREEMENTS: (applicable to competitively procured goods/servicescontracts).

A.TheCityhasenteredintoInterlocalPurchasingAgreementswithothergovernmentalentities,pursuanttotheInterlocalCooperationAct,Chapter791 ofthe TexasGovernmentCode. TheContractoragreestoofferthesamepricesandtermsandconditionstoothereligiblegovernmentalagenciesthathaveaninterlocalagreementwiththeCity.

B.TheCitydoesnotacceptanyresponsibilityorliabilityforthepurchasesbyothergovernmentalagenciesthroughaninterlocalcooperativeagreement.

7.OWNERSHIPANDUSEOFDELIVERABLES:TheCityshallownallrights,titles,andintereststhroughouttheworldinandtotheDeliverables.

A.Patents:AstoanypatentablesubjectmattercontainedintheDeliverables,theContractoragreestodisclosesuchpatentablesubjectmattertotheCity.Further,ifrequestedbytheCity,theContractoragreestoassignand,ifnecessary,causeeachofitsemployeestoassigntheentireright,title,andinterestto specificinventionsundersuchpatentablesubjectmattertotheCityandtoexecute,acknowledge,anddeliverand,ifnecessary,causeeachofitsemployeestoexecute,acknowledge,and deliveran assignment ofletterspatent,in aformtobereasonablyapprovedbytheCity,totheCityuponrequestbytheCity.

B.Copyrights:AstoanyDeliverablecontainingcopyrightedsubjectmatter,theContractoragreesthatupontheircreation,suchDeliverablesshallbeconsideredasworkmade-for-hirebytheContractorfortheCityandtheCityshallownallcopyrightsinandtosuchDeliverables,providedhowever,thatnothinginthisParagraph36shallnegatetheCity’ssoleorjointownershipofanysuchDeliverablesarisingbyvirtueoftheCity’ssoleorjointauthorshipofsuchDeliverables.Shouldbyoperationoflaw,suchDeliverablesnotbeconsideredworkmade-for-hire,theContractorherebyassignstotheCity(andagreestocauseeachofitsemployeesprovidingservicestotheCityhereundertoexecute,acknowledge,anddeliveranassignmenttotheCityofAustin)allworldwideright,title,andinterestinandtosuchDeliverables.Withrespecttosuchworkmade-for-hire,theContractoragreestoexecute,acknowledgeanddeliverandcauseeachofitsemployeesprovidingservicestotheCity hereundertoexecute,acknowledge,anddeliverawork-for-hireagreement,inaformtobereasonably approvedbytheCity,totheCityupondeliveryofsuch Deliverablestothe Cityorat such othertime astheCitymayrequest.

AdditionalAssignments:TheContractorfurtheragreesto,andifapplicable,causeeachofitsemployeestoexecute,acknowledge,anddeliverallapplications,specifications,oaths,assignments,andallotherinstrumentswhichtheCitymightreasonablydeemnecessaryinordertoapplyforandobtaincopyrightprotection,maskworkregistration,trademarkregistrationand/orprotection,letterspatent,oranysimilarrightsinanyandallcountriesandinordertoassignandconveytotheCity,itssuccessors,assigns,andnominees,thesoleandexclusiveright,title,andinterestinandtotheDeliverables,The Contractor’sobligationstoexecuteacknowledge,anddeliver(orcausetobeexecuted,acknowledged,anddelivered)instrumentsorpaperssuchasthosedescribedinthisParagraph36A.,B.,andC.shallcontinueaftertheterminationofthisContractwithrespecttosuchDeliverables.IntheeventtheCityshouldnotseektoobtaincopyrightprotection,maskworkregistrationorpatentprotectionforanyoftheDeliverables,butshouldarisetokeepthesamesecret,theContractoragreestotreatthesameasConfidentialInformationunderthetermsofParagraphabove.

Section0605:LocalBusinessPresenceIdentification

A firm(Offeror orSubcontractor) is consideredtohaveaLocalBusinessPresenceif thefirmisheadquarteredintheAustinCorporateCity Limits, orhasabranchofficelocatedintheAustinCorporateCity Limits inoperationfor thelastfive(5) years.TheCity defines headquarters astheadministrativecenterwheremostoftheimportantfunctions andfullresponsibility formanagingandcoordinatingthebusinessactivitiesofthefirmarelocated.TheCity defines branchofficeasasmaller,remotely locatedofficethatisseparatefrom afirm’sheadquartersthatofferstheservicesrequestedandrequiredunder thissolicitation.
