Stipend: The artist shall receive a stipend in the amount of.

Travel and Accommodation: The Gallery will provide travel and accommodations for the artist for the following:

Artwork to be exhibited by the Artist is itemized in the List of Artwork(s) attached. All artwork shall be marked with the Artist’s name and numbered with a number corresponding to the itemized List of Artwork. A condition report for each item will be included in the shipping container. All wall mounted work, paintings and prints must be framed, wired or matted ready for installation. Objects, sculpture and jewelry must be ready for installation. Any special mounts or installation instructions should be put in writing and sent in advance to the UMW Galleries. It is the responsibility of the Artist to provide specific display materials, including illustrations, directions, or pictures of the specific installation instructions.

I. CARE, PRESERVATION & EXHIBITION: UMW Galleries will exercise the same care for lent objects as is afforded its own. Evidence of damage to objects at the time of receipt or while in the custody of the Galleries will be reported immediately to the lender. No repair work will be undertaken without the authorization of the lender. The lender certifies that the objects lent are in good condition and able to withstand ordinary strains of packing and transportation. UMW Galleries reserves the right to remove any work from the exhibition due to space limitations, condition of the work, failure of the work to conform to submitted images, or for any other reason deemed in the best interest of the work or the exhibition.

II. TRANSPORTATION AND PACKING: The lender or his/her representative is responsible for delivery/pickup of works by designated dates. Work may not be removed before the end of the exhibition. The lender or his/her representative is responsible for packing the objects. The Galleries will reuse the lender’s packing materials in return shipping, therefore, it is of utmost importance to pack your work in reusable shipping materials. If using cardboard boxes, they must be heavy-grade material, NOT moving boxes. Do not use Styrofoam peanuts. Any special instructions needed for unpacking or installing the work should be included.

The UMW Galleries is responsible for storing the original shipping crates, boxes, and materials for repacking the Artwork.

If the Artist has special packing and shipping requirements these need to be communicated to the UMW Galleries in writing in advance.

III. CONDITION REPORT: The lender should fill out the Condition Report before shipping the work. Fill out the Condition Report Form provided by UMW Galleries in detail, noting wear, scratches, fading, tears, or cracks. Keep one copy of the Condition Report for your records and enclose a separate copy of the Condition Report with the work at the top of the shipping box so it cannot be missed when the shipping container is opened.

UMWG will complete a second condition report upon unpacking at UMW Galleries and complete the form when repacking. The UMW Galleries will keep one copy of the Condition Report for our records.

When the Artwork is returned to the Lender, a copy of the Condition Report will be included in the shipping box. Upon delivery to the Artist, the Artist shall sign the LOAN RETURN section (at the bottom of the Condition Report) and mail it to the UMW Galleries within thirty (30) days; otherwise the UMW Galleries will consider that the condition of the Artwork is acceptable to the Artist and that the Artist has no claims for loss or damage. Artist/Lender bears all risk that the Artwork will be be damaged while in transit.

IV. INSURANCE: The lender is advised to purchase insurance during shipping to and from the Galleries. Works will be insured by the University of Mary Washington for the duration of the exhibit. Insurance dates will be listed on the Certificate of Insurance issued upon our receipt of this signed agreement. The value listed in the itemized List of Artwork form is for insurance purposes only. In the event of a claim of damage or loss this value must be substantiated by the lender to the insurance company’s satisfaction. The UMW Galleries does not sell or appraise art and cannot provide such proof. If the lender elects to maintain his/her own insurance this loan agreement shall constitute a release of the Galleries from any liability in connection with the lent property. The Galleries can accept no responsibility for any error or deficiency in information furnished to the lender’s insurers or for lapses in coverage.

V. RETURN OF LOANS: At the end of the exhibition, the objects will be returned to the lender or duly authorized representative according the lender’s instructions and as specified by the dates above. If, after 60 days the Galleries have been unable to return the works due to the lender’s lack of cooperation, the Galleries may dispose of the work. In case of change of legal ownership during the loan period, the new owner will be required to establish legal right, title, and interest in and to the objects by proof satisfactory to the Galleries.

VI. PHOTOGRAPHY: By signing this form the lender agrees that the objects on loan may be photographed, telecast, and reproduced by the Galleries in print and digital form for publicity and educational purposes connected with this exhibition. Should the exhibition be canceledor the contract terminated, all intellectual-property rights remain with the artist.

All images provided by the Lender/Artist for the Exhibition should be digital images and at least 300 dpi. Materials should be labeled in the following manner: Artists Name, Title of Artwork, © Date Year Completed. Medium, Dimensions: height x width x depth.

The UMW Galleries may photograph work in the Exhibition for the catalog, education, publicity, or display purposes or to report damage or other such findings to the Lender immediately.

VII. PROMOTION: The UMW Galleries shall use its best efforts to promote and display the Artwork in an appropriate and professional manner. The UMW Galleries shall clearly identify the Lender/ Artist’s name with all Artwork and shall include the Lender/ Artist’s name on all publicity images and text for any Artwork exhibited.

Artist will provide photographic materials as stated above in Section VI. PHOTOGRAPHY[CSN1].

Sixty (60) days prior to the opening of the Exhibition, the Lender/ Artist will provide a digital and/or printed copy of the following materials:

  1. One page resume
  2. One paragraph biography
  3. Description of the Artist’s work to be included in the Exhibition
  4. Images of at least one work planned for the Exhibition.

In addition, any previous articles or publicity about the Artwork or similar artwork would be helpful to the UMW Galleries in developing press materials for the media and for potential collectors.

30 days prior to the opening of the Exhibition or earlier, the Lender/Artist will provide information for labeling each Artwork to be included in the Exhibition including Artist’s name, Title of Artwork, © Year, Medium, Dimensions: height x width x depth and any description or explanation to be included on the label.

VIII. SALE: The UMW Galleries does not sell artwork nor does it charge a commission on sales of artwork by artists who exhibit in the Galleries.The UMW Galleries will put interested parties in touch with the artist.

IX. CATALOG (*if applicable): UMW Galleries requires professional quality photographs of the Artwork to be included in the catalog to arrive by ______(date).

Failure to arrive by this date relieves any obligation of the Galleries to include images of the Artwork in the catalog or any other material.

X. REPRODUCTION: The Artist/Lender reserves all copyrights to the reproduction of the Artwork except as agreed to in writing. The UMW Galleries may arrange to have the Artwork photographed to publicize and promote the Artwork through means to be agreed by both parties. In every such use, the Artist shall be acknowledged as the creator and copyright owner of the Artwork.

XI. INSTALLATION AND MANNER OF PRESENTATION: Special Equipment to be used or preference to show audiovisual or multimedia works should be arranged in advance.

XII. TERM OF CONTRACT: The term of this contract is from [July 5, 2016] to [ October 15, 2016]. The Artist will not ask for return of the Artwork prior to the Exhibition closing date unless the UMW Galleries breach this contract (in which case Artist shall mail a termination notice to the UMW Galleries). Within thirty days after delivery of the termination notice, all amounts due to either party shall be settled and all Artwork shall be returned to the Lender/Artist at the UMW Galleries’ expense. This contract shall expire ninety (90) days after the return delivery of the Artwork to the Lender/Artist. However, any claims against the UMW Galleries for restoration or repairs shall survive[CSN2].

XIII. MISCELLANEOUS: All modifications, deletions or additions to this agreement must be in writing and signed by both parties and attached to this document. This agreement constitutes the entire agreement between the parties hereto.

XIV. GOVERNING LAW: This agreement shall be governed by and in accordance with the laws of the State of Virginia.
