Introduction
The Forty-Niner Shops, Inc. (Company) is a non-profit public benefit corporation, which is under the control and direction of a Board of Directors(Board).
The purpose of these policies and procedures is to state the eligibility criterion and term length information for Company Board members.
Scope of Policies and Procedures
Thesepoliciesand procedures apply to all Company Board members.
Policies
- Eligibility.
The Company Board shall be composed of 10 members; 2 of whom shall be members of the California State University, Long Beach (CSULB) faculty, 2 of whom shall be members of the CSULB administration, 1 of whom shall be a member of the CSULB staff, 4 of whom shall be members of the CSULB student body, and 1 of whom shall be a member of the local Long Beach, California community.
- Company Employees Ineligible.
Company employees are not eligible to serve on the Company Board. If a Company employee is appointed to the Board, he/she must resign his/her employment with the Company before the effective date of his/her Board employment.
- Term Length.
The Board members shall serve on the Board according to the following term lengths:
3.1.Faculty Members: 2 years.
3.2.Administration Members: Concurrent with their administration positions or offices.
3.3.Staff Member: 2 years.
3.4.Student Body Members, Associated Students President, Vice President and Treasurer: Concurrent with the terms of their elected offices.
3.5.Student, At-Large Member: 2 years.
3.6.Community Member: 2 years.
- Staggered Terms.
Selection for certain Board terms will be staggered according to the following schedule:
4.1.Year One: Faculty Member, Student At-Large Member
4.2.Year Two: Faculty Member, Staff Member
- Term Limits.
To promote the regular infusion of fresh ideas and new perspectives and to provide for increased opportunities for a diverse pool of people to serve, faculty, staff, and community Board members are limited to a maximum of three consecutive terms.
Procedures
- Faculty Members.
- The Company’s General Manager/CEO shall send a letter to the CSULB Deans and Academic Senate Chair askingthem to inform their respective members that the Board is seeking faculty members who are interested in serving on the Board.
- Interested faculty members should submit their names and curricula vitae to the Company’s General Manager/CEO, who will forward the names and curricula vitae to the Board’s nominating committee.
- The Board’s nominating committee may also consider faculty member candidates nominated by existing Board members or from other sources.
- The Board’s nominating committee shall review and interview the pool of candidates as determined by the committee and make recommendations to the Board as to who should be selected as Board members.
- The Board will select two faculty members to serve on the Board as the individual terms expire.
- Administration Members.
- One of the administration members will be the CSULB Vice President for Student Services.
- The CSULB President shall designate an additional CSULB administrator to serve as a Board member.
- In the event of a vacancy in the office of the CSULB Vice President for Student Services, the CSULB President shall designate, in consultation with the Board, another senior CSULB administrator to serve as a Board member.
- Staff Member.
- The Company’s General Manager/CEO shall send a letter to the CSULB Staff Council asking it to inform its members that the Board is seeking staff members who are interested in serving on the Board.
- Staff members employed by other CSULB auxiliaries are not eligible to serve as Company Board members.
- Interested staff members should submit their names and résumés to the Company’s General Manager/CEO, who will forward the names and résumés to the Board’s nominating committee.
- The Board’s nominating committee may also consider staff member candidates nominated by existing Board members or other sources.
- The Board’s nominating committee shall review and interview the pool of candidates as determined by the committee and make recommendations to the Board as to who should be selected as the staffBoard member.
- The Board will select one staff member to serve on the Board.
- Student Body Members.
- The President of the CSULB Associated Students shall be a Board member.
- The Vice President of the CSULB Associated Students shall be a Board member.
- The Treasurer of the CSULB Associated Students shall be a Board member.
- The President, Vice-President or Treasurer of the CSULB Associated Students may appoint a designee to fulfill his/her Board duties, however such designee will serve on the Board for the remainder of the original officeholder’s term of office.
- Student, At-Large Member.
- In the spring of even-numbered years, the Company’s General Manager/CEO shall announce to the Executive Director and President of Associated Students and the CSULB student body that the Board is seeking interested students to serve as the Student, At-Large member of the Board.
- Students are eligible to serve on the Company Board if they meet the following requirements:
- Currently enrolled student.
- At least two school years remaining before matriculation.
- Interested students should submit their names and résumés to the Company’s General Manager/CEO, who will forward the names and résumés to the Board’s nominating committee.
- The Board’s nominating committee may also consider student candidates nominated by existing Board members or other sources.
- The Board’s nominating committee shall review and interview the pool of candidatesas determined by the committee and make recommendations to the Board as to who should be selected as the Student, At-Large Board member.The Board will select one studentto serve on the Board as the Student, At-Large member.
- Community Member.
- The Company’s General Manager/CEOshall announce to the Executive Director of the CSULB Alumni Association asking him/her to inform the association’s members that the Board is seeking interested alumni to serve on the Board.
- Interested alumni should submit their names and résumés to the Company’s General Manager/CEO, who will forward the names and résumés to the Board’s nominating committee.
- The Board’s nominating committee may also consider community member candidates nominated by existing Board members or other sources.
- The Board’s nominating committee shall review and interview the pool of candidates as determined by the committee and make recommendations to the Board as to who should be selected as the community Board member.
- Preference will be given to CSULB alumni.
- The Board willselect one community member to serve on the Board.
