NameandCorporation

1.01 Name.TheOrganizationshallbeknownasHiawathaSkatingClub(HSC)hereinafterreferredtoasthe"Club".

1.02 Incorporation.TheclubwasincorporatedunderthelawsoftheStateofMichiganinNovember1943.

1.03 BoardofDirectors.Thebusiness,propertyandaffairsoftheclubshallbemanagedbytheBoardofDirectors.TheOfficersoftheBoardofDirectorswillbetheOfficersofthecorporation.

ARTICLEII

MissionStatement

2.01Themissionof theHiawathaSkatingClubistoprovidea healthyformofrecreation,developfavorablecharactertraitsinitsmembersthroughthepracticeofcooperationandsportsmanshipinallclubactivities,andencouragetheinstruction,practiceandadvancementofthemembersinmovesinthefield,freestyle,danceandalltypesoffigureskating. Alsotosponsor,produceandcooperateintheproductionofamateuricecarnivals,exhibitionsandrevuesandtocarryoutthegeneralpoliciesofUnitedStatesFigureSkating,hereinafterreferredtoasUSFS.

ARTICLEIll

Membership

3.01 GeographicalScope.Membershipshallnotberestrictedastovicinity.

3.02 ApplicationsforMembership.Applicationsformembershipmustbesubmittedbythecandidateorthecandidate'sparentorguardianandmuststatename,address,birthdateandincludeanagreementtocomplywiththeby-lawsoftheclub.

3.03 Membership.Thereare2typesofClubmembers.

  1. Skater.Must be registered as a Full USFS member through the Club and mustbeat least 18yearsold tobe eligible to vote.
  2. Non-Skater. Mustbe registered as a Full USFS member through the Club to be eligible to vote.

3.04 PaymentofDues.TheamountofduesandthedeadlineforpaymentofduesshallbelefttothediscretionoftheOfficersandDirectors.DuesaredependentontheleveloftheskaterandcoverFall,Winter,Spring,andSummerschedule.

3.05 ArrearsforDuesRestriction.MembershipduesandcoachingfeesaretobefullypaidbythedeadlinesetbytheBoardofDirectors.Membersmaynotparticipatein anyclubactivitiesuntilsaidtimeasduesandcoachingfeesarefullypaid.

3.06 ApprovalforCompetitionsorExhibitions.NomemberoftheclubshallmakeentryinthenameoftheclubinanycompetitionorexhibitionexceptwiththeadvanceapprovaloftheClubOfficers.

ARTICLEIV

Board of Directors and Officers

4.01Board of Directors.

A.There shall be 9 Board of Directors with rotating 3 year terms.

B.There are Lifetime Club Members that also serve on the Board of Directors with no term limit.

C.To be a member of the Board of Directors, the member must be at least 18 years of age.

4.02 Officers.TheofficersshallbePresident,Vice-President,Treasurer,andSecretary.

A.Only members from the Board of Directors are eligible to hold an office.

B.Officer Terms are for 1 year.

C.All Officers and Committee Chairs will be designated in USFS for proper contact with USFS.

MethodofElection

5.01 NominatingCommittee.(AppointedCommittee)AttheregularMarchmeetingthereshallbeanominatingcommitteeofthreemembersappointedbythepresidentsubjecttotheapprovaloftheBoard.MembershipChairwillfurnishalistofcurrenteligiblememberstoholdofficeattheregularMarchmeetingtotheBoard.

  1. DutiesofNominatingCommittee.TheNominatingCommitteeshallnominateatleastonecandidateforeachvacantBoardMemberforelectionattheAnnualMeeting.
  2. AdditionalNominations.Additional nominationsfortheBoardmaybemadefromthefloor.

5.02 Elections.ElectionsshallbeheldattheAnnualmeetinginMay.Publicnotice,oftheholdingofelections,shallbegivenatleastoneweekinadvanceoftheAnnualmeeting.

  1. BoardofDirectors.VacantpositionsoftheBoardofDirectorsshallbe electedattheAnnualmeetingandshallholdofficebeginningJuly1st.
  2. Officers.ThePresident,Vice-President,Treasurer,andSecretaryshallbeelectedat theregularJunemeetingandtakeofficeeffectiveJuly1st.UponbeinginstalledinofficethePresidentwillbepresentedwithagavelasasymbolofauthority.
  3. Committees.Thereare standingcommitteesthatwillbevotedonattheJulymeeting.RefertotheClubCommitteesandDutiesdocument.

ARTICLEVI

DutiesofOfficers

6.01 President.ThedutiesofthePresidentshallbeasfollows:

  1. ThePresidentshallbetheChairmanoftheBoard.
  2. ShallpresideatallmeetingsoftheBoardofDirectors.
  3. Votesonlywhennecessarytobreakatie.
  4. Signsallcontractsandagreementsonbehalfoftheclub.
  5. Shallperformallotherdutiesincidenttotheofficeofthepresidentandchairman.

6.02 Vice-President.ThedutiesoftheVice-Presidentshallbeasfollows:

  1. ShallassistthePresidentandshallperformsuchdutiesasmaybeassignedtothembythebytheBoardofDirectorsofthePresident.
  2. Shall,attherequestofthePresident,orinthePresident'sabsenceorinabilityorrefusaltoact,perform thedutiesofthePresidentandwhensoactingshallhaveallthepowersofandbesubjecttoall therestrictionsonthePresident.

6.03 Secretary.ThedutiesoftheSecretaryshallbe asfollows:

  1. Recordtheminutesofallbusinesstransactedatallmeetingsandpresenttheminutesforapprovalatthenextmeeting.Minutesshouldcontainbriefandconcisestatementsregardingallmattersofbusinessconsideredatthemeeting.Allmotionsaretoberecordedwiththenameofthepersonmakingeachmotionandindicationastowhetherthemotionwassecondedandcarried,ornot.
  2. Publicallyannouncetimeandplaceofnextmeeting.Seethatallnoticesaredulygiveninaccordancewiththeprovisionsofthesebylawsorasrequiredbylaw.
  3. PublicallypostBoardMeetingAnnualscheduleofmeetings.
  4. BecustodianoftheClubrecords.
  5. GivePresidentacopyofminutesofpreviousmeetinginadvanceofnextmeeting alongwithacopyofthestatementofanyunfinishedbusiness.
  6. RequestagendaitemsfromallBoardMembersandCommitteeChairs3dayspriortoeachmeeting.
  7. FurnisharequestofmeetingminutestoaMemberoftheClub;onlyifrequestedinwriting.
  8. Ingeneral,performalldutiesincidenttotheofficeofSecretaryandsuchotherdutiesasfromtimetotimemaybeassignedtotheSecretarybythePresidentorbytheBoardofDirectors.

6.04Treasurer.ThedutiesoftheTreasurershallbeasfollows:

  1. ReceiveandgivereceiptsformoneyspaidinonaccountoftheClub,andpayoutofthefundsonhandallbills,payrollsandotherjustdebtsoftheClubofwhatevernatureuponmaturity.
  2. Co-signallcheckswithoneoftwootherindividualsappointedbytheboardforthepurposeofbeingco-signatures.
  3. Reportonfinancialstatusoftheclubatregularmeetings.CopiesofthereportsshallbegiventotheSecretaryforinclusioninthecorporaterecords.
  4. UponrequestoftheBoard,makesuchreportstoitasmayberequiredatanytime.
  5. PrepareannualwrittenreportonthefinancialstatusoftheclubforpresentationattheAnnualmeeting.
  6. PerformallotherdutiesincidenttotheofficeoftreasurerandsuchotherdutiesasfromtimetotimemaybeassignedtotheTreasurerbythePresidentortheBoardofDirectors.

ARTICLEVII

StandardofConductforMembers

7.01 General.Eachmembershallperformtheirdutiesasamember,Boardmember,officer,includingwithoutlimitationtheirdutiesasamemberofanycommitteeoftheBoard:

  1. Ingoodfaith.
  2. In amannerreasonablybelievedtobeinthebestinterestsoftheClub.
  3. Withthecare,anordinarilyprudentpersoninalikepositionwouldexerciseundersimilarcircumstances.Amember,regardlessoftitle,shallnotbedeemedtobeatrusteewithrespecttotheCluborwithrespecttoanypropertyheldoradministeredbytheClubincluding,withoutlimitation,propertythatmaybesubjecttorestrictionsimposedbythedonorortransferorofsuchproperty.

7.02 RelianceonCertainInformationandOtherMatters.

  1. Intheperformanceoftheirduties,amembershallbeentitledtorelyoninformation,opinions,reportsorstatements,includingfinancialstatementsandotherfinancialdata,ineachcasepreparedorpresentedbythepersonsdesignatedbelow.However,amembershallnotbeconsideredtobeactingingoodfaithifthememberhasknowledgeconcerningthematterinquestionthatwouldcausesuchreliancetobeunwarranted.Thedesignatedpersonsonwhomamemberareentitledtorelyare:(i)oneormoreofficersoftheClubwhomthe memberreasonablybelievestobereliableandcompetentinthematterspresented;(ii)legalcounsel,apublicaccountant,orotherpersonastomatterswhichthememberreasonablybelievestobewithinsuchperson'sprofessionalorexpertcompetence;(iii)acommitteeoftheBoardonwhichthememberdoesnotserveifthememberreasonablybelievesthecommitteemeritsconfidence.

7.03 LimitationonLiability.

  1. AnOfficershallnotbeliabletotheCluboritsmembersforanyactiontheOfficer takesoromitstotakeasanOfficerif,inconnectionwithsuchactionoromission,theOfficerperformstheirdutiesincompliancewiththisSection.

7.04 BoardMemberCreed.

  1. UponelectiontotheBoard,eachboardmemberwillrecitetheBoardMemberCreed.
  2. EachBoardMemberwillagreetoalltermsbysigningthecreedafterreciting.AnotherBoardMemberpresentwillsignaswitness.
  3. AcopyofthesignedcreedwillbemaintainedbytheSecretary.
  4. Board Member Creeds will be signed annually.

7.05 USFSClubBoardMemberAgreement.

  1. UponbecomingaMemberoftheClub,eachmemberwillrecitetheUSFSClubBoardMemberCreed.
  2. EachMemberwillagreetoalltermsbysigningthecreedafterreciting.AnelectedBoardMemberpresentwillsignaswitness.
  3. AcopyofthesignedcreedwillbemaintainedbytheSecretary.
  4. USFS Club Board Member Agreements will be signed annually.

7.06 USFS Principles of Ethical Behavior and Conflict of Interest Certification and Conflict of Interest Disclosure Form.

  1. Upon becoming a Member of the Board, each member will review and complete the USFS Principles of Ethical Behavior and Conflict of Interest Certification as well as the USFS Conflict of Interest Disclosure Form.
  2. Each Member will agree to all terms by signing both documents.
  3. A copy of the each of the signed documents will be maintained by the Secretary.
  4. Both documents will be signed annually.

7.07 Procedure for Discipline.

A.A member can receive written warnings for violations of the Code of Ethics. Upon final decision by the Board of Directors, members may face the possibility of termination from the club for repeated violations. The following procedure will be implemented when warning or terminating a skater from the team:

  1. First Offense: A written warning will be given to the member and signed by both the member and parent/guardian as applicable and returned to the Board of Directors. A skater may lose privileges to skate at next practice session, competition or performance. If during a practice session, the skater will be asked to leave the ice immediately. The parent/guardian will also receive written notice and could lose privileges to watch practice, attend competitions or participate with their skater in Club activites.
  2. Second offense: A meeting with the member, parent/guardian, and coach will be conducted. A written warning will be provided, and will be explained at the meeting. The skater will be required to ‘sit out’ during the next event or performance. The parent/guardian will lose privileges to watch practice, attend competitions or participate with their skater in Club activities.
  3. Third offense:The skater is terminated from Club. A third offense for the parent/guardian will also result in their skater’s termination from the Club.

B.A member may be immediately terminated for unsportsmanlike behavior, or any behaviors outlined in the USFS Conflict Management and Conflict Resolution Guide. It is the Board of Directors’ discretion, and depends upon the severity of the offense, as to whether or not written warnings will be issued in each instance. Upon immediate termination, the Board of Directors will conduct a meeting with the skater and parent/guardian to explain the circumstances of termination and to discuss options.

ARTICLEVIII

Committees

8.01Chair.Asstatedabove,CommitteeChairsandstandingcommitteeswillbeappointedbythePresidentsubjecttotheapprovaloftheBoardattheregularJulymeeting. SpecialcommitteesandCommitteeChairsmaybeappointedbythePresidentatanytimesubjecttotheapprovaloftheBoard.

  1. Fileanannualreportandkeepaccuraterecordsoftheworkofthecommittee.TheannualreportwillbecombinedintotheAnnualReportPacketforthepresentationattheAnnualmeetinginMay.
  2. RefertotheClubCommitteesandDutiesdocumentwhichwillbemaintainedbytheSecretary.ChangescanbemadetothesedutiesasapprovedbytheBoardatanytime.

ARTICLEIX

ClubMeetings

9.01 Time. A regular meeting date for open meetings shall be set and adhered to at the Annual May meeting. Informal meetings may be held at any time deemed advisable by the Board.

9.02 Quorum.Aquorumshallconsistoffourboardmembersforthetransactionofbusinessatallmeetings.

9.03 Eligibility to Vote. (See Membership)

9.04 Special Meetings. TheSecretaryshallcallspecialmeetingsatthedirectionofthePresidentoruponwrittenrequestoffiveclubmembersingoodstanding.No businessshallbetransactedataspecialmeetingexceptforwhichthemeetingwascalled.

9.05RulesofOrder.Robert'sRulesofOrder:AllquestionsofparliamentaryprocedurenothereinprovidedforshallbedeterminedinaccordancewithRobert's Rules ofOrder.

9.06 Notice for Meetings.

A.The Secretary shall email the agenda, past minutes, and reports for review to the Board of Directors prior to each regular meeting, unless other arrangements have been made.

B.Annual schedule of meetings will be distributed to each member at Winter registration or upon request and will be posted on Club bulletin boards.

ARTICLEX

ConflictResolution

10.01Procedure.IfanymemberoftheClubhasacomplaintagainstanothermemberoftheClubforaninfractionofanyBylaw,rule,policyorprocedureoftheClub,otherthanskatingrules,theymayfileacomplaintin writingtotheBoardofDirectorsoftheClub.

Such complaints will be investigated and resolved according to the Club's conflictresolution policy that the Club is required to adopt and have in effect in accordance with the Bylaws of U.S. Figure Skating. The USFS Conflict Management and Conflict Resolution Guide will be followed.

ARTICLEXI

Conflicts of Interests

11.01 All Officers, Board of Directors, and committee members will adhere to the USFS Conflict Management and Conflict Resolution Guide – Principles of Ethical Behavior and Conflict of Interest.

11.02 Types of Conflicts of Interest.

A.Representational. A representational conflict of interest may arise if a member is also a representative of another entity.

B.Individual. An individual conflict of interest can arise when an issue comes before a committee, board, etc that directly affects either you, individually, or directly affects someone in your family, individually. It will not be considered an individual conflict of interest if the issue under consideration affects a class of individuals that you or your family member happen to be included in.

11.03 Procedure. In the case of either type of conflict of interest, all officers, Board of Directors and committee members will:

A.Representational Conflict of Interest:

  1. Inform the Board or Committee Chair of the conflict of interest.
  2. Excuse yourself from participation in the discussion of the issue under consideration unless the chair asks you to remain in the meeting to provide needed information.
  3. Will leave the meeting room for the vote on the issue.
  4. Will not vote on the issue.

B.Individual Conflict of Interest:

  1. Inform the Board or Committee Chair of the conflict of interest.
  2. Will leave the meeting room and will not participate in the discussion of the issue under consideration.
  3. Will leave the meeting room for the vote on the issue.
  4. Will not vote on the issue.

ARTICLEXII

Test and Competitions

12.01 Notices.Allnoticesand/orannouncementsoftestsorcompetitionsshallbepostedpubliclyasfarinadvanceaspossible.

12.02 ConductionofTestandCompetitions.Inorderthatclubmembersareassuredthatalltestsand/orcompetitionstheyparticipateinwillbehonoredanyplaceintheUnitedStates,clubtestswillbegivenexactlyasoutlined in theUSFSannualrulebookandclubcompetitionswillbepatternedafterthosecontainedintheUSFSOfficialSkatingBulletin.

ARTICLEXIII

Copies of the By-Laws

13.01 CopiesoftheBy-LawswillbeprovidedtoallmembersoftheBoardofDirectors.

13.02 TheClubshallpostacopyoftheBy-LawsontheUSFSundertheClubpage.Copiesshallbesuppliedto all club members at the Winter Registration or uponrequest.

ARTICLEXIV

RemovalfromOffice

14.01No member may be expelled or suspended from the Club, and no membership may be terminated or suspended, except as follows.

A.The member shall be given not less than ten (10) days prior written notice of the expulsion, suspension or termination and the reasons therefore.

B.The member shall have an opportunity to be heard, orally or in writing, by the Board of Directors, not less than five (5) days before the effective date of the expulsion, suspension or termination by the Board of Directors.

  1. Written notice must be given by first-class or certified mail sent to the last address of the member shown on the Club’s records. Any member expelled or suspended shall be liable to the Club for dues, assessments or fees incurred or commitments made prior to expulsion. The provisions of this section apply to a member’s membership in the Club and not to membership in U.S. Figure Skating, the latter of which is subject to applicable provisions of the Bylaws and Official Rules of U.S. Figure Skating pertaining to expulsion or suspension of membership privileges in U.S. Figure Skating.

14.02 Officers, Board of Directors, voting members and Committee Chairs may be removed as follows.

A.The voting members may remove one or more directors elected by them for reasons of nonfeasance,misfeasance,ormalfeasanceofoffice.

B.Anyboardmembermissingthreemeetingsinarow or 4 meetings per fiscal year,withoutspecialexemptionfromtheBoardofDirectors,isautomaticallyremovedfromtheboard.Thememberwillreceiveawarning from the Presidentoftheirstatusaftertwomissedmeetings.Alettershallbesentafterthethirdmeetingmissedinformingthememberoftheirremovalandreasontherefore.

C.Any Officer may be removed by the Board of Directors whenever in its judgment the best interests of the Club will be served thereby.

14.03 Removal.

A.Anyofficial,whetherelectedorappointed,mayberecalledorremovedfromofficebyatwo-thirdsvoteofthosepresentatanopenmeeting.

14.04 Vacancies.

A.A vacancy in any office, however occurring, may be filled by the Board of Directors for the unexpired portion of the term.

B.An affirmative vote of a majority of the remaining Directors, though less than a quorum, will be used.

ARTICLEXV

Indemnification

15.01 TheClubshallindemnifyanyDirector,OfficeroragentoftheClubtothefullestextentpermittedbytheNonprofitLawandanyotherapplicablelawsoftheStateif:

  1. Suchpersonconductedhimselforherselfingoodfaith.
  2. Suchpersonreasonablybelieved(a)inthecaseofadirectoractinginhisorherofficialcapacity,thathisorherconductwasintheClub'sbestinterests,or(b)inallothercases,thatsuchperson'sconductwasatleastnotopposedtotheClub'sbestinterests.
  3. Inthecaseofanycriminalproceeding,suchpartyhadnoreasonablecausetobelievehisorherconductwasunlawful.However,theClubmaynotindemnifyapersoneither(a)inconnectionwithaproceedingbytheClubinwhichthepersonisorhasbeenadjudgedliableforgrossnegligenceorwillfulmisconductintheperformanceoftheperson'sdutytotheClubor(b)inconnectionwithanyproceedingchargingimproperpersonalbenefittotheperson,whetherornotinvolvingactionintheperson'sofficialcapacity,in whichthepersonwasadjudgedliableonthebasisthatpersonalbenefitwasimproperlyreceivedbythe person(eveniftheClubwasnottherebydamaged).

15.02 AnyindemnificationunderthisArticle (unlessorderedbyacourt)shallbemadebytheClubonlyifauthorizedinthespecificcaseafteradeterminationhasbeenmadethatthepersoniseligibleforindemnificationinthecircumstancesbecausethepersonhasmettheapplicablestandard ofconductsetforthinthisArticleandafteranevaluationhasbeenmadeastothereasonablenessoftheexpenses.Anysuchdetermination,evaluationandauthorizationshallbemadebytheBoardofDirectorsbyamajorityvoteofaquorumoftheBoard,whichquorumshallconsistofdirectorsnotpartiestothesubjectproceeding,orbysuchotherpersonorbodyaspermittedbylaw.

ARTICLEXVI

Insurance

16.01Insurance.Theboardofdirectorsmayexercisetheclub'spowertopurchaseand maintaininsurance(including,withoutlimitation,insuranceforlegalexpensesandcostsincurredinconnectionwithdefendinganyclaim,proceedingorlawsuit)onbehalfofanypersonreferredtoinSection1ofthisArticleagainstanyliabilityassertedagainstorincurredbysuchpersoninthecapacitydesignatedorarisingoutoftheperson'sstatusassuch,whetherornottheclubwouldhavethepoettoindemnifythatpersonagainstsuchliabilityundertheprovisionsofthisArticle.

ARTICLEXVII

Dissolution

17.01Intheeventofthedissolutionoftheclubforanreason,allofitsassetsandpropertyshallbedistributed,orsoldandtheproceedsthereofdistributed,totheorganizationwhichshallbeasuccessortotheclub,providedthatsuchorganization

shallfirsthaveobtainedarulingexemptingitfromfederalincometaxationunderSection501(a)oftheInternalRevenueCodeof1986,asamendedorunderthecorrespondingprovisionsofanysubsequentfederaltaxlaws(the"code"),asanorganizationofthetypedescribedinsuchrulingwithinareasonabletimefollowingitsestablishment,orifthereshallbenosuccessoroftheclub,thanalloftheclub'sassetsandpropertyshallbe distributedorsoldandtheproceedsthereofdistributed,toor

amongsuchoneofmoreorganizationsasmaybe selectedby theboardofdirectorsashavingobjectivesandpurposessimilarorrelatedtothoseoftheclub,providedthatno distributionsshallbemadetoanorganizationwhichdoesnothavearulingexemptingsuchorganizationfromfederalincometaxationasdescribedaboveandprovidedfurther thatinnoeventshallanypartofsuchassetsorproperty,ortheproceedsofsalethereof,bedistributedtoorinuretothebenefitofanymemberoranyindividual.

TheprocedurefordissolutionshallbeasprovidedbyandintheMichiganNonprofitCorporationAct,ashereafteramendedfromtimetotime,andthecorrespondingprovisionsofanysubsequentlaw.

ARTICLEXVIII

Amendments

18.01Amendmentsmaybemadetotheby-lawsatanytimeprovidedthattheproposedamendmentsarereadatonemeetingpriortobeingvotedupon.Proposedamendments shallbevoteduponandmustreceiveamajorityvoteofthememberspresentatthemeeting.
