ARTICLE I

Name

The name of this non-profit organization is the YULEE BASKETBALL ASSOCIATION, henceforth referred to as the YBA.

ARTICLE II

Mission

Prepare Children for Life through Athletics.

Purpose

1.  Provide a competitive environment designed to equip athletes with the basketball skill set and mental fortitude necessary to succeed at the junior high and high school levels.

2.  Promote soundbasketball skills, both basic and advanced, to instill respect for the rules of the game,andteachthe strategies necessary to advancein the sport of basketball.

3.  Promote physical activity, personal accountability, good sportsmanship, and instill the importance of teamwork.

4.  Provideopportunityfortheparticipationin organized athleticsfor those children whoare disenfranchised, underserved,orof socioeconomicposition thatprohibits inclusion.

ARTICLE III

Membership

Section 1

In General:

The general membership of the YBA shall consist of all those individualswho are committed to the development of youth basketball and the YBA. The general membership group shall consist of, and is limited to, parents of current YBA players, current official head coaches, current official assistant coaches, current referee coordinator, current YBA Officers, Members of the YBA Board of Directors, past Presidents, past members of the YBA Board of Directors with three (3) or more years of service in the capacity as a Board member, and past coaches with three (3) or more years of service in a coaching capacity.


Section 2

To obtain active membership,a qualifying individual must complete a membership registration form each fiscal year and provide all requested information.

Section 3

To maintain active membership, a member must attend at least 50% of the general membership meetings in the current fiscal year.

Section 4

Player membership:

1.  Consists of youth athletes who are currently registered to participate in the YBA season as a playerinthe given fiscal year.

2.  A youth athlete who participated in the previous YBA season. However, said player shall only be eligible for membership in the one (1) year immediately following their change in eligibility.

3.  Player members do not have voting rights within the YBA except in the special case where the Board of Directors hold a special player members only survey.

ARTICLE IV

Board of Directors (BOD)

Section 1

In General:

1.  The Board of Directors shall be the official governing body of the Yulee Basketball Association.

2.  Any person from the general membership or individual that possess a professional skill set that is necessary for the development of the YBA, shall be eligible for election to the Board of Directors subject to meeting the minimum requirements of Article VIII.

3.  The BOD shall only enter into a “conflict transaction” when it is determined by the BOD that the conflict transaction is in the overriding and unquestioned benefit of the YBAand is in compliance with all State and Federal Law. Approval of a conflict transaction shall require a vote in the affirmative of 61% of the disinterested BOD members. The BOD shall make every effort to avoid executingaconflict transaction when any comparable alternative is available. ConflictTransactionsare morefully covered in Article XIV.

4.  Every BOD member shall sign the BOD code of ethics prior to taking office. The BOD code of ethics is fully covered in Article XV.

5.  After each season the general membership shall elect new members to the BOD in accordance with Article VIII.

6.  The BOD will be comprised of the eight (8) officers, one (1) at-large board member, and the Nassau County Recreation Director, or his representative, serving in an ex-officio capacity. The BOD shall not to exceed nine (9) voting members and shall not be comprised of less than five (5) voting members. The Nassau County Recreation Director is not a voting member of the Board. The BOD shall meet as needed but not less than once a month from September – March.

7.  The BOD shall hold at least two (1) general memberships meeting per year

8.  Any four (4) members of the BOD may call a Board meeting upon written, telephone, email or text message notice to all the BOD members at least72 hoursthree (3) daysprior to such meeting. The notice shall state the members requesting the meeting, the site, the purpose, and the date of the meeting. Only those topics requested will be discussed. The President may call an emergency meeting by written, telephone, email or text message notice to all Board membersat least 48 hours prior to such meeting.

9.  Only the BOD as a body can call for general membership meetings in excess of the required two (2) general membership meetings requiredbythis document and only upon an affirmative vote of 51% of the BOD. All general membership meetings shall be properly noticed fifteen (15) calendar days in advance of the meeting. The minimum required notice shall be in the following form:

a)  Notice shall be placed on the YBA official website including time, date, and location

b)  The Recording Secretary shall call and email each official head coach in the current fiscal year

c)  An ad shall be run in the Fernandina Beach News Leader. The ad shall only be required to run once and need only state that the Yulee Basketball Association will hold a General Membership Meeting and included the time, date, and location.

d)  If in season, a notice shall be placed on the wall of the competition gymnasium.

10.  In the event of overriding negligence, failure to perform duties, illegal actions, actions deemed to bein violation of the BOD code of ethics,actions found to be in violation of the adopted code of conduct,or any other action deemed injurious, determinately to the professional discussion of items affecting the YBA, or actions contrary to thegoals and objectives of the YBA, a BOD member can be removed from theirposition with a vote in the affirmative of 61% of the general membership.

11.  Fifty-one percent (51%) shall constitute a Quorum. The President or either Vice President must bein attendanceto serve as Chairman.

Section 2

The BOD shall adopt such rules and regulations as they deem proper respecting the orderly growth, development, and operation of the YBA, for the admission of strangers to YBA events, fix penalties for offenses against the rules, and make rules for their own government and for the government of the committees appointed for them.

ARTICLE V

Officers:

The officer positions of the YBA shall be:

·  President

·  Vice President (VP)

·  Director of Game Day Operations (DGO)

·  Marketing and Fundraising Coordinator (MFC)

·  Treasurer (TRS)

·  Secretary (SEC)

·  Registrar (REG)

·  Commissioner & Player Advocate (CPA)

·  At Large Member (ALM)

ARTICLE VI

Officer Duties:

Section 1

YBA President

It shall be the duty of the President of the YBA to promote the orderly and sustainable growth and development of the Yulee Basketball Association through sound planning, judgment, and leadership. The President must be of the highest integrity, possesses strong interpersonal skills, and be capable of committing the personal time necessary to be a comprehensive leader. In addition;

a)  In all decisions making concerning YBA matters, the President shall maintain neutrality. The president must possess the ability to recognize potential conflicts and abstain. In the event that thesittingPresident is also a coach within the YBA, while acting in his/her capacity as a coach, the President shall make decision appropriate to his/her team. In the event of a potential conflict of interest, the President shall abstain.

b)  Shall preside at all BOD meetings and general membership meetings.

c)  Shall call at least 2 (two) general membership meetings per year.

d)  Shall assume responsibility for the smooth functioning of the YBA in the capacity of liaison with parents, sponsors, partners, coaches, officers, board members, government official and others.

e)  Shall sign all agreements and contracts made by the YBA (along with the Treasurer) upon approval of the BOD.

f)  Shall review the Treasurer's financial statement (along with the Vice-President) at the time of each BOD meeting, and also on a regular basis apart from the BOD meetings.

g)  Has the power in emergencies to spend up to $100 (One Hundred Dollars) as needed without the approval of the BOD - such instance will occur only once between Board meetingsand shall only be for emergency purposes. Receipts shall be provided to the YBA Treasurer prior to the next BOD meeting. The purchase is subject to review by the BOD.

h)  Shall represent the YBA at all Nassau County Parks & Recreation Board meetings.

i)  Shall act as an administrator assisting in all aspects of the YBA with authority to assign duties as necessary.

j)  Shall represent the YBA in any legal proceedings

k)  Shall ensure that the YBA’s non-profit status is active according to Federal Taxing Laws and the State of Florida.

Section 2

Vice President

It shall be the duty of the Vice-President to assist the President in the discharge of the President's duties. In addition he or she:

a)  In the absence of the Presidentthe Vice Presidentshall assume the President’s duties and officiate in his/her stead.

b)  Shall act as an administrator assisting in all aspect of the YBA with authority to assign duties as necessary provided said assignments are in the keeping of the general likeness of the President.

c)  With the President and Director of Game Day Operations, the Vice President shall take a primary role in assuring a quality game day experience for spectators, players, sponsors, and future partners.

d)  Shall be responsible for creating and maintaining the full YBA calendar. This includes both administrative and competition scheduling.

Section 3

Director of Game Day Operations (DGO)

It shall be the Director of Game Day Operations primary duty to design and mange a positive and professional game day experience. In addition, he or she shall:

a)  Utilize creative and innovative techniques to bolster the game day experience for all players, parents, sponsors, spectators of all ages, and future YBA partners.

b)  Work directly with the Marketing and Fundraising Coordinator to ensure sponsor logos, banners, swag, and likeness are prominently displayed in accordance with the executed sponsorship agreements.

c)  Work directly with, and in a supervisory position, to the Registrarto ensure accurate statistics are taken and game results are verified for recording purposes.

d)  Work directly with the Marketing and Fundraising Coordinator to ensure a lucrative menu design for the concession stand and provide for other lucrative products availabletofor sale to the general public on game day.

e)  Along with the President, shall ensure that all game day activities are 100% in accordance with the general operating agreement with each facility manager.

f)  Yulee Sports Complex, Nassau County BOCC, Tim Milligan, Facilities Maintenance and Parks and Recreation Director

g)  New Life Baptist Church Gymnasium, Rev. Truman Blankenship, New Life Baptist Church

h)  Celebration Church Gymnasium, ????, Celebration of God Church

i)  Along with the President, shall ensure that each team has assigned volunteers to work their individual assigned concession stand shifts. It is NOT the responsibility of the DGO to make the concession schedule or to find volunteers to work the individual shifts. It is the responsibility of each coach to staff the individual concession shifts.

j)  Along with the President, shall ensure staffing of official score keepers, clock/scoreboard operators, and referees.

k)  In the event there is no official score keeper available (book keeper not score board operator) it shall be the duty of the DGO to keep the official scorers book as necessary on a given game day.

Section 4

Treasurer

It shall be the duty of the Treasurer to maintain the financial records of the YBA, to foster sound financial practices, to submit reports at the request of the President or BOD and to disburse funds at the direction of the BOD. The Treasure should have professional experience in accounting, financial management, and/or relevant experience in book keeping/financial monitoring and budgeting with other non-profits. In addition, he or she shall:

a)  While the board of directors is responsible for the funds received and spent by The YBA, the treasurer is the fulcrum for ensuring the board fulfills its fiduciary responsibilities. This individual oversees the management and reporting of a nonprofit's finances, therebyensuringthe organization stays financially sound and that assets are used appropriately.

b)  Oversees the development of financial policies and procedures, and their review by the board.

c)  Ensures that funds are retained in safe accounts/investments; co-signs checks with the President, invests excess funds in accordance with BOD direction.In the event that the Treasure is unable to perform his/her duties the BOD may move to allow the Vice Presidentor the Marketing and Fundraising Coordinator, on an interim basis only, authority to assume the role.

d)  Verifies that donations and grants are handled appropriately; reviews invoices, checks, and bank statements.

e)  Ensures that financial books and records are accurate and up-to-date.
